委托事项

甲方委托乙方发展海外市场为甲方营销其产品。

第二条：
委托事项的具体要求
2.OBLIGATION
（1）甲方应保证所生产产品的合法性及保证产品质量。
PartyAshallensurethelegalityoftheproductsandensureproductquality.
（2）甲方与海外客商交易的具体价格、交货方式、支付方式等由甲方与海外客商双方协商约定。
Allthetradetermsincludingprice,paymentterm,delivery,etcarenegotiatedbyPartyAandcustomers.
（3）甲方应严格按国家的“FOB、C
partyashallhavetherighttoterminagethisagreement,repossesstheleasedpropertyandforfeitthesecuritydepositifpartybcommitsoneofthefollowing:
a.未得甲方书面书面同意，将出租房屋擅自转租;
subletstheleasedpropertywithoutpartya’swrittenconsent;
b.未得甲方同意将出租房擅自拆改结构或改变用途的：
altersthestructureoftheleasedpropertyorusestheleasedpropertyotherthanforthepurposestartedhereinwithoutpartya’sconsent;
c.无故拖欠租金超过三天（除双方就本合同存在争议除外）。
failstopayrentwithoutanyreasonformorethanthirty（30）daysaftertheduedateexceptwherethereisadisputeinrespectofthisagreement.
十一、适用法律：
applicablelaw:
本合同的成立，其有效性、结实、签署和解决与其他有关的一切纠纷均应受中国法律的管辖并依据中国法律解释。
theformationofthisagreement,itsvalidity,interpretation,executiongandsettlementofanydisputesarisinghereundershallbegovernedbyandconstruedinaccordancewiththelawsofthepeople’srepublicofchina.
十二、争议的解决：
disputeresolution:
凡因执行本合同所产生的或与本合同有关的一切争议，双方应通过友好协商解决;
协商不成，应提交中国国际经济贸易仲裁委员会，按其仲裁规则和中华人民共和国仲裁法进行仲裁。
仲裁解决是终局的，对双方都有约束力。
inthecaseofdisputesarisingoverthisagreementofanymattersrelatedhereto,thepartiesshallnegotiateingoodfaithtoresolvesuchdisputes.ifsuchnegotiationfails,thepartiesshallsubmitthedisputetoarbitrationbythechinainternationaleconomicandtradearbitrationcommissioninaccordancewithitsarbitrationrulesandthearbitrationlawofthepeople’srepublicofchina.thedecisionofthearbitrationbodyisfinalandshallbebindingonthepartieshereto.
十三、其他

13.1本合同如有未尽事宜，由甲、乙双方洽谈解决。

13.2本合同由中、英文写成，两种文本具有同等效力。

卖方按合同金额的110%投保包含的一切险和战争险依照1981年的PICC规则的CIC条约。
TERMSOFPAYMENT:
ByirrevocableLetterofCreditat60daysaftersight,reachingtheSellernotlaterthanNov.30,andremainingvalidfornegotiationinChinaforfurther15daysaftertheaffectedshipment.IncaseoflatearrivaloftheL/C,theSellershallnotbeliableforanydelayinshipmentandshallhavetherighttorescindthecontractand/orclaimfordamages.付款期限：
不可撤销信用证，见票后60天付款.卖方收到信用证不得晚于08年11月30号。
偿付通知议付在中国装船后15天内提交单据，如果信用证迟到，卖方将不负责装船中的任何延迟而且将有权利废止合同和│或损害要求（赔偿）。

INSPECTION:
ThecertificateofqualityissuedbytheChinaEntry-ExitInspectionandQuarantineBureaushallbetakenasthebasisofdelivery.
检验：
质量证书根据中国进出口检验检疫局发行，将当做交付的基础。
CLAIMS:
IncasediscrepancyonthequalityorquantityofthegoodsisfoundbytheBuyer,afterarrivalofthegoodsattheportofdestination,theBuyermay,within30daysand15daysrespectivelyafterarrivalofthegoodsattheportofdestination,lodgewiththeSelleraclaimwhichshouldbesupportedbyanInspectionCertificateissuedbyapublicsurveyorapprovedbytheSeller.TheSellershall,onthemeritsoftheclaim,eithermakegoodthelosssustainedbytheBuyerorrejecttheirclaim,itbeingagreedthatthesellershallnotbeheldresponsibleforanylossorlossesduetonaturalcausefailingwithintheresponsibilityofShipownersoftheUnderwriters.TheSellershallreplytotheBuyerwithin30daysafterreceiptoftheclaim.
索赔：
买方发现货物在质量和数量上有差异，货物到达目的港后，买主可以，在30天到15天之内，在货物抵达后在目地港，向卖方提出要求，要求应该被一份被卖方核准的公众的检查官发行的检验证书支援。
卖方，在在赔偿要求中，要么承受买方损失要么拒绝索赔，经双方同意，卖方将不承担任何损失或者损失是由自然原因将或由船方造成的损失卖方应在30天内答复买方。
LATEDELIVERYANDPENALTY:
Incaseoflatedeliver,theBuyershallhavetherighttocancelthiscontact,rejectthegoodsandlodgeaclaimagainsttheSeller.ExceptforForceMajeure,iflatedeliveryoccurs,theSellermustpayapenalty,andtheBuyershallhavetherighttolodgeaclaimagainsttheSeller.Therateofpenaltyischargedat0.5%forevery7days,odddayslessthan7daysshouldbecountedbythepayingbankortheBuyerfromthepayment.
迟期交货及刑罚:
以防迟到的传递,需方有权取消这个合同,拒绝接受货物和向卖方提出索赔。
除不可抗力,如果迟期交货时,卖方必须支付违约金,买方有权向卖方提出索赔。
罚金是0.5%,每7天,天数不到7天应安7天算由银行付款银行或由买方的货款中扣除。
FORCEMAJEURE:
TheSellershallnotheldresponsibleifthey,owingtoForceMajeurecauseorcauses,failtomakedeliverywithinthetimestipulatedintheContractorcannotdeliverhegoods.However,insuchacase,theSellershallinformtheBuyerimmediatelybycableandifitisrequestedbytheBuyer,theSellershallalsodelivertotheBuyerbyregisteredletter,acertificateattestingtheexistenceofsuchacauseorcauses.
不可抗力:
卖方不负责,但卖方必须立即以传真或原因,不可抗力原因,未能交货时间内应收的合同或不能救他的货物。
然而,在这种情况下,卖方应立即以电报通知买方。
如果是按照买主的要求,卖方应负责向买方把挂号信,证书,证明这样的原因还是存在的原因。
ARBITRATION:
Alldisputesinconnectionwiththiscontractortheexecutionthereofshallbesettledamicablybynegotiation.Incasenosettlementcanbereached,thecaseshallthenbesubmittedtotheChinaInternationalEconomicTradeArbitrationCommissionforsettlementbyarbitrationinarbitrationinaccordancewiththeCommission’sarbitrationrules.Theawardrenderedbymecommissionshallbefinalandbindingonbothparties.Thefeesforarbitrationshallbebornebythelosing
partyunlessotherwiseawarded.
仲裁:
凡有关本合同或实施应通过友好协商予以解决。
若通过友好协商未能达成协议,则应提交中国国际经济贸易仲裁委员会仲裁在解决根据该会的仲裁规则进行仲裁。
我的裁决是中局的,对双方都有约束力。
仲裁费用应由败诉方承担除非另有判决。
