1.Thegoodsmustbeof100%newbrand,manufacturedwithintheyear

goodworkingcondition.Goodquality,fulfillalltechnicalspecificationssuppliedbytheseller.Theequipmentsmustbepackedasperinternationalexportstandards,suitableforseatransportation.

2.Thesellershallsupplytheinstructions/UserManualofthemachineinEnglishforeachitemsupplied,anddeliveredtothebuyerbyDHL02daysbeforetheshipmentofthemachine.

3.Theexpireddateoftheequipmentwarranteeshouldbe12monthsfromthedateoftheinstallationandcommissioningdatestatedinthesigningAcceptanceProtocolbetweenthebuyerandtheEnduser,or15monthsfromtheshipmentdatestatedintheBillofLading.

4.Thesellerisresponsibleforanydefectduetomaterialsorbadworkmanshipprovenwithintheguaranteeperiod.Duringtheperiod,thesellershallrepairorreplacefreeofchargeanydefectivepartoftheequipment.Transportationexpensestothesellerduringthewarranteeperiodarebornebythebuyer.Transportationexpensesto

ShipmentandInformation

1.Pre-shipmentinspection:

02weeksbeforeshipment,thesellerinformsbywrittendocumentsandinvitesthebuyertotheseller’spremisesforinspectionofmachine.Chargesfromthisvisitarebornebythebuyer.Ifanydifferencesfromtechnicalstandardsgivenbythemanufacturerarefound,thesellerhastoclearthembeforeshippingthemachinetomakesureitisingoodworkingconditionsandwithoutdefects.

2.Thegoodsshallbeshippedwithin120daysafterreceivingL/C.

3.DateofissuanceofL/C:

within15daysaftersigningconract.

4.ExpiryplaceoftheL/C:

BillofLading,Invoice,PackingList,CertificateofOriginissuedbyChinaChamberofCommerce,CertificateofQualityandQuantityandCertificateofWarrantee,sothatthebuyercanarrangethecustomsformalitiesofthereceiptofthegoodsattheportofdestination.OnecopyofcompleteinstructionsmanualbooksmustbesenttothebuyeratthesametimebyDHLinorderthatthebuyercantranslatefortheinstallationandtrainingoftheequipmentssupplied,asperthecustomer’srequest.

Article 

6:

Inspection

Seller’sinspectionbeforeshipmentshallbefinal,andrelatedinspectionReportattachedtotheshippingdocuments. 

inspectionandSuperintendentOrganization（VINACONTROL）,ofrequired,shallcarryoutotherinspection,atthebuyer’scharge,forclaimsonspecifications,quantitythatarenotcomfortablewithcontractand/orshippingdocuments.Claim,ifany,shallbecabledtothesellerandconfirmedbyregisteredairmailtogetherwithsupportingdocumentissuedbyVINACONTROLwithin15days,wheneversuchclaimstobeprovedasoftheseller’sresponsibility,thesellershallsettlewithin15workingdays.

Article7:

ForceMajeure

Underunavoidablecircumstancespreventingthebuyerand/orsellerfromfulfillingtheircommitmentstothiscontract,suchasbutnotlimitedtoCivilWar,ActofGod,naturaldisasters,etc.,onepartyfacingForceMajeurecaseshouldinformtheotherbyFAXwithin10daysatthelatest.ACertificateofForceMajeureissuedbycompetentAuthoritiesmustbesenttootherpartywithin15days.Beyondthisperiod,thisForceMajeureshallnotbetakenintoconsideration.

Article8:

Penalty

BeyondthetimeofthedeliveryspecifiedinthiscontractasForceMajeureexcepted,thesellershallindemnifythebuyerfor0.1%oftheFOBvalueofthegoodsforeachfulldayofdeliverydelay,butthetotalamountofpenaltyshallnotexceed15%ofthetotalcontractvalue.Ifthedelayindeliveryexceeds30days,oranyconformitywiththeArticle1and3,thebuyerhastherighttocancelthecontract.

Article9:

Arbitration

Anydisputesshallbesettledbyamicablenegotiationbetweentwoparties.Incaseoffailuretoreachamicableagreement,alldisputesarisingoutoforinconnectionwiththiscontractshallbebroughttoInternationalArbitrationCenterattheVietnamChamberofCommerceandIndustryinVietnamanditsdecisionshallbeasfinalandbindinguponbothparties.

GeneralConditi
