Item2Bothsideshavereachedagreementonthepriceofthehousetobesoldat（RENMINBI）500000Yuan.（capitalization）：

ThepaymentmethodandpaymenttermsofPartyBshallbeclearlystatedbybothpartiesinthepaymentagreement（Appendix3）.AfterPartyBpaysforthehouse,PartyAshalldrawoutareceiptconformingtothetaxationregulations.

Item3WhenPartAtransfertherealestate,thetenureoflandwillbedealwiththeitemNO:

（I）PartAobtaintheuseperiodoftherightofuseofthestatelandfromYearMonthDaytoYearMonthDay,thereinto,PartBinaccordancetothiscontractgaintherealestate,obtaintheuseperiodoftherightofuseofthestate-ownedlandfromYearMonthDaytoYearMonthDay,asLegallyusethedateofexpiryoftherightofuseofthestate-ownedland.

Item4BothsideshavereachedagreementthatPartAshouldvacatebeforetheday2007Year04Month30DaythishouseandinformPartBtocheckandaccept.PartBshouldcheckthedecoration、equipmentinthehousefromthedayPartBreceivetheinformationin5days.Afterchecking,PartyAshalltransferthekeysofthehousetoPartyB,whichindicatesthetransferenceofthehouse.

Item5PartyApromisesthatifthereisanydamageordemolitiontothehousedecorationsorauxiliaryfacilitiesduringtheperiodfromtheagreement-signingdatetothehouseacceptancedate,itshallpayPartyBthepenaltyofRMBYuan,whichisequivalenttothevalueofthedamagedordemolishedfacilities.

Item6PartyAandPartyBagreetoapplyforthehousetransferenceattherealestateexchangebeforeApril30th,2007.

Item7TherightofthelandwithinthescopeofthehouseandtheprincipalandinterestofthemaintenancefoundationforthepublicplaceshouldbeconsideredasbeingtransferredtoPartBatthesametimewhenthehouseistransferredtoPartB.

Item8Afterthiscontractbecomeseffective,bothPartAandPartBshouldobservethenationalandthiscityrelatedstipulationtopaythetaxandfee.

Beforetherealestateisshiftedholds,thefeeforrealtymanagement、water、electricity、gas、correspondenceandsoonhadnotbeenpaid,theyshouldbedefrayedasAppendixfour.

Item9IfPartBdoesn’tpaythepaymentinthetimepromisedinthiscontract,PartAandPartBagreetodealthatinthenextitems（I）.

（I）Exceedsthetimelimitperoneday,PartBshouldpaythepenaltyin%ofthepaymentwhichhasnotbeenpaidtoPartA.

Item10IfPartAdoesn’tdeliverytherealestatetothePartBinthetimepromisedinthiscontract,PartAandPartBagreetodealthatinthenextitems（I）.

（I）Exceedsthetimelimitperoneday,PartAshouldpaythepenaltyin%ofthepaymentwhichhasbeenpaid.

Item11Undertheprincipalthatbothsideshavegainedagreementontheaddeditemoritemswhichwilldefinitelynotviolateanyitemmentionedabove,moreitemscanbeaddedtothecontractinthesupplementarypart,whichwillbeconsideredaspartofthecontractandenjoythesamelegalforce.

Item13Ifanydisputehappensduringthewholeprocess,bothsidesshouldnegotiatefirstwitheachother.Iftheyfailtoget
