A.Suppliercarriesonbusinessasadeveloper,manufacturerandSupplierofTypeofProduct（s）;

B.Buyercarriesonbusinessasaretaileroftheproduct（s）describedinrecitalA（the“Products”manufacturerofTypeofFinishedProduct（s）incorporatingtheproduct（s）describedinrecitalA;

C.SupplierhasagreedtoselltoBuyertheaforesaidproduct（s）onthetermsandconditionshereinafterappearing;

andD.Afterconsultations,thepartiesagreethatBuyerwillpurchaseallofitsrequirementsfortheProductsfromSupplier.now,THEREFORE,afterreachingaconsensusthroughconsultationsconductedonthebasisoftheprinciplesofequality,freewillandgoodfaith,thepartiesconcludethefollowingagreement:

1.DEFINITIONS1.1Affiliateshallmean（i）acorporationperformingactivitiesrelatingtoBuyersbusinessinwhichBuyerownsandcontrols,directlyorindirectly,atleastfiftypercent（50%）oftheoutstandingsharesentitledtovotefortheboardofdirectors;

（ii）afranchiseeorlicenseeofBuyer;

or（iii）ajointventurewithathirdparty（x）whichjointventureperformsactivitiesrelatingtoBuyersbusiness,and（y）inwhichBuyerownsorcontrolsatleasttwentypercent（20%）equityinterest.1.2“Products”shallmeanSuppliersProductforInsertdescription,asmorefullydescribedinExhibitA.Thepartiesagreethat,fromtimetotimeandsubjecttomutualagreement,thepartiesmayamendtheProductslistanddescriptionsinExhibitA.Whenusedwithoutcapitalization,thetermproductsreplaceproductswithothertermasnecessaryshallrefertoproductsgenerallyandnotjustthosemanufacturedbySupplier.1.3IntellectualPropertyshallmeanallrightsofapersonorentityin,to,orarisingoutof:

（i）anypatent（includinginventions,utilitymodelsanddesigns）;

（ii）well-knowntrademarksandregisteredtrademarks（includingproducttrademarks,servicemarks,collectivemarksandcertificationmarks）;

（iii）copyrightsandotherrightsrelatingthereto;

and（iv）anyintellectualpropertyprotectedbyotherlaws.1.4SpecificationsmeansthespecificationsfortheProducts,assetforthinExhibitA.1.5PurchaseOrdermeansawrittenorderfromBuyer（oranyofitsAffiliates）deliveredt
