（1）anybreachoftheProprietaryInformationandInventionsAgreementbetweenyouandtheCompanyoranyotherwrittenagreementbetweenyouandtheCompanyifsuchbreachcausesmaterialharmtotheCompany;

（2）anywillfulmisconductthatcausesmaterialharmtotheCompany,includingwithoutlimitationrepeatedfailuretofollowthedirectionsofthepersontowhomyoureport;

（3）convictionof,orpleaofguiltyornocontesttoafelonyunderthelawsoftheUSoranystatethereof;

（4）misappropriationofanyassetsoftheCompanyoranyotheractsofFraudorembezzlement;

ortheabuseofalcoholorcontrolledsubstancesthathasadetrimentaleffectuponyourperformanceofdutiesfortheCompany.

　　RegularIfyourserviceasanemployee,

　　TerminationconsultantordirectoroftheCompanyora

　　thenthisoptionwillexpireatthecloseof

　　businessatCompanyheadquartersonthedatethree

　　monthsafteryourterminationdate.TheCompany

　　DeathIfyoudieasanemployee,consultantordirector

　　DisabilityIfyourserviceasanemployee,consultantor
