INVESTMENTCO.,LIMITED,acompanyincorporatedunderthelawsofHongKongandhavingitsregisteredofficeatRoomB,10/F.,BankofChinaTower,1GardenRoad,HongKong（hereinafterreferredtoas“Shenhua”whichexpressionshallunlessrepugnanttothecontextormeaninghereofshallmeanandincludeitssuccessorsandpermittedassigns）.

[],acompanyincorporatedunderthelawsof[]andhavingitsregisteredofficeat[]（hereinafterreferredtoas“[]”whichexpressionshallunlessrepugnanttothecontextormeaninghereofshallmeanandincludeitssuccessors,permittedassignsand[]）

Shenhuaand[]hereinaftermaybeindividuallyreferredtoas“Party”andcollectivelyas“Parties”.

WHEREAS:

A.[]isplanningtoraiseitsshareholdingin[]（"

Project"

）andthePartiesareconsideringvariouswaysofcooperatingforthedevelopmentoftheProject.

B.Inpursuancetosuchintention,thePartieswillbesharingcertaininformation（hereinafterreferredtoasthe“ConfidentialInformation”andfurtherelaboratedbelow）whichisproprietaryandconfidentialtothemandtheirAffiliates（“Affiliates”includecompaniesthatcontrol,arecontrolledby,orareundercommoncontrolwiththeParties.）

C.Duringthecourseofcooperation,thePartiesmaydisclosetoeachothercertainconfidentialinformation.WithinthisagreementthePartiesmayrefertoDisclosingPartyandReceivingParty.TheReceivingPartywishestoreceivetheConfidentialInformationfromtheDisclosingPartyforthepurposeofcooperationandevaluationofparticipationintheProject（“Purpose”）.

InconsiderationforthegrantofaccesstosuchConfidentialInformation,thePartiesagreethatbothofthemshallbeprotectedunderthefollowingclauses:

1. “ConfidentialInformation"

means,anyandallinformationorcommunicationidentifiedasconfidentialanddisclosedbytheDisclosingPartytotheReceivingPartyregardingtheProjectinwritten,representational,electronic,verbalorotherformincluding,withoutlimitation,drawings,photographs,sketches,models,designorperformancespecifications,analyses,commercialagreements,compilations,studies,notesandallotherinformationanddatadisclosedorallyorvisuallyorbyaccesstocomputersystemsordata,whichhasbeendevelopedby/isexclusivetotheDisclosingPartyand/oritsAffiliates.ConfidentialInformationshallalsoincludeanyandallinformationorcommunicationrelatingdirectlyorindirectlytopotentialbusiness,operationorfinancialconditionoforrelatingtotheDisclosingPartyanditsAffiliatesincludingbutnotlimitedto,informationidentifiedbytheDisclosingPartyasbeingconfidentialorpertainingto,pricing,marketingplansorstrategy,volumes,servicesrendered,customersandsupplierlists,financialortechnicalorservicemattersordata,employee/agent/consultant/officer/directorrelatedpersonalorsensitivedataandanyinformationejusdemgeneriswhichmightreasonablybepresumedtobeconfidentialinnature.

Especially,ConfidentialInformationshallincludethefactsoftheexistenceofthisAgreement,thewillingnessofcooperationontheProjectofthePartiesandthePurpose.

Provided,however,thatConfidentialInformationshallnotincludeinformationwhich:

a.isorbecomespubliclyavailableotherwisethanthroughabreachofthisAgreement;

b.isalreadyintheReceivingParty’spossessionwithoutanyobligationofconfidentiality;

2.WithrespecttoConfidentialInformationdisclosedbytheDisclosingPartytotheReceivingParty,theReceivingPartyagreesthatitshall:

（a）usetheConfidentialInformationonlyforsaidPurpose;

（b）keeptheInformationstrictlyconfidentialandshallnotdiscloseittoanythirdpartyotherthanemployees,agents,consultants,vendors,subcontractors,bankersorfinancialadvisors（“AuthorizedThirdParties”）;

（c）discloseConfidentialInformationonlytosuchAuthorizedThirdPartiesonaneedtoknowbasis,inordertoenablethemtostudysuchConfidentialInformationinconnectionwiththeProjectandprovidedthattheAuthorizedThirdPartieshavebeenmadeawareofthisAgreementandareboundbyconfidentialityobligationsasstipulatedunderthisAgreement;

（d）ensurethatitsAuthorizedThirdPartiesdonotdoorfailtodoanythingthat,ifdoneornotdonebytheReceivingparty,wouldamounttoabreachofthisAgreement;

（e）usesuchdegreeofcaretopreventthedisclosureofsuchConfidentialInformationtoothersandprotecttheinformationthattheReceivingpartyusestopreventunauthorizeddisclosureofitsownconfidentialinformationtothirdpartiesandinnoeventsuchdegreeofcareandprotect
