@#@1.aslongaseachoftheundersignedshareholdersremainsashareholderin______________________________corporation，heorshewillvotehisorherrespectivesharesofstockinthecorporationforeachofthefollowingnameddirectors.1._____________________________2._____________________________3._____________________________anyoftheabovedirectorswhoceasetobeashareholderinthecorporationshallsubmithisorherresignationtothecorporationwhenheorshetransfershisorhershares.2.eachoftheundersignedpartiesagreethatheorsheshallwilldevotehisorherbesteffortstothebestinterestsandadvancementofthecorporation.3.forthecommoninterestofthecorporation，theundersignedshareholdersagreetothefollowingpeopleappointedandelectedasofficersofthecorporation，aslongastheyremainshareholdersofthecorporationandperformcompetently，faithfully，andefficiently._________________________________________（president）_________________________________________（vicepresident）_________________________________________（secretary）_________________________________________（treasurer）anyoftheforegoingofficerswhoceasestobeashareholderinthecorporationshallsubmithisorherresignationtothecorporationwhenheorshetransfershisorhershares.4（a）。

@#@theundersignedshareholdersagreeanyactiontakenatameetingoftheshareholdersthatreceivesavoteinfavoroflessthan________%oftheshareholdersmaybesubjecttoactionfromthedissentingshareholders.theymaythesharesofthecorporationownedbythedissenter（s）atapricepersharecomputedonaproratabasisaccordingtosection4（d）ofthisagreementwithin_______days.thebelowundersignedshareholdersagreethatshouldtheirvoteinpurchasethedissenter’ssharescomputedonaproratabasisaccordingtosection4（d）ofthisagreementwithin_______days.4（b）。

@#@theundersignedshareholdersagreethattheywillnotsell，pledge，assign，transfer，hypothecate，orotherwisedisposeofthesharesofstockownedbyanyofthem，unlessthesharesofstockhavebeenfirstofferedtothecorporationatapricecomputedonaproratabasisaccordingtosection4（d）ofthisagreement.anysuchoffershallbemadeinwritingandshallremainopenfortheacceptanceofthecorporationforaperiodofnolessthan______days.shouldthecorporationaccepttheoffer，itmustagreeinwritingtopurchasetheentireamountofstockofferedandshallmakeadownpaymentcomprisedof______%ofthetotalpurchaseprice.theremainingbalanceofthetotalpurchasepriceshallbepaidasprovidedforinsection4（e）ofthisagreement.ifthecorporationshouldchoosenottopurchasetheshareswithin_______days，thesharesshallbeofferedtotheremainingshareholdersonthesameproratabasisasprovidedforinsection4（d）ofthisagreement.anysuchoffershallbeshallremainopenforaperiodof______daysandshallbemadeinwriting.intheeventtheremainingshareholderswishtoaccepttheoffer，theymustagreeinwritingtopurchaseanyoralloftheirprorataportionofshares，andmakeadownpaymentcomprisedof_______%ofthetotalpurchaseprice.thebalanceofthetotalpurchasepriceshallbepaidasprovidedinsection4（e）ofthisagreement.ifanyshareholdershouldelectnottopurchasehisorherportionoftheshares，orshouldelecttopurchaselessthanthefullamount，theremaindershallbeofferedtotheothershareholdersonthesameproratabasisasoutlinedinsection4（d）ofthisagreement.afterthisofferingtotheremainingshareholders，anyamountofstockthatremainsunpurchasedshallbeconsideredfreelytransferableandnolongersubjecttotheprovisionsandlimitationsofthisagreement.thisagreementshallnotbarasale，transfer，assignment，orbequestsharesofstockbyoneoftheundersignedshareholderstoamemberofhisorherimmediatefamily，whoshall，however，takehisorherstocksubjecttoalltheprovisionsandlimitationsofthisagreement.4（c）。
