ThisLeaseContractforStandardFactoryPremises（hereinafterreferredtoasthe“Contract”）isenteredintobyandbetweenthefollowingpartiesin（Pleaseinserttheexecutionplace）,thePeople’sRepublicofChina（the“PRC”）on（Month）（Date）,（Year）:

Afterfullnegotiation,PartyAandPartyBherebyenterintothisContractontheleaseoftheNo.（Pleaseinserttheserialnumber）standardfactorypremiseslocatedin（Pleaseinsertthelocation）:

1.Lease

PartyAherebyagreestoleasetoPartyBcertainpremisesoftheNo.（Pleaseinserttheserialnumber）standardfactorypremises,withaconstructionareaof（Pleaseinserttheareaofthepremises）squaremeters（the“Premises”）,locatedin（Pleaseinsertthelocation）,whosedetailsaremorespecificallyandfullydescribedintheBuildingOwnershipCertificateattachedheretoasAppendix1,togetherwiththeState-ownedlanduserightsoftheland（the“Land”）pertainingtothePremiseswithatotalareaof（PleaseinserttheareaofsuchLand）squaremeters（the“LandUseRights”）,whichisobtainedbygranting（theboundaryoftheLand,andthenatureandtermoftheLandUseRights,etc.aremorespecificallyandfullydescribedintheState-ownedLandUseRightsCertificateattachedheretoasAppendix2）,andallfixturesandimprovedfacilitiescurrentlyexistingontheLand,allpublicutilitiesandfacilitiesrelatedtothePremisesandtheLand（jointlyreferredtoasthe“Facilities”Facilities,togetherwiththePremisesandtheLandUseRightshereinaftercollectivelyreferredtoasthe“FactoryPremises”inthisContract）,forPartyB’suse.ThebasicinformationoftheFactoryPremisesisprovidedforinAppendix3ofthisContract.PartyBagreestoleasefromPartyAtheFactoryPremises.

2.TermofLeaseandFit-outPeriod

PartyBherebyleasestheFactoryPremisesfromPartyAforaperiodof（Pleaseinsertthenumber）months（the“TermofLease”）.Unlessotherwiseprovidedhereinafter,theTermofLeaseshallcommenceon（Month）（Date）,（Year）andexpireon（Month）（Date）,（Year）.（Month）（Date）,（Year）shallbethecommencementdateofthelease.

PartyAagreestoprovidePartyBwithnolessthan（Pleaseinsertthenumber）monthsasthefit-outperiodbeforethecommencementdateofthelease（the“Fit-outPeriod”）.Thefit-outperiodshallcommenceonthenextdayofthedateonwhichPartyAdeliverstheFactoryPremisestoPartyBinaccordancewithArticle4hereof（“CommencementDateoftheFit-outPeriod”）.

PartyBisentitledtorequestrenewaltheleaseoftheFactoryPremises（“Renewal”）withanoticetoPartyAinwritingnolaterthan（Pleaseinsertthenumber）monthspriortotheexpirationoftheTermofLease.Undersuchcircumstances,thePartiesshalldiscussandconfirmtherentfortherenewedterminaccordancewiththestipulationconcerningthemarkupoftherentfortherenewedtermasprovidedinSection3ofArticle3ofthisContract.IfthePartiesreachaconsensusoftherentfortherenewedterm,thePartiesshallsignarenewalcontractwiththesametermsandconditionshereof（exceptfortherentandthetermofthelease）,unlessthePartiesmayagreeotherwise.

3.RentandFees

3.1UnlessthisContractisearlyterminated,andprovidedthatPartyApermitsPartyBtooccupyandusetheFactoryPremises,PartyBshallpayPartyAtheoccupationfeeoftheFactoryPremisesduringthefit-outperiod（“FactoryPremisesOccupationFee”）andtheRentduringtheTermofLease.

3.2TheFactoryPremisesOccupationFeeandtheRentduringtheTermofLeaseshallbecalculatedasfollows.

（a）TheFactoryPremisesOccupationFeeshallbe:

（PleaseinserttheamountofsuchFeeortheformulatocalculatesuchFee）;

（b）RentoftheFactoryPremisesduringtheTermofLease（“Rent”）shallbe:

（PleaseinserttheamountofsuchRentortheformulatocalculatesuchRent）;

3.3UpontheexpiryoftheTermofLease,ifPartyBrequeststorenewthelease,thePartiesmaydiscussadjustmenttotheRentaccordingtothethenfairmarketrateandactualconditionsoftheFactoryPremises.UponPartyA’sconsent,however,themarkupofthetotalrentfortherenewedtermshallinnoeventexceed（Pleaseinsertthestipulatedmarkup）percentoftheRentprovidedinSection2

（2）ofArticle3ofthisContract,viz.totalRentoftheFactory
