EQUITYTRANSFERAGREEMENT

cooperativejointventurecompanyestablishedbyTransferorandTransfereeinaccordancewiththeJointVentureContractandtheArticlesofAssociationsignedbytheParties.Transferorholds50%oftheequityinterest股权intheCompany.

WHEREAS,TransferordesirestoselltoTransferee,andTransfereedesirestopurchasefromTransferortheequityinterestwhichTransferorholdsintheCompanyinaccordancewiththetermsandconditionssetouthereunder（the“Transaction”）.1

Interpretation1.1

Definitions.UnlessotherwisedefinedinthisAgreement,capitalizedtermsusedintheEnglishversionofthisAgreementandthetermsinboldusedintheChineseversionofthisAgreementshallhavethefollowingmeanings:

“AIC”meansJinanAdministrationforIndustryandCommerceoritscompetentlocalcounterpart.及其相关分支机构。

“ExaminationandApprovalAuthorities”meansJinanMunicipalForeignTradeandEconomicCooperationBureau,whichiscompetenttoapprovethisAgreement.

“SAFE”meanstheStateAdministrationofForeignExchangeoritscompetentlocalcounterpart.相关的地方分支机构
