Baseontheprincipalofmutualdevelopmentandsincerecooperation,bothpartieshereto,throughamicableconsultation,concludeandenterintothisagreementontheterms&

镇有一块土地,甲乙双方有意共同出资购买该土地用于共同开发,土地价值约1千万美元。
同时,甲乙双方一致同意为共同开发该项目,在缅甸仰光共同注册项目公司<

项目名称及建设内容:
项目暂定名为“M-GREEN”,计划分三期规划为公寓和商务酒店(建设内容根据项目的具体情况确定)。
Article2.PatternofCooperation
合作模式
2.1Baseontheplatformofprojectcompany,bothpartiesshallpurchasethelandwithjointcontribution&
investment,whilethecontributionratioofland-transferringfeesanditsrelatedtaxationexpensesare50%byeachparty;
additionally,projectcompanyshallawardthisprojecttothePartyAinthecooperationmodeofgeneralconstructioncontracting.
甲乙双方以项目公司为平台,共同出资购买土地,土地出让金和相关税费,出资比例为甲乙双方各占50%;
同时项目公司将该项目发包给甲方该,进行施工总承包的模式进行合作。
2.2Bothpartiestoaccomplishtheplanning,developpingandsellingofthisprojectwithjointcontributionandinvestment,amongwhichtheamountofdevelopmentcostisaround15millionUSdollarandtobecontributed50%byeachpartyinthewaythat50%contributedbythePartyAintheformofconstructioncontractingwithprepaiddisbursementand50%bythePartyBintheformofsupplyingconstructionmaterials,suchasrebarandconcrete;
Theinsufficentpartofthecontributionfromeachpartyshallbereplenishedbycash;
Projectearning&
benefittobesharedinlinewithproportionalprinciplebetweenbothparties.
甲乙双方共同出资完成本项目的规划,开发,销售。
其中,开发费用资本金约1500万美元,双方按照50%比例出资,甲方以工程建设垫资施工方式作为出资方式;
乙方以提供工程钢筋、混凝土作为出资方式,甲乙双方出资比例不足部分以现金方式补足。
收益按出资比例分配。
2.3Exceptfortheregisteredcapitalofprojectcompany,allothercapitalsinvestedbybothpartieswhichincludebutnotlimitedtolandcostandtheinvestedcostattheinitialstageofprojectdevelopment,shallbedeemedastheshareholderloanfortheprojectcompany,andit’smutuallyagreethatsuchcapitalsshallnotbechargedwithinterest.
除项目公司注册资金以外,甲、乙双方其余投入(包括但不限于甲、乙方投入的土地成本和初期投入的开发成本)均记作双方对项目公司的股东借款,双方同意不计取利息。
2.4ThePartyAshallbeawardedwiththeprojectcontractthroughprojectcompanyinthemannerofgeneralconstructioncontracting:
项目公司将该项目以施工总承包方式发包给甲方:
Thetotalprojectcostisaround67millionUSdollars(exclusiveoftaxation);
PartyAundertaketheprojectasthegeneralconstructioncontractor(contracttemplateshallconformwiththeContractConditionforWorksofCivilEngineeringConstruction,1stversion1987,FIDIC);
andprojectcompanytakechargeofengagingarchitectengineers,consultantsorconsultingcompanyanditsdesigncost,sellingexpensesandotherrelatedfeesgeneratedintheprocessshallbeincludedintototalprojectcostandtheexpensesoftaxationarisingfromgeneralconstructioncontractinginMyanmarshallbebornebyprojectcompany;
工程总造价约6700万美元(不含税),甲方负责项目的施工总承包(合同模板采用FIDIC红皮书1987年第一版);
项目公司负责聘
