Pattern of Cooperation合作模式2.1 Base on the platform of

7、project company, both parties shall purchase the land with joint contribution & investment, while the contribution ratio of land-transferring fees and its related taxation expenses are 50% by each party; additionally, project company shall award this project to the Party A in the cooperation mode of

8、 general construction contracting.甲乙双方以项目公司为平台，共同出资购买土地，土地出让金和相关税费，出资比例为甲乙双方各占50%；同时项目公司将该项目发包给甲方该，进行施工总承包的模式进行合作。2.2 Both parties to accomplish the planning, developping and selling of this project with joint contribution and investment, among which the amount of development cost is around 15 milli

9、on US dollar and to be contributed 50% by each party in the way that 50% contributed by the Party A in the form of construction contracting with prepaid disbursement and 50% by the Party B in the form of supplying construction materials, such as rebar and concrete; The insufficent part of the contri

10、bution from each party shall be replenished by cash; Project earning & benefit to be shared in line with proportional principle between both parties.甲乙双方共同出资完成本项目的规划，开发，销售。其中，开发费用资本金约1500万美元，双方按照50%比例出资，甲方以工程建设垫资施工方式作为出资方式；乙方以提供工程钢筋、混凝土作为出资方式，甲乙双方出资比例不足部分以现金方式补足。收益按出资比例分配。2.3 Except for the register
