ARTICLESOFASSOCIATION

OF

M/sABCPharmaPrivateLimited

I.PRELIMINARY

1. TheRegulationscontainedinTable‘F’intheSchedule‘I’totheCompaniesAct,2013shallapplytothecompanyexceptinasfarasotherwiseexpresslyincorporatedhereinafter.

II.INTERPRETATION

2.  （i）Intheseregulations—

（a）“theAct”meanstheCompaniesAct,2013,

（b）“theseal”meansthecommonsealofthecompany.

（ii）Unlessthecontextotherwiserequires,wordsorexpressionscontainedintheseregulationsshallbearthesamemeaningasintheActoranystatutorymodificationthereofinforceatthedateatwhichtheseregulationsbecomebindingonthecompany.

III. PRIVATECOMPANY

3. TheCompanyisaprivatecompanywithinthemeaningofSections2（68）oftheCompaniesAct,2013andaccordingly:

（a）TherighttotransferthesharesintheCompanyisrestrictedinthemannerandtotheextenthereinafterappearing;and

（b）ThenumberofmembersoftheCompany（exclusiveofpersonswhoareintheemploymentoftheCompany,andperson,whohavingbeenformerlyintheemploymentoftheCompany,werethemembersoftheCompanywhileinthatemploymentandhavecontinuedtobemembersaftertheemploymentceased）shallnotbemorethan200（TwoHundred）providedthatforthepurposeofthisprovision,where2（two）ormorepersonsjointlyhold1（one）ormoreshare（s）intheCompany,theyshallbetreatedasasinglemember;

（c）Noinvitationsshallbeissuedtothepublictosubscribeforanysharesinordebenturesofthecompany;

IV.SHARECAPITALANDVARIATIONOFRIGHTS

4.  SubjecttotheprovisionsoftheActandtheseArticles,thesharesinthecapitaloftheCompanyshallbeunderthecontroloftheDirectorswhomayissue,allotorotherwisedisposeofthesameoranyofthemtosuchpersons,insuchproportionandonsuchtermsandconditionsandeitheratapremiumoratparandatsuchtimeastheymayfromtimetotimethinkfit.

5.  （i） Everypersonwhosenameisenteredasamemberintheregisterofmembersshallbeentitledtoreceivewithintwomonthsafterincorporation,incaseofsubscriberstothememorandumorafterallotmentorwithinonemonthaftertheapplicationfortheregistrationoftransferortransmissionorwithinsuchotherperiodastheconditionsofissueshallbeprovided,—

（a） onecertificateforallhisshareswithoutpaymentofanycharges;or

（b） severalcertificates,eachforoneormoreofhisshares,uponpaymentoftwentyrupeesforeachcertificateafterthefirst.

（ii） Everycertificateshallbeunderthesealandshallspecifythesharestowhichitrelatesandtheamountpaid-upthereon.

（iii） Inrespectofanyshareorsharesheldjointlybyseveralpersons,thecompanyshallnotbeboundtoissuemorethanonecertificate,anddeliveryofacertificateforasharetooneofseveraljointholdersshallbesufficientdeliverytoallsuchholders.

6.  （i） Ifanysharecertificatebewornout,defaced,mutilatedortornoriftherebenofurtherspaceonthebackforendorsementoftransfer,thenuponproductionandsurrenderthereoftothecompany,anewcertificatemaybeissuedinlieuthereof,andifanycertificateislostordestroyedthenuponproofthereoftothesatisfactionofthecompanyandonexecutionofsuchindemnityasthecompanydeemadequate,anewcertificateinlieuthereofshallbegiven.EverycertificateunderthisArticleshallbeissuedonpaymentoftwentyrupeesforeachcertificate.

（ii） TheprovisionsofArticles

（2）and（3）shall mutatismutandis applytodebenturesofthecompany.

7. （i） Ifatanytimethesharecapitalisdividedintodifferentclassesofshares,therightsattachedtoanyclass（unlessotherwiseprovidedbythetermsofissueofthesharesofthatclass）may,subjecttotheprovisionsofsection48,andwhetherornotthecompanyisbeingwoundup,bevariedwiththeconsentinwritingoftheholdersofthree-fourthsoftheissuedsharesofthatclass,orwiththesanctionofaspecialresolutionpassedataseparatemeetingoftheholdersofthesharesofthatclass.

（ii） Toeverysuchseparatemeeting,theprovisionsoftheseregulationsrelatingtogeneralmeetingsshall mutatismutandis apply,butsothatthenecessaryquorumshallbeatleasttwopersonsholdingatleastone-thirdoftheissuedsharesoftheclassinquestion.

8. Therightsconferredupontheholdersofthesharesofanyclassissuedwithpreferredorotherrightsshallnot,unlessotherwiseexpresslyprovidedbythetermsofissueofthesharesofthatclass,bedeemedtobevariedbythecreationorissueoffurthersharesranking paripassu therewith.

9. Subjecttotheprovisionsofsection55,anypreferencesharesmay,withthesanctionofanordinaryresolution,beissuedonthetermsthattheyaretoberedeemedonsuchter
