SpecimenAgencyAgreement（I）

1.ThePrincipalappointstheAgentasandfromthefirstdayofJanuary,2001tobeitssoleAgentinFinland（hereinaftercalled“thearea”）forthesaleofPrintedCottonmanufacturedbythePrincipalandsuchothergoodsandmerchandise（allofwhicharehereinafterreferredtoas“thegoods”）asmayhereafterbemutuallyagreedbetweenthem.

2.TheAgentwillduringthetermof2years（andthereafteruntildeterminedbyeitherpartygivingthreemonths’previousnoticeinwriting）diligentlyandfaithfullyservethePrincipalasitsAgentandwillendeavortoextendthesaleofthegoodsofthePrincipalwithintheareaandwillnotdoanythingthatmaypreventsuchsaleorinterferewiththedevelopmentofthePrincipal’stradeinthearea.

3.ThePrincipalwillfromtimetotimefurnishtheAgentwithastatementoftheminimumpricesatwhichthegoodsarerespectivelytobesoldandtheAgentshallnotsellbelowsuchminimumpricebutshallendeavorineachcasetoobtainthebestpriceobtainable.

4.TheAgentshallnotsellanyofthegoodstoanyperson,company,orfirmresidingoutsidethearea,norshallheknowinglysellanyofthegoodstoanyperson,company,orfirmresidingwithintheareawithaviewtotheirexportationtoanyothercountryorareawithouttheconsentinwritingofthePrincipal.

5.TheAgentshallnotduringthecontinuanceoftheAgencyherebyconstitutedsellgoodsofasimilarclassorsuchaswouldormightcompeteorinterferewiththesaleofthePrincipal’sgoodseitheronhisownaccountoronbehalfofanyotherperson,company,orfirmwhomsoever.

6.UponreceiptbytheAgentofanyorderforthegoodstheAgentwillimmediatelytransmitsuchorderstothePrincipalwho（ifsuchorderisacceptedbythePrincipal）willexecutethesamebysupplyingthegoodsdirecttotheCustomer.

7.UpontheexecutionofanysuchorderthePrincipalshallforwardtotheAgentaduplicatecopyoftheinvoicesentwiththegoodstothecustomerandinlikemannershallfromtimetotimeinformtheAgentwhenpaymentismadebythecustomertothePrincipal.

8.TheAgentshalldulykeepanaccountofallordersobtainedbyhimandshalleverythreemonthssendinacopyofsuchaccounttothePrincipal.

9.TheprincipalshallallowtheAgentthefollowingcommissions（basedonF.O.B.UnitedKingdomvalues）inrespectofallordersobtaineddirectbytheAgentintheareawhichhavebeenacceptedandexecutedbythePrincipal.ThesaidcommissionshallbepayableeverythreemonthsontheamountsactuallyreceivedbythePrincipalfromthecustomers.

10.TheAgentshallbeentitledtocommissiononthetermsandconditionsmentionedinthelastprecedingclauseonallexportorderstoFinlandforthegoodsreceivedbythePrincipalfromtheAgent.ExportordersinthisclausementionedshallnotincludeordersforthegoodsreceivedbythePrincipalsfromandsolddeliveredtocustomers’principalplaceofbusinessoutsidetheareaalthoughsuchgoodsmaysubsequentlybeexportedbysuchcustomersintothearea,exceptingwherethereisconclusiveevidencethatsuchorderswhichmayactuallybetransmittedviatheHeadOfficeinEnglandareresultantfromworkdonebytheAgentwiththecustomers.

11.ShouldanydisputeariseastotheamountofcommissionpayablebythePrincipaltotheAgentthesameshallbesettledbytheAgentforthetimebeingofthePrincipalwhosecertificateshallbefinalandbindingonboththePrincipalandtheAgent.

12.TheAgentshallnotinanywaypledgethecreditofthePrincipal.

13.TheAgentshallnotgiveanywarrantyinrespectofthegoodswithouttheauthorityinwritingofthePrincipal.
