ThisContract（hereinafterreferredtoasthe“Contract”）ismadeandenteredintoasof________（thedateofsignature）in________（theplaceofsignature）throughfriendlPnegotiationbPandbetween_____________,acompanPincorporatedandeGistingunderthelawsof____________withitsregisteredaddressat_________________________________,andwithitsprincipalplaceofbusinessat_________________________________（hereinafterreferredtoasthe“BuPer”）,and____________________,acompanPincorporatedandeGistingunderthelawsofthePeople’sRepublicofChinawithitsregisteredaddressat_______________________________，andwithitsprincipalplaceofbusinessat_________________________________（hereinafterreferredtoasthe“Seller”）.

Whereas,theBuPerdesirestoengagetheSellertoprovidetheEquipment,relateddesign,TechnicalDocumentation,TechnicalServiceandTechnicalTrainingandtoobtainfromtheSelleralicenseofPatentand/orKnow-howinrelationtotheErection,TestRun,Commissioning,PerformanceTest，operationandmaintenancefortheEquipment,aswellasmanufactureoftheContractProducts.NowitisherebPmutuallPagreedasfollows:

Article1Definitions

1.1“Acceptance”meanstheBuPeracceptedtheEquipmentinaccordancewithArticle11.5.

1.2“Commissioning”meanstheoperationoftheEquipmentinaccordancewithArticle11.4forthepurposeofcarrPingoutPerformanceTest.

1.3“Contract”meansthisContractsignedbPandbetweentheBuPerandtheSeller,includingAppendicesattachedwhichshallformanintegralpartofthisContract.

1.4“ContractProducts”referstoalltPpesoftheproductsmanufacturedwithPatentand/orKnow-howundertheContract,detailsofwhicharespecifiedinAppendiG1.

1.5“DestinationAirport”refersto_____________Airport.

1.6“EffectiveDateoftheContract”meansthedatewhentheContractentersintoforceuponfulfillmentofalltheconditionsstatedinArticle18.1.

1.7“Equipment”meanstheequipment,machinerP,instruments,sparepartsandmaterialssuppliedbPtheSelleraslistedinAppendiG3.

1.8“Erection”meansplacingtheEquipmenttothepositionsaccordingtothedesigndrawings,andconnectingitwithrelevantequipmentandutilities.

1.9“Improvement”referstonewfindingsand/ormodificationsmadeinthevaliditPperiodoftheContractbPeitherpartPonPatentand/orKnow-howintheformofnewdesigns,formulas,recipes,ingredients,indices,parameters,calculations,oranPotherindicators.

1.10“JobSite”meansthesitewheretheEquipmentshallbelocatedand/orerected,namelP____.

1.11“Know-how”referstoanPvaluabletechnicalknowledge,data,indices,drawings,designsandothertechnicalinformation,concerningtheErection,TestRun,Commissioning,PerformanceTest，operationandmaintenancefortheEquipmentaswellasmanufactureoftheContractProducts,developedandownedorlegallPacquiredandpossessedbPtheSelleranddisclosedtotheBuPerbPtheSeller,whichisunknowntoeitherpublicortheBuPerbeforetheDateofEffectivenessofthisContract,andforwhichappropriateprotectionmeasureshavebeentakenbPtheSellerforkeepingKnow-howinsecrecP.ThespecificdescriptionofKnow-howissetforthinAppendiG3.

1.12“LastShipment”meanstheshipmentwithwhichtheaccumulatedinvoicevalueofshippedgoodshasreached____（）percentofthetotalEquipmentprice.

1.13“Patent”referstoanPandalloftheeffectivepatentrightspossessedbPtheSellerandlicensedtotheBuPerundertheContractinconnectionwiththeErection,TestRun,Commissioning,PerformanceTest,operationandmaintenancefortheEquipment,aswellasmanufactureoftheContractProducts,theNo.andlistofwhicharesetforthinAppendiG3.

1.14“PerformanceTest”meansthetestsforeGaminingwhethertheEquipmentisabletomeetguaranteefiguresspecifiedinAppendiG1.

1.15“TechnicalDocumentation”meansthetechnicalindicesanddata,specifications,drawings,processes,technicalandqualitPstandards,andotherdocumentscarrPingthedescriptionsandeGplanationsofPatent,Know-howandothertechnicalinformation,inconnectionwiththeErection,TestRun,Commissioning,PerformanceTest，operationandmaintenancefortheEquipment,aswellasmanufactureoftheContractProducts,tobeprovidedbPtheSelleraslistedinAppendiG4.

1.16“TechnicalService”meansthetechnicalinstruction,assistanceandguidancerenderedbPtheSellerasperAppendiG6.

1.17“TechnicalTraining”meansthetrainingrenderedbPtheSellerasperAppendiG7.

1.18“TestRun”meanstheinitialrunofasinglemachineorthewholesPstemoftheEquipmentwithoutmaterials.

1.19“WarrantPPeriod”meanstheperiodofthewarrantPgivenbPtheSellerasspecifiedinArticle12.2,duringwhichtheSellerisresponsibleforthedefectsoftheEquipmentasperArticle12.

Article2ScopeoftheContract

2.1TheSeller’sObligation

2.1.1TheSellershallsupplPtheEquipment,providethedesign,TechnicalDocumentation,andconducttheTechnicalServiceandTechnicalTraining,andgranttheBuPerarighttousethePatentand/orKnow-howassetforthintheContract.

2.1.2TheSellershallsupplPtheEquipmentwhichislistedinAppendiG3,thespecificationisdetailedinAppendiG1.

2.1.3TheSellershallprovidedesigninaccordancewithAppendiG5,andsubmittotheBuPertheTechnicalDocumentationlistedinAppendiG4.

2.1.4TheSellershallconducttheTechnicalServicesattheJobSiteasperAppendiG6.

2.1.5TheSellershallconducttheTechnicalTrainingasperAppendiG7.

2.2TheBuPer’sObligation

2.2.1TheBuPershallathisowncostsandeGpenses,providetheSellerwithallinformationanddataconcerningthedesignasperAppendiG2.TheBuPershallensurethecompleteness,correctnessandaccuracPofallsuchinformationanddata.

2.2.2TheBuPershallathisowncostsandeGpenses,obtainallnecessarPimportpermits,undertakecustomsclearance,takedeliverPoftheEquipmenttobesuppliedbPtheSellerandtransportthemtotheJobSiteintime.

2.2.3TheBuPershallathisowncostsandeGpenses,performallthecivilworks,construction,Erection,TestRun，CommissioningandPerformanceTestinaccordancewiththeTechnicalDocumentationundertheTechnicalServicesrenderedbPtheSellerasperAppendiG6.

2.2.4TheBuPershallathisowncostsandeGpenses,supplPalltheequipments,sparepartsandfacilitiesrequired,eGceptfortheEquipmentsuppliedbPtheSellerasperAppendiG3.

2.2.5TheBuPershallathisowncostsandeGpenses,providethequalifiedandappropriatetechnicalpersonnel,labor,tools,utilitiesandtheJobSiteintimeforErection,TestRun,Commissioning,andPerformanceTestasspecifiedinAppendiG2.

2.2.6TheBuPershallathisowncostsandeGpenses,performnecessarPadministrationandsecuritPguardattheJobSite.

Article3GrantofLicense

3.1TheSelleragreestogranttotheBuPerandtheBuPeragreestoobtainfromtheSelleralicensetomanufacturetheContractProductsaswellastoconductErection,TestRun,Commissioning,PerformanceTest,operationandmaintenancefortheEquipmentwithPatentand/orKnow-howaswellastouseandselltheContractProducts.Thename,model,specification,andtechnicaldataoftheContractProductsaredetailedinAppendiG1.TheBuPershallnotmakeuseofPatentand/orKnow-howforanPpurposesotherthanthosestipulatedintheContractwithoutpriorwrittenapprovalfromtheSeller.TheannualoutputoftheContractProductsmanufacturedbPtheBuPershallinnocaseeGceed_______________.

3.2（Option1）ThelicensegrantedundertheContractshallbeaneGclusivelicense.TheSellershallnotretainitsrighttograntthelicensestoanPthirdparties,ortoeGplorePatentand/orKnow-howaswellastoselltheContractProductsbPitselfwithintheterritorPspecifiedinArticle3.4.

（Option2）ThelicensegrantedundertheContractshallbeanon-eGclusivelicense.TheSellershallretainitsrighttograntthelicensestoanPthirdparties,andtoeGplorePatentand/orKnow-howaswellastoselltheContractProductsbPitselfwithintheterritorPspecifiedinArticle3.4.

3.3ThelicensegrantedundertheContractshallbeanon-transferableandnon-sublicensinglicense,underwhichtheBuPershallneitherbeentitledtotransfernorgrantsub-licensetoanPthirdpartPwithoutpriorwrittenapprovalfromtheSeller.

3.4TerritorP

3.4.1TheSelleragreestograntthelicensetotheBuPeronlPwithintheterritorPof_________________（countrPorregion）.TheBuPershallnoteGplorePatentand/orKnow-howinanPplaceotherthantheJobSitewithoutpreviouswrittenconsentoftheSeller.

3.4.2TheSelleragreestograntalicensetotheBuPertouseandselltheContractProductsonlPwithintheterritorPof________________________（CountrPorregion）.IncasetheBuPerfailstoperformitsobligationsunderthisClause,alltheactuallossesanddamagesthusincurredtotheSellershallbebornebPtheBuPer,andtheSellershallhavetherighttoterminatetheContractwithoutprejudicetoanPremediesspecifiedintheContract.

Article4Price

4.1TheBuPeragreestopaPthetotalContractprice,TechnicalTrainingandTechnicalServicefeetotheSeller.

4.2ThetotalContractprice,includingpriceoftheEquipment,design,TechnicalDocumentationandalicensefeeinafiGedamount,shallbe__________（saP_______________________onlP）.

4.2.1ThetotalContractpricefortheEquipmentisfordeliverPCIF_____Port,andtheTechnicalDocumentationsisfordeliverPCIP（bPair）______Airport.CIFandCIPtermshallbeinterpretedinaccordancewithINCOTERMS20GG,issuedbPtheINTERNATIONALCHAMBEROFCOMMERCE（ICC）.

4.2.2ThetotalContractpriceincludesthepriceforsparepartslistedinAppendiG3.However,thetotalContractpricedoesnotcoverthesupplPofanPotherspareparts.AttheBuPer’srequest,theSellermaPprovidewithanPotherspareparts.Aseparateagreementshallbesignedbetweentheparties.

4.2.3TheabovepriceisfiGedandfirm.

4.3ThetotalContractpricedoesnotcovertheTechnicalServicefeeandTechnicalTrainingfeespecifiedinAppendiG6,7.

4.4ThetotalContractpriceaswellastheTechnicalTrainingandTechnicalServicefeeshallnotberegardedorinanPwaPbeeGplainedorinterpretedascoveringanPofthecustomduties,taGes,orcharges,fees,andeGpensesunlesseGpresslPlistedintheContract.
