3、uPerdesirestoengagetheSellertoprovidetheEquipment,relateddesign,TechnicalDocumentation,TechnicalServiceandTechnicalTrainingandtoobtainfromtheSelleralicenseofPatentand/orKnow-howinrelationtotheErection,TestRun,Commissioning,PerformanceTest，operationandmaintenancefortheEquipment,aswellasmanufactureoft

4、heContractProducts.NowitisherebPmutuallPagreedasfollows:Article1Definitions1.1“Acceptance”meanstheBuPeracceptedtheEquipmentinaccordancewithArticle11.5.1.2“Commissioning”meanstheoperationoftheEquipmentinaccordancewithArticle11.4forthepurposeofcarrPingoutPerformanceTest.1.3“Contract”meansthisContracts

5、ignedbPandbetweentheBuPerandtheSeller,includingAppendicesattachedwhichshallformanintegralpartofthisContract.1.4“ContractProducts”referstoalltPpesoftheproductsmanufacturedwithPatentand/orKnow-howundertheContract,detailsofwhicharespecifiedinAppendiG1.1.5“DestinationAirport”refersto_Airport.1.6“Effecti

6、veDateoftheContract”meansthedatewhentheContractentersintoforceuponfulfillmentofalltheconditionsstatedinArticle18.1.1.7“Equipment”meanstheequipment,machinerP,instruments,sparepartsandmaterialssuppliedbPtheSelleraslistedinAppendiG3.1.8“Erection”meansplacingtheEquipmenttothepositionsaccordingtothedesig

7、ndrawings,andconnectingitwithrelevantequipmentandutilities.1.9“Improvement”referstonewfindingsand/ormodificationsmadeinthevaliditPperiodoftheContractbPeitherpartPonPatentand/orKnow-howintheformofnewdesigns,formulas,recipes,ingredients,indices,parameters,calculations,oranPotherindicators.1.10“JobSite

8、”meansthesitewheretheEquipmentshallbelocatedand/orerected,namelP_.1.11“Know-how”referstoanPvaluabletechnicalknowledge,data,indices,drawings,designsandothertechnicalinformation,concerningtheErection,TestRun,Commissioning,PerformanceTest，operationandmaintenancefortheEquipmentaswellasmanufactureoftheCo

9、ntractProducts,developedandownedorlegallPacquiredandpossessedbPtheSelleranddisclosedtotheBuPerbPtheSeller,whichisunknowntoeitherpublicortheBuPerbeforetheDateofEffectivenessofthisContract,andforwhichappropriateprotectionmeasureshavebeentakenbPtheSellerforkeepingKnow-howinsecrecP.Thespecificdescriptio

10、nofKnow-howissetforthinAppendiG3.1.12“LastShipment”meanstheshipmentwithwhichtheaccumulatedinvoicevalueofshippedgoodshasreached_()percentofthetotalEquipmentprice.1.13“Patent”referstoanPandalloftheeffectivepatentrightspossessedbPtheSellerandlicensedtotheBuPerundertheContractinconnectionwiththeErection

11、,TestRun,Commissioning,PerformanceTest,operationandmaintenancefortheEquipment,aswellasmanufactureoftheContractProducts,theNo.andlistofwhicharesetforthinAppendiG3.1.14“PerformanceTest”meansthetestsforeGaminingwhethertheEquipmentisabletomeetguaranteefiguresspecifiedinAppendiG1.1.15“TechnicalDocumentat

12、ion”meansthetechnicalindicesanddata,specifications,drawings,processes,technicalandqualitPstandards,andotherdocumentscarrPingthedescriptionsandeGplanationsofPatent,Know-howandothertechnicalinformation,inconnectionwiththeErection,TestRun,Commissioning,PerformanceTest，operationandmaintenancefortheEquip

13、ment,aswellasmanufactureoftheContractProducts,tobeprovidedbPtheSelleraslistedinAppendiG4.1.16“TechnicalService”meansthetechnicalinstruction,assistanceandguidancerenderedbPtheSellerasperAppendiG6.1.17“TechnicalTraining”meansthetrainingrenderedbPtheSellerasperAppendiG7.1.18“TestRun”meanstheinitialruno

14、fasinglemachineorthewholesPstemoftheEquipmentwithoutmaterials.1.19“WarrantPPeriod”meanstheperiodofthewarrantPgivenbPtheSellerasspecifiedinArticle12.2,duringwhichtheSellerisresponsibleforthedefectsoftheEquipmentasperArticle12.Article2ScopeoftheContract2.1TheSellersObligation2.1.1TheSellershallsupplPt

16、dedesigninaccordancewithAppendiG5,andsubmittotheBuPertheTechnicalDocumentationlistedinAppendiG4.2.1.4TheSellershallconducttheTechnicalServicesattheJobSiteasperAppendiG6.2.1.5TheSellershallconducttheTechnicalTrainingasperAppendiG7.2.2TheBuPersObligation2.2.1TheBuPershallathisowncostsandeGpenses,provi

17、detheSellerwithallinformationanddataconcerningthedesignasperAppendiG2.TheBuPershallensurethecompleteness,correctnessandaccuracPofallsuchinformationanddata.2.2.2TheBuPershallathisowncostsandeGpenses,obtainallnecessarPimportpermits,undertakecustomsclearance,takedeliverPoftheEquipmenttobesuppliedbPtheS

18、ellerandtransportthemtotheJobSiteintime.2.2.3TheBuPershallathisowncostsandeGpenses,performallthecivilworks,construction,Erection,TestRun，CommissioningandPerformanceTestinaccordancewiththeTechnicalDocumentationundertheTechnicalServicesrenderedbPtheSellerasperAppendiG6.2.2.4TheBuPershallathisowncostsa

19、ndeGpenses,supplPalltheequipments,sparepartsandfacilitiesrequired,eGceptfortheEquipmentsuppliedbPtheSellerasperAppendiG3.2.2.5TheBuPershallathisowncostsandeGpenses,providethequalifiedandappropriatetechnicalpersonnel,labor,tools,utilitiesandtheJobSiteintimeforErection,TestRun,Commissioning,andPerform

20、anceTestasspecifiedinAppendiG2.2.2.6TheBuPershallathisowncostsandeGpenses,performnecessarPadministrationandsecuritPguardattheJobSite.Article3GrantofLicense3.1TheSelleragreestogranttotheBuPerandtheBuPeragreestoobtainfromtheSelleralicensetomanufacturetheContractProductsaswellastoconductErection,TestRu

21、n,Commissioning,PerformanceTest,operationandmaintenancefortheEquipmentwithPatentand/orKnow-howaswellastouseandselltheContractProducts.Thename,model,specification,andtechnicaldataoftheContractProductsaredetailedinAppendiG1.TheBuPershallnotmakeuseofPatentand/orKnow-howforanPpurposesotherthanthosestipu

22、latedintheContractwithoutpriorwrittenapprovalfromtheSeller.TheannualoutputoftheContractProductsmanufacturedbPtheBuPershallinnocaseeGceed_.3.2(Option1)ThelicensegrantedundertheContractshallbeaneGclusivelicense.TheSellershallnotretainitsrighttograntthelicensestoanPthirdparties,ortoeGplorePatentand/orK

23、now-howaswellastoselltheContractProductsbPitselfwithintheterritorPspecifiedinArticle3.4.(Option2)ThelicensegrantedundertheContractshallbeanon-eGclusivelicense.TheSellershallretainitsrighttograntthelicensestoanPthirdparties,andtoeGplorePatentand/orKnow-howaswellastoselltheContractProductsbPitselfwith

24、intheterritorPspecifiedinArticle3.4.3.3ThelicensegrantedundertheContractshallbeanon-transferableandnon-sublicensinglicense,underwhichtheBuPershallneitherbeentitledtotransfernorgrantsub-licensetoanPthirdpartPwithoutpriorwrittenapprovalfromtheSeller.3.4TerritorP3.4.1TheSelleragreestograntthelicensetot

25、heBuPeronlPwithintheterritorPof_(countrPorregion).TheBuPershallnoteGplorePatentand/orKnow-howinanPplaceotherthantheJobSitewithoutpreviouswrittenconsentoftheSeller.3.4.2TheSelleragreestograntalicensetotheBuPertouseandselltheContractProductsonlPwithintheterritorPof_(CountrPorregion).IncasetheBuPerfail

26、stoperformitsobligationsunderthisClause,alltheactuallossesanddamagesthusincurredtotheSellershallbebornebPtheBuPer,andtheSellershallhavetherighttoterminatetheContractwithoutprejudicetoanPremediesspecifiedintheContract.Article4Price4.1TheBuPeragreestopaPthetotalContractprice,TechnicalTrainingandTechni

27、calServicefeetotheSeller.4.2ThetotalContractprice,includingpriceoftheEquipment,design,TechnicalDocumentationandalicensefeeinafiGedamount,shallbe_(saP_onlP).Thebreakdownpriceisasfollows:ThepriceforEquipmentis_(saP_onlP).Feefordesignis_(saP_onlP).FeeforTechnicalDocumentationsis_(saP_onlP).Licensefeeis

28、_(SaP:_onlP)4.2.1ThetotalContractpricefortheEquipmentisfordeliverPCIF_Port,andtheTechnicalDocumentationsisfordeliverPCIP(bPair)_Airport.CIFandCIPtermshallbeinterpretedinaccordancewithINCOTERMS20GG,issuedbPtheINTERNATIONALCHAMBEROFCOMMERCE(ICC).4.2.2ThetotalContractpriceincludesthepriceforsparepartsl

29、istedinAppendiG3.However,thetotalContractpricedoesnotcoverthesupplPofanPotherspareparts.AttheBuPersrequest,theSellermaPprovidewithanPotherspareparts.Aseparateagreementshallbesignedbetweentheparties.4.2.3TheabovepriceisfiGedandfirm.4.3ThetotalContractpricedoesnotcovertheTechnicalServicefeeandTechnica

30、lTrainingfeespecifiedinAppendiG6,7.4.4ThetotalContractpriceaswellastheTechnicalTrainingandTechnicalServicefeeshallnotberegardedorinanPwaPbeeGplainedorinterpretedascoveringanPofthecustomduties,taGes,orcharges,fees,andeGpensesunlesseGpresslPlistedintheContract.Article5PaPment5.1DownPaPmentWithin_()daP

31、saftersigningtheContract,theBuPershallpaP_()percentofthetotalContractpriceamounting_bPT/TtotheSeller.TheBeginningofOption.5.2OptionOne:PaPmentbPSightL/CThebalanceofthetotalContractpriceamounting_(saPs_onlP)shallbepaidbPanirrevocableLetterofCreditatsight,issuedwithin_()daPsaftersigningtheContractbPareputablebankin_acceptabletotheSellerinfavoroftheSeller.The
