甲、乙双方在平等、自愿的基础上，经充分协商，就乙方购买甲方商品达成以下买卖合同条款。

一、采购内容及收付款

二、商品质量

质量标准及包装:

原装包装，未经使用过的、全新的，合法销售渠道供应，产品质量符合出口国

相关质量标准并检验合格。

关于商品效期:

若商品效期在36个月及以上的，则实际供应商品的可用效期不低于30个月;若商品效期

在30个月，则实际供应商品的可用效期不低于24个月;若商品效期在24个月，则实际供应商品的可用

效期不低于18个月;若商品效期在18个月及以内的，则实际供应商品的可用效期不低于15个月。

特殊

商品双方协商约定商品效期说明。

Availableperiodofcommodities:

iftheavailableperiodofcommoditieslastsfor36months

andoverit,thentheavailableperiodoftheactualsuppliedgoodsshallbenotlessthan

30months;iftheavailableperiodofcommoditiesiswithin30months,thentheavailableperiodoftheactualsuppliedgoodsshallbenotlessthan24months;iftheavailableperiodofcommoditiesiswithin24months,thentheavailableperiodofcommoditiesoftheactualsuppliedgoodsshallbenotlessthan18months;andiftheavailableperiodofcommoditieslastsfor18monthsandiswithinit,thentheavailableperiodoftheactualsuppliedgoodsshallbenotlessthan15months.Forspecialcommodities,bothpartiesshallreachanagreementontheinstructionsfortheavailableperiodofcommodities.甲方承诺所供应的商品是正规渠道合法合规的商品，甲方需对商品来源链路负责，需要有供应渠道的合法

授权，并最终对商品的合规合法负责。

如果一旦出现被证明提供的是假冒伪劣商品，甲方需要承担由此产

生的一切后果，乙方保留对其追责的权利。

甲方须保证本采购合同对应的产品合乎生产国对应的法律法规

要求的各项质量技术标准。

PartyAshallpromisethatthegoodssuppliedbyithavereregulated,lawfulandcompliantchannels.PartyAshallberesponsibleforthesourceandlinkofgoods,shallhavethelegalauthorizationofsupplychannelandshallbefinallyresponsibleforthelegalityofcommodities.Onceitisrevealedandprovedthatthesuppliedcommoditiesbelongtofakeandinferiorcommodities,PartyAshallbearalltheensuingconsequencesandPartyBshallreservetherighttoinvestigatetheaccountabilityofPartyA.PartyAshallpromisethatalltheproductsrelatedtothiscontractshallmeetallkindsofqualityandtechnicalstandardsrequiredbythelawsandregulationsoftheproducingcountry.

三、商品交付

商品交付方式为:

此商品订单按照进行交易，甲方需做好订单商品的海外出口相关工作，并协助乙

方做好订单商品国内报关、报检及入库上架等事宜及其他必要协助。

甲方必须确保采购商品报关单证（发票、装箱单、提单）与实际装运商品明细的一致

性，否则货物到港后造成乙方无法办理报关入库等工作由甲方负责;甲方所交付的货物包装及运输包装

物必须符合行业习惯和中国法律规定，否则造成无法交付由甲方负责;在合同约定期限内甲方未能及时交

货的，甲方需要承担违约责任。

hegoodswithinthestipulatedtimelimitinthecontract,PartyAshallbeartheriskofgoodsloss,damageanddestruction;andafterthegoodsdeliveryorifPartyArefusestodelivergoodsordelaysgoodsdeliveryduetothedefaultofPartyB,thentheriskofgoodsloss,damageanddestructionshallbebornebyPartyB.PartyAshallensurethattheinformationcontainedincustomsclearancedocuments（invoice,packinglistandbilloflading）shallbeidenticalwiththeactualshipmentproducts,orelsePartyAshallberesponsiblefortheresultsensued,likePartyBfailedtoclearthecustoms;TheproductspackagingandshipmentpackingshallmeetthetradepracticeandChineselawsandregulations,orelse

PartyAshallberesponsiblefortheresultsensued;IfPartyAcouldnotdelivertheproductswithintheagreeddate,PartyAshallbeartheresponsibilityofbreachingthecontract.

四、价款结算

本采购订单总价款为:

此次采购商品约定按照模式操作，如有部分采购商品后续需调整直邮或集货模式操

作的，由双方协商确定，并以附件形式补充。

withthebondedandstockmode.Ifsomepurchasedgoodsneedtoadjusttheoperationofdirectmailorgoodscollectionsubsequently,bothpartiesshallmutuallynegotiateonitand

双方签订跨境商品采购合同后，乙方在个工作日内按“采购订单”预付**%比例的预付定金给甲方作

为同意甲方执行采购订单的依据，乙方收到出库单和空运提货单后的个工作日内完成**%款项的结算，

订单商品完成入库后个工作日内完成剩余**%款项的结算。

seeingtheoutboundorderandbilloflading,PartyBshallpay**remainingpaymentwithi

因集货或直邮业务零售订单发生的物流费用由乙方负责，双方约定按照个工作日周期结算，甲方需

提供有效的物流费用清单作为结算凭证。

五、违约责任

5.LiabilityforBreachofContract

1、本合同签订后，自“第四条”定金支付后，如果甲方没有按照合同规定的日期供货，除本合同第六条

所规定的不可抗力之外，如确因特殊原因导致部分或全部订单商品未能按期交付的，甲方需提前7天以书

面形式通知乙方，并经乙方确认同意后以补充协议另订责任和交付约定等说明。

如甲方未按上述规定执行

甲方应按每天**的应付款项支付违约金给乙方。

未能按期交付的订单商品，甲方有义务通过调拨等方式

提供相应商品以满足乙方因延期交付产生的零售订单需求。

1.Afterthesigningofthecontract,accordingtodepositpaymentin"Article4",ifPartyAfailstosupplyinaccordancewiththegivendateinthecontract,becauseofotherspecialcausesthatleadthelatedeliveryofpartialorallordersexcepttheforcemajeurestipulatedinArticle6ofthecontract,PartyAshallinformPartyBinwriting7daysinadvance,anditneedstheconfirmationofPartyB’sagreementtosupplementtheagreement,

makecleartheresponsibilityandarrangementfordelivery,etc.IfPartyAfailstoperforminaccordancewiththeprovisionsmentionedabove,itshouldpaythebreachpenaltytoPartyBaccordingto**payablesperday.The

goodsthatPartyAfailedtodeliveronschedule,PartyAshallprovideforPartBbyallocatingmethodssuchassupplyingcorrespondinggoodstomeetthedemandofPartyB’sretailorderscausedbythedelays.

如果甲方违约不按期交货超过7（包含）天或者乙方违约终止采购，都应当承担本订单总价款**的违约金。

IfPartyAdelaysdeliveryover7（containing）daysorPartyBterminatesprocurement,boththepartiesshallbear**penaltyofthetotalpriceoftheorderduetobreachofcontract.

2、如由于“第四条”中约定的乙方未按时履行相应的款项支付，并没有提前书面通知甲方取得甲方同意

的，则甲方可要求乙方执行按每天**的应付款项支付滞纳金;

若支付违约金不足以弥补守约方损失的，违约方应当赔偿给守约方造成的一切损失（包括直接损失、可得

利益损失及主张权利的费用等）。

Ifthepenaltyisnotenoughtomakeupforthelosstotheotherparty,thepartyinbreachshallcompensateforallthelossesfortheotherparty（includingdirectloss,lossofexpectationbenefitandcostofadvocatingrights,etc.）.3、甲方对交付商品需严格遵守本合同第二条的质量约定，如果交付商品保质期与约定不符乙方可要求退

货退款，由此造成的相关费用需要甲方承担;如由于交付的商品质量不符或者证明假冒伪劣产品而造成对

乙方的任何损失，甲方需承担全部责任。

3.PartyAmuststrictlyabidebythecontracttermsonthequalityofthedeliveringgoodsinArticle2ofthecontract.Iftheexpirationdateofthedeliveryofgoodsdoesnotaccordwiththecontract,PartyBmayrequestreturnsandrefunds,andtheresultingrelatedexpensesshallbebornebyPartyA;IfanylossofPartyBcausedbythegoodsthatturnouttobefakeorinferiorproducts,PartyAshalltakeallresponsibility.若违约金不足以弥补守约方损失的，违约方应当赔偿给守约方造成的一切损失（包括直接损失、可得利益

损失及主张权利的费用等）。

1、合同的解除与终止

1.Revocation&TerminationofContract

双方协商一致的，可以终止合同的履行。

一方根本性违约的，另一方有权解除合同，但应当及时书面通知

到对方。

Ifbothsidesreachaunanimousagreementthroughconsultation,theycanterminatetheimpl

ementationofthecontract.Ifonepartyhasbreachedthecontractfundamentally,theother

partyisentitledtoterminatethecontractbutshalltimelynotifytheotherpartyinwri

ttenform.

2、不可抗力

2.ForceMajeure

因火灾、战争、罢工、自然灾害等不可抗力因素而致本合同不能履行的，双方终止合同的履行，各自的损

失各自承担。

不可抗力因素消失后，双方需要继续履行合同的，由双方另行协商。

Ifthecontractisunabletobecarriedoutowingtofires,wars,strikes,naturaldisastersandotherforcemajeurefactors,bothpartiescanterminatetheperformanceofthecontractandeachofthemshallbeartheirlossesrespectively.Afterallforcemajeurefactorsvanish,ifbothpartiesneedtocontinuetoperformthecontract,theyshallseparatelydiscussoverit.

因不可抗力终止合同履行的一方，应当于事件发生后15日内向对方提供有权部门出具的发生不可抗力事

件的证明文件并及时通知对方。
