daysaftershipment,sendbyexpressairmailoneextra

Buyers.

此外，卖方应于货物发运后三天内，用特快专递寄

送一套上述的票据给买方。

11.SHIPMENT:

TheSellersshallshipthegoodswithinthe

shipmenttimefromtheportofshipmenttothe

destination.Transshipmentisallowed.Partialshipmentisnotallowed.

运输：

卖方应于交货期内将合同货物从装货港运到

目的港，不准分批，赞同转运。

12.SHIPPINGADVICE:

Thesellersshall,immediatelyuponthecompletionoftheloadingofthegoods,advisebyfax

thebuyersoftheContractNo.,commodity,quantity,invoicedvalue,grossweight,nameofvesselanddateofdeliveryetc.Incaseduetothesellersnothavingfaxedintime,alllossescausedshallbebornebythesellers.

装运通知：

卖方应于装货后，立刻用将有关合

同号、货物、数目、发票价值、毛重、运输工具名称、交货

日期、货物估计到达日等资料通知买方。

假如因为卖方未能

通知买方而造成的所有损失均由卖方担当。

13.GUARANTEEOFQUALITY:

TheSellersguaranteethattheCommodity

hereofismadeofthebestmaterialswithfirstclass

workmanship,brandnewandunused,andcompliesinall

respectswiththequalityandspecificationstipulated

inthisContract.Theguaranteeperiodshallbe12

monthscountingfromthedateofsigningtheAcceptance

Reportofthismachineattheend-userssite.

质量保证：

卖方保证合同货物采纳最好的资料、精

湛的做工、崭新、未使用过、质量和技术规格均切合合同的

要求。

质保期为最后用户签订查收报告后

12个月内。

14.CLAIMS:

Within90daysafterthearrivalofthegoods

atdestination,shouldthequality,specification,or

quantity

befound

unconformity

with

thestipulations

ofthe

Contract

except

those

claims

for

which

the

insurancecompanyornottheownersofthevesselare

liable,

the

Buyers

shall,

on

the

strength

of

the

Inspection

Certificate

issued

by

the

State

Administration

for

Entry-Exit

Inspection

and

QuarantineofP.R.C.orthesiteinspectionreport

issuedbythesellersengineer,havetherighttoclaim

forreplacementwithnewgoods,orforcompensation,

andallexpenses（suchasinspectioncharges,freight

for

returning

thegoodsandfor

sending

the

replacement,

insurancepremium,storageandloadingandunloading

charges

etc.）

shall

bebornebythe

Sellers.

Asregards

quality,

the

Sellers

shall

guaranteethat

if

within

12

monthsfromthedateofsigningtheacceptancereport

of

this

machine,

damagesoccur

in

the

course

of

operation

by

reason

of

inferior

quality,

bad

workmanship

ortheuseofinferior

materials,

the

Buyersshall

immediately

notify

the

Sellers

in

writing

and

put

forward

a

claim

supported

by

Inspection

Certificate

issued

by

the

State

Administration

for

Entry-ExitInspectionandQuarantineofP.R.C..The

Certificatesoissuedshallbeacceptedasthebaseof

aclaim.TheSellers,inaccordancewiththeBuyers

claim

shall

be

responsible

for

the

immediate

elimination

of

the

defect（s）,

complete

or

partial

replacementofthecommodityorshalldevaluatethe

commodityaccording

to

the

state

of

defect（s）,

.If

the

Sellers

fail

toanswertheBuyerswithin

onemonthafter

receipt

of

the

aforesaid

claim,the

claimshall

be

reckonedashavingbeenacceptedbytheSellers.

索赔：

货物到达目的地后

90

天内，假如质量、技

术规格或数目发现与合同的规定不符（除过保险企业和运输企业的责任所负），买方应当依照中华人民共和国进出境查验检疫局的查验报告或许是卖方的调试人员在安装调试时

出具的报告，有官僚求替代或赔偿，所有的花费（包含商检费、替补件往返的运费、保险费、仓储费、货物装货卸货费

等）均由卖方担当。

卖方的质量保证为签订对于此批货物的

查收报告后12个月内;因为货物内在的质量、差的做工、选材不妥而造成操作中的货物破坏，买方应立刻书面通知卖

方，并同时随附中国商检局出具的查验报告作为索赔依照。

卖方在接到买方的索赔后，有责任立刻解决相应的质量问

题、所有或局部地替代货物或依据货物破坏的程度进行折价假如卖方在收到买方的上述索赔后一个月内未能作出回复，那么视为索赔已为卖方所接受。

15.FORCEMAJEURE:

TheSellersshallnotbeheldresponsiblefor

thedelayinshipmentornon-deliveryofthegoodsdue

toForceMajeure,whichmightoccurduringtheprocess

ofmanufacturingorinthecourseofloadingortransit.

TheSellersshalladvisetheBuyersimmediatelyofthe

occurrencementionedaboveandwithinfourteendays

thereafter,theSellersshallsendbyairmailtothe

Buyersfortheiracceptanceacertificateofthe

accidentissuedbytheCompetentGovernmentAuthoritieswheretheaccidentoccursasevidencethereof.UndersuchcircumstancestheSellers,however,

arestillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods.Incasetheaccidentlastsformorethan10weeks,theBuyersshallhavetherighttocanceltheContract.

不行抗力：

对于制造或装船运输过程中可能产生的

不行抗力而造成的迟交货或不可以交货，卖方能够不担当责

任。

卖方应立刻在不行抗力产生的十四日内将有关状况通知

买方，而且卖方应用航空邮件将有关政府当局部门出具的证

明不行抗力产生的文件寄送给买方。

在此状况下，卖方仍应

尽最大努力采纳各样举措促进货物的发运。

假如事故连续十

周，买方有权撤消该合同。

16.LATEDELIVERYANDPENALTY:

ShouldtheSellersfailtomakedeliveryon

timeasstipulatedintheContract,withexceptionof

ForceMajeurecausesspecifiedinClause15ofthis

Contract.TheBuyersshallagreetopostponethe

deliveryonconditionthattheSellersagreetopaya

penaltywhichshallbedeductedbythepayingbankfrom

thepayment.ThePenalty,however,shallnotexceed5%

ofthetotalvalueofthegoodsinvolvedinthelate

delivery.Therateofpenaltyischargedat0.5%for

everysevendays.Odddayslessthansevendaysshould

becountedassevendays.IncasetheSellersfailto

makedeliverytenweekslaterthanthetimeof

shipment

stipulatedintheContract,theBuyersshallhavethe

righttocancelthecontractandtheSellers,inspite

thecancellation,shallstillpaytheaforesaid

penalty

totheBuyerswithoutdelay.

迟交货和罚金：

假如卖方未能按合同规定实时交货

（除了本合同15条款所言的不行抗力），买方赞同在卖方付

罚金的前提下迟交货。

罚金的金额不超出迟交货的合同货物

局部的价值的5%，罚金按每7日0.5%计算，少于7日的增

加天数按7日计。

假如卖方未能于合同规定的交货期以后的

十周内发运，买方有权撤消该合同，除此以外，卖方仍要将

有关罚金不加迟延地付给买方。

17.ARBITRATION:

Anydisputearisingfromorinconnectionwith

thisContractshallbesubmittedtoChinaInternational

EconomicandTradeArbitrationCommissionfor

arbitrationwhichshallbeconductedinaccordancewith

theCommissionsarbitrationrulesineffectatthetime

ofapplyingforarbitration.Thearbitralawardis

finalandbindinguponbothpartied.Arbitrationfeeshallbebornebythelosingparty.

仲裁：

与此合同有关的争议应经过友善磋商解决。

假如磋商没法解决，提交中国国际经济贸易仲裁委员会进行

仲裁。

依照申请仲裁时该会现行有效的仲裁规那么进行仲裁。

仲裁判决是终局的，对两方均有拘束力。

仲裁花费由败诉方

担当。

18.BANKCHARGES:

AllbankchargesoutsideChinawillbeontheaccountoftheSellers.

银行花费：

所有中国以外的银行花费均由卖方承

担。

19.OTHER:

This

contract

signed

three

copies,

theseller

holds

onecopyandthe

buyer

hold

twocopies.

其余：

本合同一式叁份，卖方执壹份,买方执贰份。
