9、. SHIPMENT:The Sellers shall ship the goods within theshipment time from the port of shipment to thedestination. Transshipment is allowed. Partial shipment is not allowed.运输：卖方应于交货期内将合同货物从装货港运到目的港，不准分批，赞同转运。12. SHIPPING ADVICE:The sellers shall, immediately upon the completion of the loading of the

10、goods, advise by faxthe buyers of the Contract No., commodity, quantity, invoiced value, gross weight, name of vessel and date of delivery etc. In case due to the sellers not having faxed in time, all losses caused shall be borne by the sellers.装运通知：卖方应于装货后，立刻用 将有关合同号、货物、数目、发票价值、毛重、运输工具名称、交货日期、货物估计到

GUARANTEE OF QUALITY:The Sellers guarantee that the Commodityhereof is made of the best materials with first classworkmanship, brand new and unused, and complies in allrespects with the quality and specification stipulatedin this Contract. 12、d shall be 12months counting from the date of signing the AcceptanceReport of this machine at the end-users site.质量保证：卖方保证合同货物采纳最好的资料、精湛的做工、崭新、未使用过、质量和技术规格均切合合同的要求。质保期为最后用户签订查收报告后12 个月内。14. CLAIMS:Within 90 days after the arrival of the goodsat destination, should the quality, specification, orquant

13、itybe foundinunconformitywiththe stipulationsof theContractexceptthoseclaimsforwhichtheinsurance company or not the owners of the vessel areliable,theBuyersshall,onthestrengthoftheInspectionCertificateissuedbytheStateAdministrationforEntry-ExitInspectionandQuarantine of P.R.C. or the site inspection

14、 reportissued by the sellers engineer, have the right to claimfor replacement with new goods, or for compensation,and all expenses (such as inspection charges, freightforreturningthe goods and forsendingthereplacement,insurance premium, storage and loading and unloadingchargesetc.)shallbe borne by t

15、heSellers.As regardsquality,theSellersshallguarantee thatifwithin12months from the date of signing the acceptance reportofthismachine,damages occurinthecourseofoperationbyreasonofinferiorquality,badworkmanshipor the use of inferiormaterials,theBuyers shallimmediatelynotifytheSellersinwritingandputfo

16、rwardaclaimsupportedbyInspectionCertificateissuedbytheStateAdministrationforEntry-Exit Inspection and Quarantine of P.R.C. .TheCertificate so issued shall be accepted as the base ofa claim. The Sellers, in accordance with the Buyersclaimshallberesponsiblefortheimmediateeliminationofthedefect(s),comp

17、leteorpartialreplacement of the commodity or shall devaluate thecommodity accordingtothestateofdefect(s),. IftheSellersfailto answer the Buyers withinone month afterreceiptoftheaforesaidclaim, theclaim shallbereckoned as having been accepted by the Sellers.索赔：货物到达目的地后90天内，假如质量、技术规格或数目发现与合同的规定不符 ( 除过

18、保险企业和运输企业的责任所负 ) ，买方应当依照中华人民共和国进出境查验检疫局的查验报告或许是卖方的调试人员在安装调试时出具的报告，有官僚求替代或赔偿，所有的花费 ( 包含商检费、替补件往返的运费、保险费、仓储费、货物装货卸货费等 ) 均由卖方担当。卖方的质量保证为签订对于此批货物的查收报告后 12 个月内 ; 因为货物内在的质量、差的做工、选材不妥而造成操作中的货物破坏，买方应立刻书面通知卖方，并同时随附中国商检局出具的查验报告作为索赔依照。卖方在接到买方的索赔后，有责任立刻解决相应的质量问题、所有或局部地替代货物或依据货物破坏的程度进行折价假如卖方在收到买方的上述索赔后一个月内未能作出回复

19、，那么视为索赔已为卖方所接受。;15. FORCE MAJEURE:The Sellers shall not be held responsible forthe delay in shipment or non-delivery of the goods dueto Force Majeure, which might occur during the processof manufacturing or in the course of loading or transit.The Sellers shall advise the Buyers immediately of theocc

20、urrence mentioned above and within fourteen daysthereafter, the Sellers shall send by airmail to theBuyers for their acceptance a certificate of theaccident issued by the Competent Government Authorities where the accident occurs as evidence thereof. Under such circumstances the Sellers, however,are

21、 still under the obligation to take all necessary measures to hasten the delivery of the goods. In case the accident lasts for more than 10 weeks, the Buyers shall have the right to cancel the Contract.不行抗力：对于制造或装船运输过程中可能产生的不行抗力而造成的迟交货或不可以交货，卖方能够不担当责任。卖方应立刻在不行抗力产生的十四日内将有关状况通知买方，而且卖方应用航空邮件将有关政府当局部门出具

22、的证明不行抗力产生的文件寄送给买方。在此状况下，卖方仍应尽最大努力采纳各样举措促进货物的发运。假如事故连续十周，买方有权撤消该合同。16.LATE DELIVERY AND PENALTY: Should the Sellers fail to make delivery ontime as stipulated in the Contract, with exception ofForce Majeure causes specified in Clause 15 of thisContract. The Buyers shall agree to postpone thedelivery

23、on condition that the Sellers agree to pay apenalty which shall be deducted by the paying bank fromthe payment. The Penalty, however, shall not exceed 5%of the total value of the goods involved in the latedelivery. The rate of penalty is charged at 0.5% forevery seven days. Odd days less than seven

24、days shouldbe counted as seven days. In case the Sellers fail tomake delivery ten weeks later than the time ofshipmentstipulated in the Contract, the Buyers shall have theright to cancel the contract and the Sellers, in spitethe cancellation, shall still pay the aforesaidpenaltyto the Buyers without

25、 delay.迟交货和罚金：假如卖方未能按合同规定实时交货( 除了本合同 15 条款所言的不行抗力 ) ，买方赞同在卖方付罚金的前提下迟交货。罚金的金额不超出迟交货的合同货物局部的价值的 5%，罚金按每 7 日 0.5%计算，少于 7 日的增加天数按 7 日计。假如卖方未能于合同规定的交货期以后的十周内发运，买方有权撤消该合同，除此以外，卖方仍要将有关罚金不加迟延地付给买方。17. ARBITRATION:Any dispute arising from or in connection withthis Contract shall be submitted to China Interna

26、tionalEconomic and Trade Arbitration Commission forarbitration which shall be conducted in accordance withthe Commissions arbitration rules in effect at the timeof applying for arbitration. The arbitral award isfinal and binding upon both partied. Arbitration fee shall be borne by the losing party.仲

27、裁：与此合同有关的争议应经过友善磋商解决。假如磋商没法解决，提交中国国际经济贸易仲裁委员会进行仲裁。依照申请仲裁时该会现行有效的仲裁规那么进行仲裁。仲裁判决是终局的，对两方均有拘束力。仲裁花费由败诉方担当。18.BANK CHARGES: All bank charges outside China will be on the account of the Sellers.银行花费：所有中国以外的银行花费均由卖方承担。19.OTHER: Thiscontractsignedinthreecopies,the sellerholdsone copy and thebuyerholdtwo copies.其余：本合同一式叁份， 卖方执壹份 , 买方执贰份。
