本货物运输合同（“合同”）由下列双方于______年_____月______日（“签署日”）在深圳市签署。

总则

Article1General

甲方代表其本身及其在中华人民共和国（“中国”）的关联公司与乙方签署本合同。

除非本合同另有规定，本合同项下甲方均包括甲方和甲方所代表的关联公司，甲方及其所代表的关联公司的名单和开票资料详见附件一。

甲方愿意根据本合同向乙方采购本合同项下运输服务及其它相关服务（“运输服务”），乙方愿意根据本合同向甲方提供本合同项下运输服务。

在本合同有效期间内，如甲方新增加的关联公司需向乙方采购本合同项下的运输服务，则在甲方向乙方通知增加其所代表的关联公司并提供该等新增加的关联公司的授权委托书后，本合同自动适用于该等新增加的公司。

如果甲方减少附件一中的关联公司，乙方应在收到甲方的通知时立即停止向该关联公司提供运输服务。

PartyA,onitsownbehalfandonbehalfofitsaffiliatesinthePeople’sRepublicofChina（“China”）,entersintothisContractwithPartyB.PartyAhereunderincludesPartyAandtheaffiliatesitrepresentsexceptasotherwiseprovidedherein.ReferenceshallbemadetoAppendix1withrespecttothenamelistandinvoicinginformationofPartyAanditsaffiliates.PartyAiswillingtopurchasefromPartyBandPartyBiswillingtoprovidetoPartyAthetransportationserviceandotherrelatedservices（“TransportationServices”）inaccordancewiththetermsandconditionsofthisContract.DuringthetermofthisContract,thisContractshallautomaticallyapplytoanynewadditionalaffiliatesofPartyAuponPartyA’snotifyingPartyBofitsrepresentationofsuchnewadditionalaffiliatesandprovidingPartyBwithAuthorizationLettersissuedbysuchadditionalnewaffiliatesifsuchnewadditionalaffiliatesneedpurchasetheTransportationServicesunderthisContract.IfPartyAcancelsanyoftheaffiliatesinAppendix1,PartyBshallimmediatelyterminateprovidingTransportationServicestotheaffiliateuponPartyA’snoticetoPartyB.

本合同载明了乙方所提供的运输服务的质量条款及乙方和甲方或其在本合同项下代表的关联公司之间业务关系的一般交易条款。

乙方确认和同意本合同并不创设甲方或其在本合同项下代表的关联公司必须选择乙方提供货物运输服务的义务。

本合同签署后，在甲方或其在本合同项下代表的关联公司需要乙方提供货物运输服务时，甲方或其在本合同项下代表的该关联公司将另行以甲方发出约柜表的方式向乙方购买本合同项下运输服务。

约柜表及托运单（如本合同附件二所定义）经甲方授权代表签署后，其发出、取消及接受可以采用传真、电传、电子数据交换、电子邮件及其它可以有形地表现所载内容的形式，无论采用以上何种形式均有效并可构成本合同的有效组成部分，乙方应根据本合同及该书面托运单的条件和条款，在与本合同规定不相冲突的前提下，向该托运单中确认的托运人提供货物运输服务（否则，该冲突部分的规定须经乙方确认后方能生效）。

乙方应直接向托运单中确认的托运人开具发票并结算有关运输服务的款项。

ThisContractsetsforththequalitytermswithrespecttoTransportationServicesprovidedbyPartyBandgeneraltradingtermsandconditionsofbusinessrelationshipbetweenPartyBandPartyAandtheaffiliatesPartyArepresentshereunder.PartyBconfirmsandagreesthatthisContractdoesnotcreatetheobligationofPartyAandtheaffiliatesPartyArepresentshereunderchoosingPartyBtoprovideTransportationServices.FollowingtheexecutionofthisContract,whenPartyAandtheaffiliatesPartyArepresentshereunderneedtheTransportationServicesofPartyB,PartyAandtheaffiliatesPartyArepresentshereunderwillpurchasefromPartyBTransportationServiceshereunderbyexecutingawrittenconsignmentnote.Uponthesigningoftheconsignmentnote（asdefinedinAppendixIIofthisContract）bytherepresentativeofPartyA,bydeliveryashipmentscheduletoPartyBbytherepresentativeofPartyA,Thedelivery,cancellationandacceptanceofshipmentschedulecanbeeffectedbyfax,telex,electronicdatainterchange,e-mailandothermediumwhichconcretelycontainthecontent.Theshipmentscheduleandconsignmentnote（asdefinedinAppendixIIofthisContract）shallbecomeeffectiveandconstituteanintegralpartofthisContract.PartyBshallprovideTransportationServicestotheshipperindicatedintheconsignmentnoteaccordingtothetermsandconditionsofthisContractandsuchconsignmentnote.PartyBshalldirectlyissueinvoicestoandsettletransportationchargeswiththeshipperwhichisindicatedinconsignmentnote.

乙方确认并同意甲方及其在本合同项下所代表的关联公司在独立承担各自的托运单及本合同项下义务的同时，甲方及其在本合同项下所代表的关联公司之间仍在各自不能履行义务的前提下就相互的采购运输服务的行为对乙方承担任何连带法律责任。

PartyBconfirmsandagreesthatPartyAandtheaffiliatesitrepresentshereundershallbear,respectivelyandindependently,theobligationsunderconsignmentnoteandthisContractandshallnotundertakeanyjointandseveralliabilitieswitheachotherwithregardtotheirrespectiveprocurementofTransportationServices.

业务范围及车辆规格

Article2BusinessScopeandVehicleSpecifications

业务范围：

根据本合同和甲方书面确认的托运单，乙方为甲方在中国大陆境内提供货物运输业务。

Businessscope:

PartyBshallprovideTransportationServicesofgoodstoPartyAwithintheterritoryofthemainlandofChinapursuanttotheconsignmentnoteconfirmedbyPartyAinwriting.

托运人、货物的名称、性质、数量、大小、包装、收货人的名称及地址、交货地点、交货时间、运输目的等事宜应记载于托运单上，托运单是本合同的组成部分，与本合同具有同等法律效力，双方均应严格遵照执行。

托运单的规定不得与本合同的规定相抵触（除非由双方授权代表签字确认或得到乙方认可）

Informationsuchasthenameoftheshipper,nature,amount,size,packageofgoods,theconsignee’snameandaddress,deliveryplace,deliverytime,transportationpurposeetc.shallberecordedintheconsignmentnote.Theconsignmentnote,whichconstitutesapartofthisContract,shallhavethesamelegaleffectwiththisContractandshallbestrictlycompliedwithbybothParties.

车辆规格：

乙方提供的车辆规格为公路、铁路、海运的半挂标准集装箱车（含箱体及冷藏车）、公路1.5吨车、3吨车、5吨车、8吨车、10吨车、15吨车、18吨车、20吨或以上吨位的全封闭箱式车及敞篷车。

具体车型及运价以双方授权代表签字确认的托运单（报价单）为准如甲方需要乙方安排其它运输的车型，该类安排应由双方另行协商并在前述双方授权代表签字确认的托运单中载明。

当乙方无法提供足量带尾板车时，经甲方同意，可用无尾板车辆配送。

VehicleSpecifications:

thevehiclesprovidedbyPartyBshallbehighway,railwayandmarinesemi-trailer（includingcontainerorreefer）,and1.5ton,3ton,5ton,8ton,10ton,15ton,18tonand20tonorabovesealedandopen-topcontainertrailers.Forthedetailedvehiclemodelsandtransportationprices,pleasebereferredtotheconsignmentnote（Quotation）signedbytheauthorizedrepresentativesoftheParties.IntheeventthatPartyArequestsPartyBtoarrangevehiclesofothermodelsfortransportation,sucharrangementshallbediscussedseparatelybythePartiesandshallbespecifiedintheabovementionedconsignmentnotesignedbytheauthorizedrepresentativesoftheParties.PartyBcouldusetruckwithoutXXwhenauthorizedbyPartyA.

乙方为甲方提供服务的车辆必须是甲方在招标书中注明的标准车型，且必需提供甲方当次向乙方出具的约柜表上注明的车型，如果乙方不能提供当次约柜表上注明的车型，甲方有权拒绝使用，并免于承担任何费用和责任，且视作乙方约柜失败。

如果甲方同意使用乙方提供的非约柜表上注明的柜型，则运费按干线运输价格标准中约定的价格，如果该线路干线运输价格标准中无此柜型报价，则运费将按以下方式计算：

VehiclesofPartyBforthepurposeofprovidingTransportationServicestoPartyAshallbethestandardvehiclemodelsspecifiedbyPartyAinitsbidnoteanditalsoshallbethevehiclemodelsspecifiedbyParityAinitsshipmentscheduleIfPartyBprovidesnon-standardvehiclemodelsorvehiclemodelswhichdifferentwiththemodelsspecifiedinshipmentschedule,PartyAshallhavetherighttorefusetousesuchvehicleandneitherbearanyliabilitynorpayment.ItisfailureofbookingwhenPartyBprovidesvehiclemodelswhichdifferentwiththemodelsspecifiedinshipmentschedule.IfPartyAagreestousenon-standardvehiclemodels,thefreightsshallbeaccordingtothequotation,orfreightsshallbecalculatedinthefollowingmethodswhenthisisnotrelativequotedpriceforspecialnon-standardvehiclemodelsinquotation.

1、在乙方车辆的内装立方数与载重相匹配的情况下：

（1）如因乙方原因导致车辆未满载要发车的，则实际运费按标准40HQ报价除以76立方乘以实际立方数折算；（则实际运费按报价单中对应车型的报价除以对应体积乘以实际立方数折算。

同时，乙方须按甲方合理要求及时发车，否则乙方将赔偿甲方因此造成的直接损失。

（2）满载发车的实际运费按标准40HQ报价除以76立方乘以实际立方数折算（报价单中对应车型的报价除以对应体积乘以实际立方数折算）；

2、如因乙方提供车辆的内装立方数与载重量不匹配导致车辆为避免超重而未满载必须发车的，则实际运费按标准40HQ报价除以76立方乘以实际立方数折算（报价单中对应车型的报价除以对应体积乘以实际立方数折算）；

1.IneventthatthecubicmetersinsidePartyB’svehicleisconsistentwithitscapacityofweight.

（1）IfPartyB’sreasoncausesthevehicleisnotfullyloadedbuthastodepart,theactualfreightshallbecalculatedbythestandardpriceof40HDdividedby76cubicmetersandmultipliedbytheactualcubicmetersofgoods.（bythestandardpriceofcorrespondingvehicleinquotationdividedbycorrespondingcubicandmultipliedbytheactualcubicmetersofgoods,andbesides,PartyBshoulddeliverthevehicleasPartyArequiresorelseshallremainliabletocompensatefortheloss.

（2）Theactualfreightoffullyloadedvehicleshallbecalculatedbythestandardpriceof40HDdividedby76cubicmetersandmultipliedbytheactualcubicmetersofgoods.（bythestandardpriceofcorrespondingvehicleinquotationdividedbycorrespondingcubicandmultipliedbytheactualcubicmetersofgoods）

2.IneventthatthecubicmetersinsidePartyB’svehicleisinconsistentwithitscapacityofweight,toavoidoverweightthevehicleisnotfullyloadedandhastodepart,theactualfreightshallbecalculatedbythestandardpriceof40HDdividedby76cubicmetersandmultipliedbytheactualcubicmetersofgoods.（bythestandardpriceofcorrespondingvehicleinquotationdividedbycorrespondingcubicandmultipliedbytheactualcubicmetersofgoods）

如果乙方提供非标准车型，则乙方必须在摆柜时在摆柜确认单上注明立方数，同时需要通知甲方测量立方数，具体立方数以甲乙双方现场共同确认的数据为准。

且同一货柜下次使用时均按此次双方共同确认之体积结算（除非有改装情况出现，则需另行测量）。

测量体积时，如乙方人员未到场，则视为乙方认同甲方人员测量之数据为结算标准。

IfPartyBprovidesirregulartruckorrevisedcontainer,PartyBshallremarkthedetailedCBMintheconsignmentnoteandnotifyPartyAtomeasureoncetheabove-mentionedtruckplacedatPartyA.BothPartywillmeasuretheCBMonsiteandsetaspaymentstandardafterwards（Unlessthetruckhasbeenrevisedafterthat）.IfPartyBfailstoappearonsiteforthemeasurement,PartyAwillassumethatPartyBhasagreedonPartyA’smeasurementresult.

如果乙方提供的非标准车型内装立方数与载重量不匹配而导致甲方拆柜卸货,由此产生的一切费用全部由乙方承担。

载重量与内装立方数匹配标准为：

内装立方数为76立方的车辆的载重量为20T，非标准车型的载重量需要以这个匹配标准来折算。

IfPartyBrequiresPartyAtounloadpartoftheloadsbecausePartyA’struck’sCBMdoesn’tmatchwiththeweightaccordingto40HQstandard,theunloadingcostisundertakenbyPartyB.

如果乙方未按甲方要求提供标准回程柜，使用非标准柜型，结算时以标准柜型40HQ/18板位为结算标准，按标准（40HQ）回程运价/18板位*实际返回商品板位进行结算（实际运费按报价单中对应车型的回程板数或立方数报价折合实际返回商品板位或立方数进行折算。
