签订本合同。

第一条本合同依据下列文件签订
Article1.ThisContractismadeonthebasisofthefollowingdocuments:
1.1《中华人民共和国合同法》、《中华人民共和国建筑法》和《建设工程勘察设计市场管理规定》。
《TheContractLawofthePeople’sRepublicofChina》,《ThebuildingregulationsofthePeople’sRepublicofChina》and《ThedevelopmentalLawofthePeople’sRepublicofChina.
1.2国家及地方有关建设工程勘察设计管理法规和规章。
RelevantBuilding&DesignCodesandRegulationsoftheStateandoftheShanghaiMunicipality.
1.3建设工程的相关批准文件。

第五条设计费用及支付方法
Article5.Designfeeandthemodeofpayment:
5.1甲方应支付本合同项目的设计费为。
（含所有乙方应缴纳的税费及其它政府规定应由乙方缴纳的款项）
PartyAshallpaythedesignfeeofRMByuanforthisprojecttoPartyB（thisfeeshallincludetaxesandallotherdutiesthatshouldbepaidbyPartyBasrequiredbythegovernmentregulations）.
5.2支付方法（见下表）：

第六条双方责任Article6.Responsibilitiesofbothparties:
6.1甲方责任 ResponsibilitiesofPartyA:
6.1.1甲方按本合同第三条规定的内容，在规定的时间内向乙方提交资料及文件，并对其完整性、正确性及时限负责。
甲方提交上述资料及文件超过规定期限15天以内，乙方按本合同第四条规定交付设计文件时间顺延；超过规定期限15天以上时，乙方有权重新确定提交设计文件的时间。
AccordingtothecontentsstatedinArticle3ofthisContract,PartyAshallsubmitmaterialsanddocumentstoPartyBwithinthestipulatedtimeasdescribedandshallberesponsibleforthecompleteness,correctnessandvalidityofsuchmaterialsanddocuments.IntheeventthatPartyAhasdelayedtheissuanceofsuchmaterialsanddocuments,butnotexceeding15daysfromthestipulatedtime,PartyBcouldconsequentlypostponethesubmittalofthedesigndocumentsasstipulatedinArticle4ofthisContract.IncasethatPartyAhasdelayedtheissuanceofmaterialsanddocumentsformorethan15daysexceedingthestipulatedtimelimit,PartyBshallhavetherighttodeterminethenewdateforsubmittingthedesigndocuments.
6.1.2甲方变更委托设计项目、规模、条件，或对提交资料作重大修改，以致造成乙方设计需返工时，双方除需另行协商签订补充合同、重新明确有关条款外，甲方应按乙方所耗工作
量向乙方支付返工费。
IfPartyAaltersgreatlythedesignproject,scale,conditionswhichtheyhavealreadyentrustedtoPartyB,orthematerialsprovidedbyPartyAiswrong/incompleteorPartyAmakesmajoralterationstotheapproveddesignandtheinformationgiven,asaresultofwhich,hascausedPartyBtoredothedesignwork,orhasgeneratedun-necessaryabortiveworks,bothpartiesshallenterintonegotiationandtodrawupasupplementarycontract.PartyAshallcompensatePartyBfortheadditionalworkloadinaccordancetothenewagreement.
6.1.3在合同履行期间，甲方单方提出解除合同的，乙方已开始设计工作的，甲方应根据乙方已进行的实际工作量支付设计费。
ShouldPartyAterminatetheContractduringthecontractualperiod,PartyAshallpayPartyBaccordingtotheactualworkdone.
6.1.4甲方在收到乙方付款通知书后30天内，按本合同第五条规定的金额和时间向乙方支付设计费用；在收到付款通知书的60天仍未支付，每逾期支付一天，应承担应支付金额千分之一的逾期违约金。
逾期超过30天以上时，乙方有权暂停履行下阶段工作，并书面通知甲方。
甲方上级对设计文件不审批或本合同项目停缓建，甲方均应支付应付的设计费。
PartyAshallpaythedesignfeetoPartyBwithinThirty（30）daysuponreceivingtheNoticeofPaymentfromPartyAaccordingtotheamountandthetimestipulatedinArticle5.IncasethatsuchpaymentisdelayedforSixty（60）daysuponreceivingtheNoticeofPayment,thenapenaltyof0.1%ofthedueamountofpaymentonadailybasisshallbepaidbyPartyA.Incasethatsuchpaymentisdelayedforaperiodover30days,PartyBshallhavetherighttosuspendtheirdesignworkforthenextphaseandshallinformPartyAinwriting.IncasethatthemanagementofPartyAdoesnotapprovethedesigndocumentsortheconstructionoftheprojectofthisContractisstoppedor..postponed,PartyAshallneverthelesspaytheduedesignfee.
6.1.5甲方要求乙方比合同规定时间提前提交设计文件时，甲方应支付赶工费。
IfPartyArequestsPartyBtosubmitthedesigndocumentsaheadofthestipulatedtimeasmentionedintheContract,PartyAshallmakeadditionalpaymentforfastandimmediateservice.
6.1.6为乙方派往现场的工作人员提供工作方便条件。
PartyAshallprovidesiteofficeandallrelevantofficestationaryforPartyB’spersonnelwhoarebeingsenttoworksiteduringtheconstructionstage.
6.1.7甲方应保护乙方的设计版权，未经乙方同意，甲方对乙方交付的设计文件不得复制或向第三方转让或用于本合同外的项目，如发生以上情况，乙方有权索赔。
PartyAshallprotectthedesigncopyrightofPartyB.WithoutPartyB’sconsent,PartyAshallnotduplicateoftransfertoathirdpartyorusethedesigndocumentsforotherprojects.Iftheabove-mentionedishappened,PartyBshallhavetherighttoclaim.
6.2乙方责任：
ResponsibilitiesofPartyB:
6.2.1乙方按本合同第四条规定的内容、时间及份数向甲方交付设计文件。
PartyBshallsubmittoPartyAtherequireddesigndocumentsinrightcontent,timeandcopiesaccordingtotheclauseofArticle4.
6.2.2乙方对设计文件出现的遗漏或错误应在施工前负责修改或补充。
由于乙方设计错误造成工程质量事故损失，乙方除负责采取补救措施外，应免收损失部分的设计费，并根据损失程度向甲方偿付赔偿金，赔偿金额根据乙方与保险公司签订的设计责任保险合同计算。
PartyBshallberesponsibleforcorrectinganyomissionormistakeintheirdesigndocumentsbeforetheconstruction.IfthedesignmistakemadebyPartyBhascausedlossestoPartyA,PartyBshallnotonlyberesponsiblefortakingtheremedialmeasures,butalsoshallremitthedesignfeeforthepartofsuchlossesandshallpaycompensationtoPartyAaccordingtothedegreeofsuchloss.TheamountofthecompensationshallbedeterminedbypartyBandhisinsurancecompanyandtobeinaccordancetotheprofessionalindemnityinsurancecoverage.
6.2.3由于乙方自身原因,延误了按本合同第四条规定的设计文件交付时间,每延误一天,应减收该项目应收设计费的千分之一。
IfitisPartyB’sownfaulttohavedelayedthesubmissionofthedesigndocumentsaccordingtothestipulatedtimeasdescribedinArticle4,PartyBshalldeduct0.1%ofthedueamountofthedesignfeeonadailybasisforthedelayperiod.
6.2.4合同生效后，乙方单方提出解除合同的，乙方应当按照有关规定赔偿甲方损失。
AftertheContractcomesintoforces,ifPartyBproposestoterminatetheContract,PartyBshallcompensatePartyA’slossesaccordingtotherelevantregulations.
6.2.5乙方交付设计文件后，应参加甲方及相关职能部门的设计审查会议及根据审查结论负责不超出原定计划任务书范围内的必要调整补充；负责向甲方及施工单位进行设计交底，处理有关的设计问题和参加竣工验收。
乙方应派相关人员参加施工期间的例会。
乙方应优化设计以帮助业主将造价控制在预算内。
