1.04TheAgentundertakesnottoaccepttherepresentationofothershippingcompaniesnortoengageinNVOCCorsuchfreightforwardingactivitiesintheTerritory,whichareindirectcompetitiontoanyofthePrincipalransportationactivities,withoutpriorwrittenconsent,whichshallnotunreasonablybewithheld.

1.04代理人承诺不接受其他船公司的委托代理，也不从事无船承运人业务或货运代理等活动，这些活动对委托人的任何运输业务构成直接竞争，未经事先书面同意，不得无故停止。

1.05ThePrincipalundertakesnottoappointanyotherpartyintheAgent’sTerritoryfortheservicesdefinedinthisAgreement.

1.08AllaspectsofthePrincipal’sbusinessaretobetreatedconfidentiallyandallfilesandrecordspertainingtothisbusinessarethepropertyofthePrincipal.

2.0DutiesoftheAgent

2.0代理责任

2.01TorepresentthePrincipalintheTerritory,usinghisbestendeavourstocomplyatalltimeswithanyreasonablespecificinstructionswhichthePrincipalmaygive,includingtheuseofPrincipal’sdocumentation,termsandconditions.

2.01作为委托人业务范围内的代表，代理人应尽最大努力服从委托人可能提出的合理、具体的指示，包括委托人的文件材料、条款和条件的使用。

2.02InconsultationwiththePrincipaltorecommendand/orappointonthePrincipal’sbehalfandaccount,Sub-Agents.

2.02与委托人协商，为其推荐并/或代为指定分代理。

2.03InconsultationwiththePrincipaltorecommendand/ortoappointonthePrincipal’sbehalfandaccount,Stevedores,Watchmen,Tallymen,TerminalOperators,Hauliersandallkindsofsuppliers.

2.03与委托人协商，为其推荐并/或代为指定码头装卸工，警卫员，理货员，站点经营人，承运人以及各种供应商。

2.04TheAgentwillnotberesponsibleforthenegligentactsordefaultsoftheSub-AgentorSub-ContractorunlesstheAgentfailstoexerciseduecareintheappointmentandsupervisionofsuchSub-AgentorSub-Contractor.

2.04代理人不对分代理或分包人的疏忽或违约行为负责，除非代理人在被委派监督分代理或分包人的情况下没有做到应尽的关注。

NotwithstandingtheforegoingtheAgentshallberesponsiblefortheactsofhissubsidiarycompaniesappointedwithinthecontextofthisClause.

尽管有以上规定，代理人必须在本条款规定范围内对其附属公司负责。

2.05TheAgentwillalwaysstrictlyobservetheshippinglawsandregulationsofthecountryandwillindemnifythePrincipalforfines,penalties,expensesorrestrictionsthatmayariseduetothefailureoftheAgenttocomplyherewith.

aincontactwithShippers,Consignees,ForwardingAgents,PortandotherAuthoritiesandTradeOrganisations.

3.11根据委托人所规定的所有指导规则，在服务范围内，提供市场和销售活动，包括揽货，宣传服务内容以及与托运人，收货人，货代，港口，其他当局和贸易组织保持联系。

3.12Toprovidestatisticsandinformationandtoreportoncargobookingsanduseofspaceallotments.Toannouncesailingand/orarrivals,andtoquotefreightratesandannouncefreighttariffsandamendments.

3.21Toarrangeforberthingofvessels,loadinganddischargingofthecargo,inaccordancewiththelocalcustomandconditions.

3.22Toarrangeandco-ordinateallactivitiesoftheTerminalOperators,Stevedores,TallymenandallotherContractors,intheinterestofobtainingthebestpossibleoperationanddespatchofthePrincipal?

3.25TocarryoutthePrincipal’srequirementsconcerningclaimshandling,P&Imatters,GeneralAverageand/orinsurance,andtheappointmentofSurveyors.

3.25执行委托人索赔要求的相关处理，船东保

赔协会的事项，共同海损或保险，预约验船师。

3.26Toattendtoallnecessarydocumentationandtoattendtoconsularrequirements.

3.26按要求备好所有相关文件及办理签证。

3.27ToarrangeforandattendtotheclearanceofthevesselandtoarrangeforallotherservicesappertainingtotheVessel’smovementsthroughtheport.

3.27港口代理在港口安排船只的清关还有准备船舶离港时所需其他物品。

3.28ToreporttothePrincipalthevessel’spositionandtoprepareastatementoffactsofthecalland/oraportlog.

3.28港口代理报告委托人船舶位置，并准备装卸时间事实记录或者港口日志。

3.29TokeepthePrincipalregularlyandtimelyinformedonPortandworkingconditionslikelytoaffectthedespatchofthePrincipal’svessels.

3.29港口代理应定期及时地与委托人联系，提供船舶在港及工作情况，使委托人的船舶顺利派遣。

3.3ContainerandRo/RoTraffic

3.3集装箱及滚装运输以下内容中“设备”是指委托人所有、租入或者掌控的集装箱、框架箱（平板箱）、拖车或者类似的货物载运设备。

Where“equipment”isreferredtointhefollowingsectionitshallcomprisecontainer,flatracks,trailersorsimilarcargocarryingdevices,owned,leasedorotherwisecontrolledbythePrincipal.

3.31Toarrangeforthebookingofequipmentonthevessel.

3.32ToarrangeforthestuffingandunstuffingofLCLcargoattheportandtoarrangefortheprovisionofinlandLCLterminals.

3.32安排拼箱货在港口的装箱和掏箱作业，并安排到内陆终点的接送。

3.33Toprovideandadministerapropersystem,ortocomplywiththeprincipal’ssystemforthecontrolandregistrationofequipment.ToorganiseequipmentstockwithintheTerritoryandmakeprovisionforstorage,positioningandrepositioningoftheequipment.

3.33提供并执行一套合适的系统，或使用委托人的系统，用作设备的注册与控制。

在业务范围内组织设备的存量，并为设备的储存、配置和再配置做好准备。

3.34TocomplywithCustomsrequirementsandarrangeforequipmentinterchangedocumentsinrespectofthemovementsforwhichtheAgentisresponsibleandtocontrolthesupplyanduseoflocks,sealsandlabels.

3.34遵照海关的要求，在有关代理负责的运输中，安排设备文件的互换，并控制锁闸、铅封和标签的供给和使用。

3.35Tomakeequipmentavailableandtoarrangeinlandhaulage.

3.35保障设备的可用性，安排内陆拖运。

3.36Toundertaketheleasingofequipmentintoandre-deliveryoutofthesystem.

3.36负责把设备租入系统以及从系统内再转交出去（使用）。

3.37TooperateanadequateequipmentdamagecontrolsystemincompliancewiththePrincipal’sinstructions.To

arrangeforequipmentrepairsandmaintenance,whenandwherenecessaryandtoreportontheconditionofequipmentundertheAgent’scontrol.

3.37按照委托人的指示，管理一个设备损坏适度的控制系统。

按时间地点的需要，安排设备的维修和保养，并报告代理掌控下的设备状况。

3.4GeneralAgency

3.4总代理

3.41Tosupervise,activitiesandco-ordinateallmarketingandsalesactivitiesofPort,InlandAgentsand/orSub-agentsintheTerritory,inaccordancewithgeneralguidelineslaiddownbythePrincipalandtouseeveryefforttoobtainbusinessfromprospectiveclientsandtoconsolidatetheflowofstatisticsandinformation.

3.41根据委托人的总体工作指南，对港口代理、内陆代理和/或服务区域内的复代理的工作和市场推介与销售工作进行监督与协调，尽力获取潜在客户的业务支持，增进数据统计和信息流工作。

3.42Tosuperviseandco-ordinateallactivitiesofPort,InlandAgentsand/orSub-agentsassetforthintheagreement,inordertoensuretheproperperformanceofallcustomaryrequirementsforthebestpossibleoperationofthePrincipal’svesselintheG.A.’sTerritory.

3.42监督和协调前述港口代理、内陆代理和/或复代理的行为，以确保其妥当满足委托人所属船舶所有通常的要求，由此实现最佳营运效果。
