EFFECTIVEDATEOFAGRT:
ThisAgreementisherebymadeandconcludedbyandbetweenYanfengVisteonAutomotiveTrimSystemsCo.,Ltd.（hereinafterreferredtoas“Buyer”）andSupplier（individually“Party”andcollectively“Parties”）,wherebybothsideshavecommonagreementontechnicalissuesofproductionofautomotiveparts（orrawmaterials）listedonAppendixI,ontheprincipleofequalityandmutualbenefitandthroughamicableconsultation.
1.Buyer’sworkcontentandduties
1.1Provideparts（orrawmaterial）technicalstandardtoSupplier（referredtoAppendixIII）.
1.2InformSupplierthemodificationofpartsdrawingandtechnicalstandardintimebyE-mailorinwrittenform.
1.3IfSupplierhasproblemwithtechnicalstandardattrialproduction,engineersinchargeofBuyersideshallgiveresponseintime.
2Supplier’sworkcontentandduties
2.1OrganizethetrialproductionstrictlyaccordingtopartstechnicalstandardsetoutintheappendixesheretoandproductchangenoticeissuedbyBuyer.
2.2Ifthematerialsandprocessetc.cannotmeettherequirementofstandard,SuppliercandosomemodificationandreplacementonlyaftersubmittingapplicationtoengineersinchargeofBuyersideandobtainingBuyer’sapproval.
2.3Materialsshallbeproductsmanufacturedbynormalprocesscondition.
2.4SuppliershallinspectmaterialandsubmitmaterialinspectionreportaccordingtoBuyer’srequestatmaterialsdelivery.AllthematerialinspectionreportsshallbewrittencorrectlyandtidywiththesignatureoftechnicaldirectorfromSupplier.Materialsshallmeettherequirementsofdrawingandlatesttechnicalchangestandard.Suppliershallensurethetimelimitbetweenaccomplishmentofinspectionanddeliveryisnolongerthanoneyear.
2.5Therawmaterialshallbeprovidedwithacompleteproductspecification,productsafetydataandsafetyoperationprocedures.ProductsshallcomplywiththeSafetyandEnvironmentalregulationsofrelevantcountriesandparties.
2.6TherawmaterialSupplierprovidedshallhavewideprocessrangeandgoodcompatibility.ThematerialsshallmeetBuyer’sprocessrequirements.
2.7IffirstsamplefailstopasstheinspectionatBuyer’sside,SuppliercanmakeimprovementsaccordingtoBuyer’srequirementandsubmitthesampleatdatedeterminedbybothsidesinwriting.Ifsupplierstillfailstopasstheinspectionwithinthedeterminedperiod,BuyerhastherightstoterminatethisAgreement.
2.8BeforebeingputintoproductionthematerialshallpasstheinspectionbyBuyer.
2.9ThequalityofproductsSupplierprovidedcannotbelowerthanthatoftheapprovalsample,andproductsshallmeettheimprovementrequirementsoftheBuyerside.
2.10SupplieragreesnottodiscloseanyconfidentialinformationprovidedbyBuyersideintheinteractionprocessofthisAgreementtoathirdpartywithoutthewrittenapprovalofBuyerinadvance.Suppliershallstrictlylimittheaccesstotheconfidentialinformationtotheemployee（s）whoonlyusetheconfidentialinformationfortheoriginalpurposeofthedisclosureofsuchinformation.Suchemployee（s）shallundertaketheconfidentialobligationsofSupplierside.Suppliershallensuresuchemployee（s）undertakethesameconfidentialobligationsasSupplierside.Suchemployee’sbreachoftheobligationswillbeconsideredastheviolationoftheobligationsbySupplierside.InadditiontotheobligationsunderthisAgreement,iftheconfidentialinformationisprovidedtoBuyersidebyathirdpartyandBuyersidehasdutyofconfidentiality,SuppliershalltakethesameconfidentialdutyasBuyersidetoathirdparty.
Confidentialinformationreferstoanyinformationrelatedtobusinessinformoforal,writtenorotherkindprovidedbyBuyerorrepresentativeofBuyersidetoSupplierorrepresentativeofSupplierside.Theinformationincludesbutnotlimitedtothetechnicalfilesandsamples.
3TimeandamountofsampleSuppliersubmitted
3.1Submissiontimeoffirstsample
SuppliershallsubmitthesamplewithinXXmonthsafterreceivingdrawingstandard.
3.2Materialsamount:

4AssignmentandSubcontract
SuppliershallnotassignorsubcontractrelatedcontentheretowithoutwrittenapprovalofBuyerside.
5Clauses’conflict
IfanyoralorwrittentermsandconditionsconfirmedbeforesigningofthisAgreementareconflictingandinconsistentwiththisAgreement,termsofthisAgreementshallprevail.
6Timelimit
ThisAgreementtakeseffectafterbothpartiessignandseal.ThisAgreementisvalidfortheentiredurationofsupplyrelationshipexistingbetweenbothsides.
7Amendments
AmendmentstothisAgreementcanbevalidonlybymutualwrittenconfirmation.
8Defaultclause
EitherPartyinviolationofanyprovisionsofthisAgreement,causingtheotherPartytopayfeesorexpenses,totakeadditionalobligation（includinganypaymentobligation）,orundertakeanylosses,shallcompensatetheotherPartyforfees,expenses,paymentobligation,andlosses.
9CompleteAgreement
ThefollowingappendixesareintegralpartsofthisAgreementandwiththisAgreementconstitutethecompleteagreementontermsandprovisionsconfirmedbybothparties.
AppendixIPartsprojectofthisAgreement
AppendixIITechnicalstandard,relatedenvironmentalregulationsorotherrequirementsprovidedbyBuyerside.
AppendixIIITechnicalrequirementsofrawmaterial.
ThisAgreementismadeintwooriginalsandeachhasthesamelegaleffect.EachPartykeepsone.

TechnicalRequirementsofRawMaterials
1.××Companyprovides××partspecialmaterial,mark××.Thesupplierisnotallowedtoreplacethematerialmarkandformulationswithoutpermission.
2.Therawmaterialsrecognitionofsuppliermustmeetprojecttiming.Iftherawmaterialsneedcustomeracceptance,thesuppliershouldprovidecustomeracceptancereport.
3.Beforethebuyerrecognizetherawmaterials,thelossduetomaterialfailurewhichledunabletocontinuetousethematerialwillbebearedbysupplier.Thedeterminingrighttodecidewhethertocontinueuseitornotisinbuyer’sproductengineer.Whentheproductassemblytesthasmaterial-relatedfailure,thesuppliershouldanalyzethereasonscooperatewiththebuyer.Iftherootcuausesisduetorawmaterials,thesupplierisresponsibleforrectificationandbearthecostofcorrespondingtest.
