商品每月30万吨，本合同其它地点也称为〝产品〞或〝燃料油M100〞，本协议在附录1还提到该商品详细材质单，也是本合同的组成部分。

Theofficialdocument,issuedattheloadportaftercompletionoftheloadingoperations,stating,amongotherthings,theship'sloadedquantity,expressedinMetricTons（MT）perthedefinitionsherein.Thisdocumenthastobesignedinoriginalbytheship'sMasterandmadeoutinaccordancewiththeinstructionhereinafterspecifiedinthiscontract.
装载作业完成后在装货港签发的正式文件。
除其它信息外，说明船舶的装载量，依照定义以公吨〔MT〕表述。
这份文件必须由船长签署原件，并按照本合同下面指定的指令公布。

然而，双方的愿望，签订本合同具有约束力，利益的当事人，继承人和受让人，按照商定的条款和规定执行合同的谈判和充分执行有管辖权的法律。
CLAUSE1–SCOPEOFTHECONTRACT合同的范畴
SellerandBuyer,underfullcorporateauthorityandresponsibility,respectivelyrepresentthatonepartisalawfulownerofthecommodityinquantityandqualityashereunderspecified,andtheotherhasthefullcapabilitytopurchasethesaidcommodity.
卖方和买方在公司的权力和责任下，分别代表的那一部分是合法拥有本协议规定的数量和质量的商品，和其它完全有能力购买的商品。
CLAUSE2–COMMODITY商品
2.1HeavyFuelOilMazutM100Gost10585-75havingthecontractualminimumguaranteedspecificationsasperAnnex〝A〞herewithattachedasanintegralpartoftheContract.
重质燃料油重油M100GOST10585-75合同最低保证的规格按照附件〝A〞随函附奉本合同的组成部分。
CLAUSE3–QUANTITY数量
3.1ThetotalcontractualquantityofthecommoditysoldandpurchasedunderthisContractisMinimumQuantityof3,650,000MetricTonsoneyearcontractsasSeller’soption.
本合同项内的商品销售和购买合同总数量/最低数量为3,650,000公吨1年的合同，由卖方的选择。
3.2SellerandBuyerherebyagreetodeliverandaccepttheabovequantityinpartialshipments,withreferencetoprovisionssetoutinclause4.
卖方和买方特此同意提供并同意上述分批装运的数量，参考第4条的规定。
3.3Trialorder50,000MT+300,000MT/permonthx12contractsshallbedeliveredmonthlyinaccordancewiththedeliveryschedule.
试单5万吨+每月30万吨x12应每月按照交付时刻表交付，
3.4Thatthefirstdeliverywillbeasperdeliveryscheduleandendingontheconclusionofthecontract,andthesubsequentdeliveryschedulesisapprovedbytheloadingterminal（s）onaquarterlybasis.
首次交付将每批时刻表和终止的时刻订立合同，并在随后的交付时刻表订定每一季度的基础下装上货运码头。
3.5Thatthevalidityoftheallocationassignment,asreportedintheaboveclause3.1issubjecttotheacceptancebytheSelleroftheBuyer’sfinancialinstrument.
数量分配的有效性，如上述第3.1条说明是由卖方同意买方的金融工具。
CLAUSE4–TIMEPERIOD期限说明
4.1Thedurationofthiscontractisfor13month’spurchases.Thefirstdelivery,shouldbeinthirty（30）daysofreceivingthebuyer'sfinancialinstruments.
本合同期限为13个月的采购。
第一次交货，应在三十〔30〕日内同意了买方的金融工具。
4.2ThetimeperiodfortheconclusionofeachmonthlysupplyshallterminateoncethefinalbatchofcurrentmonthlylothasbeenassessedattheBuyer’sdesignateddischargeport.However,thetimeperiodbetweenthefirstandthefinalbatchnottoexceedThirty（30）days.
每月供货的时刻期限内，第一和最后一批不超过三十〔30〕天应到达买方指定的卸货港口。
以此规定在合同周期内连续进行。
CLAUSE5–QUALITY第五-质量
5.1ForthefulldurationoftheContract,theSellerguaranteesthatthequalityoftheproductsoldwillconformtotheguaranteedspecificationsasreportedon〝AnnexA〞whichconstitutesanintegralpartofthisContract.
本合同的整个期间内卖方保证销售的产品的质量规格符合报告〝附件A〞，这是构成本合同不可分割的一部分。
CLAUSE6–PRICE第六价格
6.1PriceFixedUSD_____Gross（）PerMetricTonincludingPipelineFees.
价格固定每吨USD_____总值〔美元〕，包括输油管道费。
6.2TheBuyerundertakestonominateadischargeport（s）CIF.BothPartiesagreetosetthepricebyusingtheaboveUnitprice.
卖方承诺价格是CIF到指定卸货港。
双方同意确定上述单价。
CLAUSE7–PAYMENTANDBANKINGPROCEDURES付款和银行程序
7.1.BuyerconfirmssoftofferandissuesanIrrevocableConfirmedPurchasingOrder（ICPO）.
买方确认软报价和不可撤销确认采购订单〔ICPO〕。
7.2.SellerissuesFullCorporateOffer（FCO）endorsedbyBuyerafterreceiptofittoreturn.
卖方提供全面的〔FCO〕由买方后返回签到卖方。
7.3.Sellerissuesdraftcontractopenforamendments.
卖方发出合同草案修改。
7.4BuyerandSellerlodgethecontractintheirrespectivebanksandfinalizethebankforbankprocessing.
买方和卖方提出的合同在各自的银行和银行处理完成银行。
7.5Sellercompanyregistersandlegalizesthefinalcontractwiththeapproprlateministryinchargeandsendtheapprovedcontracttobuyerviaemailandbothpartywilllodgethefinalapprovedcontractwiththeirrespectivebankstostartthetobanktransaction.
卖方公司注册和合法化，最后的合同与负责并将批准的合同给买方通过电子邮件和双方就将最终批准的合同与各自的银行开办的银行交易。
7.6Buyercompanywillcommunicatewiththeirbankandinstructthemtosendafreeformatswiftready,willingandablemessage（RWA）tosellerbanksothatsellerbankwillrespondwiththeconfirmationmessageoffullpop2%PBandthedeliveryguarantybySWIFTmt799.
买方将与其银行商量,通过银行向卖方银行SWIFT发出（RWA）：
买方已具备，决定，有能力购货信息，卖方银行将依照该RWA，通过MT799向买方银行SWIFT确认会:
提供全部POP和2%PB,及保证卖方供货。
UpontheconfirmationoftheSWIFTMT799fromthebuyer´sbank,seller´sbankwillrespondimmediatelyviaSWIFTmt799underfullbankresponsibilityconfirmingtheposessionofthefullPOPdocumentsandreadinesstoreleasethefullpopalongwith2.0%PE
依照买方银行通过SWIFTMT799确认后，卖方银行将通过SWIFTMT799赶忙回复，当收到买方信用证，其银行将负全责，提供全部卖方POP及2.0%保证金给买方

7.8Thefirstshiptobuyer'sBankissue,sightletterofcredit,transferableletterofcreditDL/C（MT700）
买方银行开出的第一艘船即期信用证，可转让信用证DL/C〔MT700〕
7.9.UponrecieptoftepaymentDLC〔MT700〕toseller"sbank,sellerbankwillswiftthefullpopalongwith2.0%performancebondtothebuyer'sbank.
卖方银行收到DLC〔MT700〕后将整套POP及2.0%履约保函发送到买方银行。
7.10.Deliverywillcommenceasscheduledinthefinalcontract.
交期照合同要求执行。
7.11.PaymentforeachshipmentlotmustbepaidtotheSellerbyTelegraphicTransfer（T/T）orMT103within2（Two）daysofarrivalofeachshipmentafterCIQ.
每个交货批次付款必须通过电汇支付给卖方〔T/T〕或MT103后2天〔二〕检验后每批物资的到达CIQ。
7.12.AttheportofdestinationwithinthreeworkingdaysoftestingCIQ/SGStestreport,throughthebuyer'sBank,（T/T）payment,
在目的港口CIQ或SGS测试报告测试的三个工作日内，通过买方银行，〔T/T〕支付
CLAUSE8–DELIVERY交货
TheSellerwarrantsperformingdeliveryofthetransactedcommodityonCIFinsidecustoms–outturnqualityandquantitybasis,tothebuyer’sdesignateddischargeport（s）,theshippingcontractconfirmationinAnnexF,andthedestinationport（s）confirmationinAnnexG.
