THISAGREEMENTmade_________,_________,_________（M,D,Y）,byandbetweenAAACorporation,a_________（Placename）corporationwithitsprincipalplaceofbusinessat_________（Address）,_________（Country）（Company）,andBBBCorporation,a_________（Placename）corporationwithitsprincipalplaceofbusinessat_________（Address）,_________（Country）（Distributor）.

WHEREASCompanywishestodevelopexportsalesofitsSoftwareproductsdefinedbelow;

WHEREASCompanywishestoappointDistributorasCompany’sexclusivedistributorofitsSoftwareproductsintheTerritorydefinedbelow;

ANDWHEREASDistributorwishestoactasCompany’sexclusivedistributorofsaidSoftwareproducts;

NOW,THEREFORE,inconsiderationofthemutualcovenantscontainedherein,thepartiesagreeasfollows:

1.DEFINITIONS

1.1PurchaseNote（s）:

PurchaseNote（s）shallmeanorderformorformsofDistributorwhichshallbefurnishedpursuanttoSection4.1hereof.

1.2Software:

SoftwareshallmeanthoseproprietarycomputerprogramsspecifiedinScheduleA,inmachine-readableformfurnishedbyCompanytoDistributorpursuanttothisAgreement,includingtheSoftwareusermanualandSoftwarespecificationsinmachinereadable,printedorotherform,andalsoincludinganyotherupdatesorenhancementstotheforegoing.

1.3Territory:

Territoryshallmeanthecountryknownas_________（Country）.

1.4WarrantyPeriod:

WarrantyPeriodshallmeanaperiodof[***]monthsfromthedateofthecustomer’sacceptancetoSoftware.

2.APPOINTMENT

2.1Appointment:

CompanyherebyappointsDistributorasitsexclusivedistributorinTerritoryforSoftwareandtherelatedsupportservicestherefor,andDistributorherebyacceptssuchappointment.CompanyshallnotappointanypersonorentityotherthanDistributorasitsdistributor,representativeoragentforSoftwareinTerritory.Companyshallnotsell,transfer,licenseorotherwisemakeavailableSoftwaretoanypersonorentityotherthanDistributorinTerritory.

2.2Inquiries:

AnyinquiryororderreceiveddirectlyorindirectlybyCompanyoriginatingfromTerritorywithrespecttoSoftwareshallbepromptlyreferredtoDistributor.

3.TERM

SubjecttoSection11hereof,thisAgreementshallremainineffectforaperiodofone

（1）yearcommencingonthedatefirstwrittenaboveandshallbeautomaticallyrenewedthereafteronayear-to-yearbasisunlesseitherpartyprovideswrittennoticetotheotherpartyofitsintentionnottorenewthisAgreementatleast[***]priortotheexpirationoftheoriginaltermofthisAgreementoranyrenewalthereof.

4.PAYMENTTERMS

4.1Orders:

CompanyshallfurnishSoftwaretoDistributorinaccordancewithPurchaseNotessubmittedtoCompany.PurchaseNotesshallbebindinguponthepartiesunlessCompanyotherwisenotifiesDistributorinwritingwithinseven（7）daysafterCompany’sreceiptofeachPurchaseNote.IncaseoftermsandconditionsoneachPurchaseNotedeviatefromtheprovisionsonthisAgreement,suchPurchaseNoteshallberequiredCompany’spriorwrittenconsent.IntheeventofanydiscrepancybetweentheprovisionsofthisAgreementandanyPurchaseNote,theprovisionsofsuchPurchaseNoteshallprevail.

4.2Prices:

DistributorshallpaytoCompanythepricesforSoftwarefurnishedtoDistributorhereunder.ThecurrentlyeffectivepriceshallbeinlistedinScheduleA.ThepricesforallSoftwareshallincludethecostofpackagingforexport.SuchpricesshallbediscountedattheratessetforthinScheduleB.[***]shallhavethe[***]torequest[***]than[***]set[***]inorderto[***]Distributorto[***]a[***]for[***]inTerritory.AnyincreaseofthepricesinScheduleAshallbeeffectivenosoonerthan[***]afterthedateofCompany’swrittennoticetherefortoDistributor.AnydecreaseofthepricesthereofshallbecomeeffectiveonthedateoftheCompany’swrittennotice.

4.3Payment:

AllinvoicesfromCompanyshallbesubmittedtoDistributor.PaymentofthepricesshallbemadebyDistributordirectlytoCompanyona[***]basisfromtheinvoicedate.

4.4Shipment:

SoftwareshallbeshippedtoDistributorandcontainedinmedia（e.g.floppydiscormagnetictape）on[***]at[***]addressasfirstwrittenabove,basis.

4.5InitialOrder:

DistributorshallsubmitPurchaseNotefor[***]copiesofSoftwareincludingalloptionsfordistributionpurpose.

4.6DemoCopy:

Withintwo

（2）weeksafterdatefirstwrittenabove,Companyshall,[***],provide[***]SoftwarelicensestoDistributor,whichDistributorshalluseforproductdemonstrationpurpose.[***]floatinglicenseswillbeusedinDistributor’s_________（Placename）officeand[***]floatinglicenseinDistributor’sKansaiOffice.Distributorwillpay[***]licensemaintenancefeefor[***].[***]needstobe[***]forthesecondandthethirdlicenses,[***]forthefirstlicense[***]the[***]year.

5.SUB-LICENSE

Distributorshallexecutewithitscustomerasub-licenseagreementwhichmeetstherequirementssetforthinScheduleC.Distributorshallkeeptherecordsup-to-dateregardinganysub-licenseshereunderandshallmakesuchrecordsavailabletoCompanyatDistributor’spremisesduringregularbusinesshours.

6.WARRANTIES

6.1Warranties:

Companywarrantsthatitistheexclusiveownerof,orhastherighttolicense,Softwareandrelateddocumentation.CompanyalsowarrantsthateachSoftwarewillperforminaccordancewithCompany’spublishedspecificationsforWarrantyPeriod.Companyshall,inaccordancewithSection10hereofprovideDistributorwithanyenhancementstoSoftware[***]duringtheWarrantyPeriodandshalluseduediligencetocorrectanybugsorfunctionalOmittedportionshavebeenfiledseparatelywiththeCommissiondefectsinSoftwareimmediatelyuponreceiptofnoticefromDistributorofsuchbugsordefects.DistributorshallgiveimmediatewrittennoticetoCompanyupondiscoveringanydefectorbeinginformedofanysuchbugsordefectsbyCustomers,andCompany’sobligationunderthiswarrantyshallbetocorrectorreplaceSoftwarecontainingsuchbugsordefects[***].Allcharges,including,butnotlimitedto,freightandcustomduties,shallbeborneby[***]incurredforreplacementofanySoftwareunderthisSection6.1.

6.2Maintenance:

UponDistributor’srequest,CompanyshallprovidetoDistributoratratesspecifiedinScheduleBmaintenanceservicesforSoftware,including,butnotlimitedto,answerstoroutinequestions,technicalassistanceandadviceintheinstallationandday-to-dayuseandapplicationofSoftwareandtheprovisionsofupdatesorenhancementsofSoftware.

7.INTELLECTUALPROPERTY

7.1TitletoSoftware:

TitletoandownershipofSoftwareincludingallpatents,copyrightsandotherpropertyrightsapplicabletheretoshallatalltimesremainsolelyandexclusivelywithCompany.CompanyshallnotassignortransfersuchtitleorownershipinwholeorinpartwithoutthepriorwrittenorconsentofDistributor.DistributoracknowledgesthatCompanyhasproprietaryinterestsinSoftware,andshallnotremoveorobscureanycopyright,patent,trademark,tradesecretorsimilarnoticeaffixedtoanySoftware.

7.2Infringement:

Companyshall,atitsexpense,defendanysuitorproceedingbroughtagainstDistributorwhichisbasedonaclaimthatSoftwareoranypartthereoffurnishedunderthisAgreementconstitutesaninfringementofanyintellectualpropertyright,including,butnotlimitedto,patent,copyrightortrademark,ofanythirdparty.CompanyshallindemnifyDistributorforalldamagesandcostsincludingreasonableattorney’sfees,incurredbyDistributorduetosuchclaimorproceeding.Inadditiontotheforegoing,Companyshall:

（a）procureforDistributortherighttocontinuedistributinganditscustomerstherightstocontinueusingSoftware;（b）replacesamewithanon-infringingSoftware;orgrantDistributorarefundforinfringingSoftware.

8.UPDATES,ENHANCEMENTSANDDISCONTINUATIONS

CompanywillprovideDistributorpursuanttoSub-Section6.2hereof,or[***]duringtheWarrantyPeriod,withcopiesofanyupdatestoSoftwarereleasedbyCompanyforthepurposeofcorrectingDefects,aswellasanyenhancementstoSoftware.CompanyshallnotifyDistributorofthereleaseofanynewsoftwareproductsproducedbyCompanywhicharesimilartoorcompetitivewithSoftwareandsuchnewproductsshallbemadeavailableforsub-licensinghereunderandaddedtoScheduleA.CompanyshallnotifyDistributorimmediatelyinthecaseofupdates,enhancementsornewproductsandatleast[***]inadvanceintheeventCompanydiscontinuesthedistributionofanySoftware.

9.MODIFICATIONS

IntheeventCustomersorprospectivecustomersofDistributorrequestthemodificationstoSoftwareandsuchrequestisusefultoacceleratethedistributionhereunder,Companyshallexercise[***]efforttorespondtosuchrequest.

10.WITHOLDINGTAX

InaccordancewiththeConventionbetweentheUnitedStatesofAmericaand_________（Country）fortheAvoidanceofDoubleTaxationandthePreventionofFiscalEvasionwithRespecttoTaxesonIncomedated_________,_________,_________（M,D,Y）,incometaxordutieswillbeimposedbythe_________（Placename）GovernmentonpaymentsofSoftwarelicensefeestoCompanyunderthisAgreementinthenatureofwithholding.Distributormaydeductsuchamountoftaxorduty（tenpercent（10%）ofprice）fromtherelevantpaymenttoComp
