"LTD",hereinafterreferredasto"BUYER",onbehalfoftheChiefXXXontheonehandand________________________________________,hereinafterreferredasto"SELLER",onbehalfofthe__________________________________________,ontheotherhand,alltogetherreferredasto"Parties",haveconcludedthepresentcontractasfollows:

Article1.SUBJECTOFTHECONTRACT

1.1.TheSellersellsandtheBuyerbuystheconsumergoods（further-"Goods"）,inthequantity,assortment,atpricesstatedinAppendices,whichareanintegralpartofthepresentContract.

1.2.TheGoodsaresubjecttodeliverytothecustomsterritoryoftheRussianFederation.

Article2.COSTANDTOTALSUMOFTHECONTRACT

2.1.PricesoftheGoodsarefixedinUSD.PaymentiseffectuatedinUSD.

2.2.PriceoftheGoodsisstipulatedinAppendicestothepresentContractandincludespackagingandmarkingcharges,loadingcharges,exportcustomsdutiesandotherexpensesincompliancewiththeagreedbythePartiesbasisofdeliveryforeachparticulardeliveryaccordingtoINCOTERMS2000.

2.3.Theprices,indicatedincommercialinvoices,accordingtoAppendices,whichareintegralpartsofthepresentContract,canbechangedupontheagreementbetweentheParties,butnotafterthedeliverydateintheportofloading.

2.4.ThetotalvalueofthepresentContractisindicatedinAppendices.

Article3.TERMSANDTIMEOFDELIVERY

3.1.DeliveryofgoodsiscarriedoutontermsofFOB-China（"INCOTERMS2000"）.

3.2.Notlaterthan10daysbeforedateofsendingofgoodsfromshipmentpointtheSellerisobligedtoinformaboutittheBuyerthroughtelegraphorfax.IncaseiftheBuyerbearslossesasaresultofnotnotificationoftheBuyerbytheSellerwhenduehereunderorasaresultoftheinadequatenoticetheSellerisobligedtocompensatethelossescausedtotheBuyer.

3.3.ThegoodsorderedunderthisContractshallbedeliveredwithinthedates,stipulatedinAppendices.Bytheabovedatethegoodsshallbemanufactured,packed,markedanddeliveredonconditionsstipulatedbythepresentContract.

3.4.ThedateofdeliveryisthedateofanactualtransferoftheGoodstothecarrierspecifiedinAppendices.

3.5.ThePartiesherebyagreethatthetitletotheGoodsunderthisContractshallbetransferredfromtheSellertotheBuyerwhentheSellerdeliverstheGoodsintothecustodyofthecarrier.

3.6.TheBuyeriscarryingoutthegoods’deliveryuponfactualgoods’deliveryincaseofdisclosureofdiscrepancybetweenquantity/assortmentofgoodsand/orotherfactorsbetweenthecommercialinvoiceandfactualquantity/assortmentofsuppliedgoods.Incaseofdiscrepancy’sdisclosuretheBuyermakesmarksintransportationdocument.

3.7.IncaseifatacceptanceofthegoodsbytheBuyerwillbeestablishedinfringementofqualityofthegoodsoritsshortagebyquantity,theBuyershowstotheSellerthecorrespondingclaim.TheSellerisobligedtocompensateimmediatelyshortageofthegoodsand/ortoreplacethegoodsofinadequatequalitywithappropriatequalityifbytheBuyerisnotmadeotherdemandaccordingtoclause10.2.ofthepresentContract.

Article4.QUALITYOFTHEGOODS

4.1.Thequalityofthegoodsistoupontothatofthesamples,agreeduponandconfirmedbyboththeparties,aswellastothetechnicalcharacteristics,statedinSupplementstothepresentContract.OnesampleistobekeptwiththeBuyer,theother-withtheSellerduring12monthsfromthedateofthecompletingofdeliveriesandwillbeconsideredasarbitrationsamples,incaseofanydispute,whichmayarisebetweenthepartiedunderthepresentContract.

4.2.TheSellerisobligedtoproducethefirstsamplesofGoodswithin10（ten）calendardaysandsubmitthemforBuyer’sconfirmationunderconditionthattheSellerhasallnecessarymaterialsforproductionoftheappropriatesample.

4.3.ThequalityofthegoodssoldunderthePresentContractshallbeinfullconformityeitherwiththeStateStandardsexistingintheRForwiththetechnicalconditionsrulingatthemanufacturingworksandshallbeconfirmedbytheQualityCertificateissuedbythemanufacturingplant.

4.4.QualityofthedeliveredgoodsshouldbeconfirmedbyCertificateadequacy（original）,stipulatedinaccordancewiththeRuleofCertificationSystemGOSTofRussia.

4.5.IftheCertificatementionedinitem4.4.isabsent,theSellerwillsubmittotheBuyerin45daysbeforethedateofshipmentallnecessarydocumentsontheproductsshippedunderthepresentContractforcertificationaccordinglytotheregulationsoftheRUSSIANStateStandardCommittee.

4.6.TheSellershallguaranteetotheBuyerthequalityoftheusedmaterialsforGoodsmanufacture（accessories,fabric,etc.）,includingqualityofthesematerialsaccordingallnecessarycharacteristics（composition,density,separation,cockle,colorsteadiness,etc.）,andapprovaloftheappropriatequalitativecharacteristicsbeforestartingofGoodsmanufacturing.TheSellerisfullyresponsibleforthequalityoftheusedmaterials.

4.7.TheBuyerisentitledtoexamineindependentlythematerialsusedforGoodsproduction（fabric,accessories,etc.）ifthelastcorrespondtotheContractualconditionsandtoapprovedqualitativecharacteristics（composition,density,separation,cockle,colorsteadiness,etc.）,eitherbeforeGoodsproductionbytheSeller,oratanytimeafteritstransferattheBuyerdisposal.TheSellerisobligedtograntattheBuyer’srequestsamplesnecessaryforsuchanexamination（fabric,andothermaterials,samplesofGoods）,andalsotoassistinanyotherwayinrealizationoftheabove-mentionedright,alsotogranttotheBuyer’srepresentativethepossibilitytochoosementionedstylesbyhimself.

4.8.TheSellerisobligedtonotifytheBuyeronthepossibilityofGoodsqualitycontrolnotlessthan10（ten）workingdaysbeforethedateofGoodsshipment,indicatedininvoice.

Article5.DELIVERY-ACCEPTANCEOFGOODS

5.1.TheSelleristoprovideforthepossibilityfortheBuyer’srepresentativetoparticipateinpartialorfullcheckingofthequalityofthegoodsbothintheprocessofproductionandofthereadyconsignmentsattheSeller’swarehouses.

TheparticipationoftheBuyer’srepresentativeintheinspectionofthequalityofthegoodsdoesnotreleasetheSellerfromtheresponsibilityforthequalityofthegoods.

5.2.RepresentativesoftheBuyerhavetherighttoinspectandrejecttheGoodsbeforeshipment.Incasemorethan5%oftheconsignmentofgoodsbeinginspected,appearstobeinnon-conformitywiththetermsoftheContract,suchconsignmentcannotbeshippedtotheBuyerandistobereplaced.

5.3.ThegoodsareconsideredasdeliveredbytheSellerandacceptedbytheBuyerunderthefollowingterms:

5.3.1.Concerningquality:

ifthegoodsmeetqualityspecifiedinthecertificatesofapproval,givenbytheSeller.OtherwisetheBuyerinformstheSelleraboutsuchnon-correspondence.

5.3.2.Concerningquantity:

ifthequantityofthedeliveredGoodscorrespondstothatspecifiedintheinvoicesandBillofLadingissuedbytheSeller.

5.4.Thefinalacceptanceofthegoodsinrespectofthequalityandquantityshouldbeeffectedatthereceiver'swarehousewithin120daysafterarrivalofthegoods.

Article6.RIGHTSANDLIABILITIESOFTHEPARTIES

6.1.TheSellerisobliged:

6.1.1.TotransfertheBuyerthegoodsofappropriatequality,inasuitablepackingandinthequantityprovidedbythepresentContractandassortmentinthetermsagreedbytheParties.

6.1.2.Notlaterthan10daysbeforethedateofshipmentbytelegraphortelefaxtoinformtheBuyeronshipmentofthegoods.

6.1.3.Tobearallchargesonpaymentofcustomsformalitiesandalsoonpaymentoftaxes,dutiesandotherduesraisedatexport.

6.1.4.Tobearallrisksoflossordamageofthegoodsandalsootherchargesconcerningthegoodstillthemomentofitsdelivery.

6.1.5.Tobearthechargesconnectedwithinspectionofthegoodsbeforeshipment（including,qualitycheck,measurement,weighingandcalculation）.

6.1.6.Toprovideasuitablepackingofthegoodsandproperlytocarryoutmarkingofthegoods.

6.1.7.UndertherequestoftheBuyertorenderthelastfullassistanceinreceptionofthedocumentsgivenoutand/ortransferredfromthecountryofshipmentand/orcountryoforiginofthegoodswhichcanbenecessaryfortheBuyerforimportofthegoods.

6.2.TheBuyerisobliged:

6.2.1.ToacceptandpaythegoodsinthetermsagreedinthepresentContract.

6.2.2.Tobearchargesonpaymentofalltaxes,customsdutiesandotherduesraisedatimportintheterritoryoftheRussianFederation.

6.2.3.Toconcludeatownexpensethecontractoftransportationofthegoodsuptodestination.

Article7.TERMSOFPAYMENTS

7.1.PaymentofthegoodsshallbeeffectedinUSDollarsbytheBuyerasfollows:

7.1.1.Theadvancedpaymentof30%oftheAppendixvaluewillbemadewithintenbankingdaysfromthedateofsigningoftheAppendix.

7.1.2.Paymentofthebalanceamountof70%ofthevalueofthepresentcontractistobeeffectedwithintenbankingdaysafterthedateofthequalitycontrolheldbytheBuyerbeforetheshipmentintheportofloading.

7.2.PaymentofthegoodsdeliveredundertheAppendixiscarriedoutbytheBuyerbybanktransferofsumduetopayment.

7.3.ThePartiesbearallbankingexpensesontheirterritories.

7.4.ThedateofexecutionbytheBuyerofhismoneyobligationshallbethedateofmoneytransferfromtheBuyer’saccountattheBuy
