为进一步实施人才强校战略，保证我校讲座教授工作的顺利实施，保障甲乙双方的合法权益，根据《中华人民共和国教师法》、《华南理工大学讲座教授聘任办法》的相关规定，经甲乙双方协商订立本合同。
InordertofurtherimplementtheUniversitypolicyof“StrengtheningtheUniversitybyRecruitingTalentedPeople”,toensurethatthechairprofessorundertakehis/herdutiessuccessfully,andtoguaranteethelegitimaterightsandinterestsofbothparties,thetwopartieshavereachedthefollowingagreementsinaccordancewithTheTeacher’sLawofthePeople’sRepublicofChinaandRulesandRegulationsforEmployingChairProfessorsatSCUT.
第一条聘期
ArticleI.EmploymentTerms
甲方聘任乙方为我校讲座教授，岗位聘期为三年。
聘期自20年月日至20年月日。
聘任期满，聘任合同自动解除。
PartyAemploysPartyBaschairprofessoratSCUTforthreeyearsstartingfrom_______（date）of（month）,（year）to（date）of（month）,________（year）.Upontheagreementexpiration,thecontractisautomaticallyterminated.
第二条乙方在聘期内的工作任务
ArticleII.DutiesandTasksofPartyB
1．教学任务（包括承担核心课程的讲授任务，开设本学科前沿领域课程或讲座等）：
1.Teaching（whichincludesteachingcoreandfrontiercoursesintherelatedfields,andlecturesandpresentations.）
2．科研任务（包括以甲方为第一作者单位，并以第一作者或通讯作者身份发表SCI收录论文，或以甲方教师名义出版论著，以甲方为依托单位主持或参与科研项目等）：
2.Scientificresearch（whichincludesSCIjournalpaperswithPartyAasthefirstauthor’saffiliationorthecontactauthor’saffiliation;orbookswiththeauthor’saffiliationtoPartyA;orresearchprojectsheadedbyPartyBorPartyB’sparticipationwithPartyAashis/heraffiliation.）
3．学科建设任务（包括协助甲方相关学科建设，对学科发展方向和研究重点提供重要建议，扩大甲方相关学科的国际影响力）：
3.DisciplineConstruction（whichincludesassistingPartyAinrelateddisciplineconstruction,puttingforwardsuggestionsondisciplinedevelopmentandonresearchpriorities,andhelpingPartyAtoenhanceitsinternationalinfluenceandstatusintherelateddisciplines.）
4．人才培养任务（组建或参与组建科研团队，联合培养博士、硕士研究生，指导博士后研究人员、青年教师，互派高级访问学者等）：
4.Personnelcultivation（whichincludessettinguporhelpingsettingupscientificresearchteams,joint-supervisingPhDcandidatesandMA/MSCcandidates,supervisingpostdoctoralresearchersandyoungteachers,andhelpingwithorganizingexchangingvisitingscholars.）
5．国际交流合作（包括促进甲方与国外科研机构或企业在科研项目合作、学术互访、学生联合培养等方面的合作，邀请知名外国专家来校访问等）：
5.Internationalcommunicationsandcooperation（whichincludespromotingcooperationbetweenPartyAandinternationalresearchinstitutesandenterprisesonscientificandresearchprojects,academicvisitsandjoint-cultivationofstudents,andinvitingrenownedforeignexpertstoSCUT）.
第三条权利和义务
ArticleIII.RightsandObligations
一、甲方权利
1.RightsofPartyA
甲方根据学校的有关规定，对乙方进行管理；甲方依照合同约定的工作目标及任务，对乙方进行考核。
PartyAisentitledtosupervisePartyBinaccordancewithrelevantUniversityrulesandregulations,toassessPartyB’sperformanceonthebasisofthecontract.
二、甲方义务
2.ObligationsofPartyA
1．依法维护乙方应享有的各项权利。
A.ToguaranteerelevantrightsofPartyBinlinewiththecontract.
2．为乙方提供的工作和生活条件：
B.ToprovidePartyBwiththefollowingworkingandlivingconditions:
（1）乙方来校工作期间，甲方为乙方提供讲座教授周转公寓，入住期间发生的水电煤气费等由乙方自行缴纳，学校按专家公寓房租标准收取租金；
a.ToprovidePartyBwithappropriateapartmentwithstandardschoolrent.PartyBneedstopayfortherentaccordingtothestandardofSCUT,aswellastheutilityfees（includingwater,electricity,andgas,etc.）.
（2）甲方为乙方在聘期内购买一份保额拾万左右的国内意外伤害商业保险；
b.Topurchaseaccidentinsuranceof100,000RMBforPartyB.
（3）在聘期内,甲方根据讲座教授工作需要提供科研活动经费贰拾万元（主要用于国际差旅费）。
c.ToprovidePartyBwithscientificresearchfundof200,000RMB（whichincludestravelexpenses）duringtheemployment.
三、乙方权利
3.RightsofPartyB
1．甲方根据乙方实际来校工作时间（附护照出入境记录及来校机票复印件），按人民币肆万元/月（税前）的标准计算薪酬。
A.PartyAshallpayPartyBpre-taxsalaryof40,000RMBpermonthinaccordancewithhis/heractualstayatSCUT.
2．享受甲方为其提供的工作和生活条件。
B.PartyBhastherighttoenjoyworkandlivingfacilitiesprovidedbyPartyA.
四、乙方义务
4.ObligationsofPartyB
1.认真遵守国家法律、法规和甲方的各项规章制度。
A.ToabidebythelawsandregulationsofthePeople’sRepublicofChinaandthoseofPartyA.
2.聘期内保证每年在甲方讲座教授岗位上工作时间2个月以上。
B.ToundertaketospendnolessthantwomonthseachyearatSCUTaschairprofessorduringtheemployment.
3.全面履行岗位职责，完成岗位的工作目标及任务；聘期结束时乙方须按要求向甲方提交聘期考核表；接受甲方的监督、考核及管理。
C.Tofullycompletethedutiesandtasks.Upontheexpirationofthecontract,PartyBisrequestedtosubmitanassessmentformtoPartyA,andtobeassessedaccordingly.
4.乙方在聘期内讲座教授岗位上所取得的教学、科研等成果均属职务成果，其发表有关论文、著作或申报有关奖励、专利和科研项目及经费等，均须同时署乙方及甲方名（即必须同时署作者及作者单位，作者单位署甲方名）。
D.PartyB’steachingandscientificachievementsduringtheemploymentareregardedaspartofon-dutyachievements.Accordingly,his/herpublishedacademicpapers,booksorawards,patents,researchprojectsandfundsmustbearthenamesofbothPartyBandPartyA.Inotherwords,theymustbearthenamesoftheauthorandhis/heraffiliationtoPartyA.
第四条考核
ArticleIV.Assessment
1.甲方根据聘任合同岗位目标和工作任务对乙方进行聘期考核，乙方须按要求向甲方提交考核材料，考核结果作为其绩效评估的主要依据。
1.PartyAisentitledtoorganizefinalassessmentonPartyBinaccordancewiththedutiesandtasksstipulatedinthecontract.ItisPartyB’sobligationtosubmitassessmentmaterialsanddocumentstoPartyA.TheresultsoftheassessmentshallberegardedasthemainbasisofPartyB’sperformance.
2.聘期考核合格，经个人提出申请，学校同意，可续聘讲座教授；考核不合格者，不予续聘。
2.ThecontractmaybereneweduponPartyB’srequestandatPartyA’sconsentifPartyBsucceedsinthefinalassessmentattheendofhis/heremployment.Thosewhohavefailedinthefinalassessmentarenoteligibletorenewtheircontracts.
第五条合同的变更与解除
ArticleV.AlternationandTerminationoftheContract
1．乙方在聘期内如不能履行本合同所规定的职责，考核不合格或有违法违纪行为，甲方有权予以解聘，终止本合同。
1.PartyAisentitledtosackPartyBandterminatethecontractshouldPartyBfailedtocarryoutthedutiesandobligationsspeculatedinthecontract,orfailedintheassessment,orisinvolvedinanycriminalactivities.
2．乙方在聘期内因特殊原因提出辞聘的，需提前三个月向甲方提出申请，经甲方同意后方可辞聘，并视具体情况承担相应的违约责任。
2.PartyBmustsubmitwrittennoticetoPartyAthreemonthsinadvanceifhe/shewishestoterminatethecontractduetoeventsbeyondhis/hercontrol.PartyBcannotterminatethecontractwithoutPartyA’sconsent.PartyBisliabletobreachpenalties.
3．乙方在聘期内因考核不合格或因特殊原因提出辞聘的，甲方视具体情况要求乙方将拨发的科研活动经费退还甲方。
3.PartyAisentitledtodemandthatPartyBreturnthescientificresearchfundshouldPartyBaskedtoresignduetohis/herfailureintheassessmentorduetoeventsbeyondhis/hercontrol.
4.聘任期间如发生双方无法预见、无法防范而致使合同无法正常履行的事由，需要变更或解除合同的，聘任双方应按照国家的有关法律妥善处理。
4.Shouldtherebeanyunpredictableorunavoidableeventswhichpreventthecontractfromfullimplementation,theconcernedpartiesshouldhandletheprobleminaccordancewithrelevantstatelawsandregulations.
第六条附则
ArticleVI.Appendix
1．本合同一式三份，甲方、乙方以及乙方所聘学院各持一份。
本合同于签字盖章之日起生效。
每份合同均用中文和英文写成，两种文字版本的合同于双方当事人签字后生效，具有同等效力。
如中英文版本之间有任何冲突，以中文版本为准。
合同期满自行失效。
1.Thecontractismadeintriplicate.Eachpartyandtherelevantschoolholdonesetrespectively.Thecontractwillbecomevalidsincethedayofsign.ThiscontractismadeinbothChineseandEnglish,andthecontractinbothlanguagesshallhavethesamelegaleffectuponsigningoftheparties.AnyconflictbetweenthetwolanguageversionsshallbegovernedbytheChineseversion.
2.除发生不可抗力因素致使合同无法履行外，双方应严格履行合同中的各项条款，如发生争议，双方应协商处理，对合同有关条款的变更，应征得对方同意。
2.Exceptforforcemajeure,bothpartiesarestrictlyboundbyallthetermsspeculatedinthecontract.Friendlydiscussionisencouragedtosettledisagreementsordisputesshouldtherebeany.Anyalterationtothetermsofthecontractmustbeagreeduponbybothparties.
3．本合同如有未尽事项，应由双方协商，做出补充规定。
补充规定与本合同具有同等效力。
3.Otheraffairsnotincludedhereofshallbemadeintoadditionalregulationsthroughfriendlyconsultation.Theadditionalregulationsshallhavethesameeffectsasthiscontract.
