AGREEMENTOFBOTPROJECT

ThisAgreementismadeandenteredintobyandbetween

Thegovernmentof_____________（hereinaftercalled"B"）represented

by________（hereinaftercalled"A"）

And

__________Corporation,acompanydulyorganizedandexistingunderthe

lawsofthePeople'sRepublicofChinawithitsprincipaloffice

at___________（hereinaftercalled"C"）.

Whereas,AandCconcludedtheMemorandumConcerning__________Project

onthe____________andChadbeengivenExclusiveRightfromBtocarry

outinvestigationandimplement____________Project（hereinaftercalled

"theProject"）bywayofjointfinancingbetweenCandB（socalledBOT）.

Whereas,theloanagreement,guaranteeagreement,letterofguarantee,

etc.shallconstituteintegralcomponentsofthisAgreement.TheProject's

installedcapacityis__________.

Nowtherefore,thepartiesherebyagreeasfollows:

1.DefinitionandInterpretation

"Project"meanstheplanning,feasibilitystudy,designand

engineering,construction,equipping,completion,testing,commissioning

andoperationoftheinfrastructureproject.

"ProjectCost"meansthecostspecifiedinClause3.

"OperationPeriod"meanstheperiodspecifiedinClause10.1fromthe

startingdateofcommercialoperationoftheinfrastructureproject.

"CompletionDate"meansthedayuponwhichCcertifiesthatthe

infrastructureprojecthassuccessfullycompleteditstestingandcan

startOperationPeriod.

"ForceMajeure"shallhavethemeaningspecifiedinClause16.

"ProjectScope"meansthescopeofsupplyandservicesofCin

connectionwiththeexecutionoftheProjectasdescribedinAnnex2.

"Site"meansthesitefortheinfrastructureprojectincluding

___________,specialroads,andotherareasforconstructionasspecified

inAnnex2.

"TransferDate"meansthedayfollowingthelastdayoftheOperation

Period.

"NewCompany"meanstheCompanytobeestablishedbetweenCand

________entityasspecifiedinClause5.

"InvestmentAgreement"meanstheAgreementonMutualEncouragementand

ProtectionofInvestmentbetweentheGovernmentofthePeople'sRepublic

ofChinaandtheGovernmentofthe___________.

"ExclusiveRight"meansthespecialpowergrantedtoCorNewCompany

intheMemorandum,Agreementanditsannex.

"Day"meansthesolarcalendarday.

2.TheProject

2.1TheProjectshallbenamedas"________".

2.5Thefinalfeasibilitystudyreportanddetaileddesignafter

acceptanceofBandCshallformbasisforthedevelopmentandcompletion

oftheProject.

3.TheProjectCost

3.1Theprojectcostis$______,interestoftheconstructionperiod

whichareshowninAnnex3-ProjectCost.

3.2Thetotalprojectcostshallcomprisebutnotlimitedtothe

followingcostsandthedetailsoftheprojectcostshallbeasattached

Annex3-ProjectCost:

1）Costforfeasibilitystudy,designandengineeringandother

consultingservices;

2）Costforconstructionandinstallation;

3）Costforpurchasingequipmentandmaterials;

4）Costforadministrationincludingoverseasexpenses;

5）Overheadandmiscellaneousexpenses;

6）Contingencies;

7）Interestduringtheconstructionperiod（__________%perannumplus

bankcommission）;

8）Premiumforconstructioninsuranceandexportcreditinsurance.

3.3TheProjectCostshallbebasedonthefeasibilitystudyreport

andincaseofasubstantialvariationininvestmentarisingfromgeologic

reasons,theadditionalparttotheProjectCostshallbeapprovedbyB.

Anadditionalinvestmentagreementorcontractshouldbeconcludedbetween

BandC.

4.ResponsibilitiesforProjectExecution

4.1Cshallberesponsibleforthefollowingprovidedthatifand

afterNewCompanyisestablished,responsibilitiesshallbetransferredto

NewCompanyandbesharedbythemembersofNewCompany:

1）thedesignandengineering,procurement,constructionand

commissioningoftheProject;

2）allcostsinconnectionwiththebuildingoftheinfrastructure

projectandthearrangementofallnecessaryfunding;

3）operationoftheinfrastructureproject;

4）transferoftheinfrastructureprojecttoBontheTransferDate;

4.2Bshallberesponsiblefor:

1）thearrangementof:

theprovisionofallnecessarydevelopmentapprovals,permits,

consents,siteleases,accessandotherrightsforCorNewCompany

togetherwiththefulfillmentofessentialrequirementssuchascompany

registration,importlicenseandexemptionofcustomsdutiesandthelike;

theprovisionofallnecessaryordesirableaidsforCtoobtainthe

loan;obtainingofallregulatory,statutoryandotherconsents,approvals,

authorizations,taxconcessionsandinvestmentincentivesasdescribed

hereinafterwhicharenecessaryordesirablefortheimplementationofthe

Project;obtainingofallnecessarypermitsandapprovalsfromtherelevant

_____________authoritiesforCorNewCompanytorepatriatecapitaland

dividendsinUSDollarsfrom______;obtainingofresidentvisas,workpermitsandothernecessaryapprovalsfromtherelevantauthoritiesforCorNewCompany'spersonnel,

design,manufacturing,installationandconstructionpersonnelaswellas

theirdirectrelativesincludingthetravelin___________;theprovisionofallnecessaryapprovalsandpermitsrelatingtoextensionoftheinfrastructureprojectandtheProjectfacilitiesinordertoincrease_________________productionifCorNewCompanyintends

todoso;theprovisionofallnecessarysecuritymeasuresforconstructionand

operationpersonnelandProjectfacilitiestilltheTransferDate;theprovisionofcommunicationsandtransportfacilitiesoftheProjectconstructionandtheoperationoftheinfrastructureproject;

2）theassistanceintheoperationoftheinfrastructureproject.

3）providingCand/orNewCompanywithfreeuseoftheSite,including

butnotlimitedtotheareaofconstructionsite,accessroad,

transmissionlinerightofway,__________andetc.

4）thenegotiationandconclusionofserviceagreementwith

___________Governmentorothercountries'governmentsjointlywithCor

newCompany,thePeople'sInsuranceCompanyofChinarepresentatives,

whosepresenceinthenegotiationBshallensure,andwhoseapprovalB

Shallobtain;

5）theexportationof________________percentof__________produced

bytheinfrastructureprojectto__________oranythirdcountry;

6）theassignmentofitsrepresentativesatSiteandtotheNew

CompanytoassistCorNewCompanyandmakenecessarycoordinationbetween

BandCorNewCompany.

4.3BensuresthattheOperationPeriodoftheProjectshallbenot

lessthan_______years.HoweverifIRR（InterRateofReturn）doesnot

reach_______percent,bothpartieswilldiscusstheproperextensionof

theOperationPerioduntiltheyearIRRreaches_______%.

4.4ConditionsPrecedent

Bshallberesponsiblefortheprovisionofthefollowingdocuments

forCtomakeavailableanypartofthisAgreementwithin_______months

fromthedateofsigningthisAgreementandsuchdocumentsshallbevalid

andeffectivetoNewCompany:

1）apowerguaranteeissuedby___________________parliament

acceptabletoCintheformdefinedinAnnex7,whichshallbereturnedto

BontheTransferDate;

2）warrantytobeissuedandloanagreementtobeconcludedwiththe

proposalmadebyBforbearing__________percentoftheProjectCost,the

Bankof______________astheloaneeand__________FinanceMinistryasthe

guarantorandacceptabletotheBankofChinaandthePeople'sInsurance

CompanyofChina,andaletterofcreditorletterofguaranteetobe

issuedasrequiredbytheBankofChinaprovidedthatthelengthof

maturityis__________yearsincludinga_______yearconstructionperiod

andloaninterestis________percentperannum;Bmaymakeearlier

reimbursement;

3）loanguaranteeandwarrantyforC'ssharing__________%ofthe

ProjectCostincludinginterestoftheconstructionperiodtobeissuedby

theBankof_____________and______________FinanceMinistryrespectively,

acceptabletothePeople'sInsuranceCompanyofChinaandtheLendingBank

andvaliduntiltotheTransferDate（__________）,providingallnecessary

assistanceinenablingCtoobtaintheloanfrominternationalprime

banks;

4）thelegalcertificateissuedby_____________PresidentofSupreme

Courtandthelegalcertificateissuedby______________Procurator

General,certifyingthatthisAgreementshallbevalidandenforceable

underthelawsof_____________ineveryrespectintheformdefinedin

Annex8;thecertificateofapprovalissuedbytheGovernmentof

_____________,certifyingthattheProjectislawfulandlegitimate;

5）Bshallpermittheconstructionmachinery,materialandequipment

necessaryfortheProjecttobetransportedinto__________via

_____________bysea,and/orbyroadthrough__________asWellasbyair,

ensuringfacilitiesfromthe__________bordercontrolandcustoms

authorities.

4.5BwarrantsandundertakesthatBshallnotchangeorpermitothers

tochangetheenvironmentoftheSitewhichadverselyaffectsthe

constructionoroperationoftheProject.Suchchangeshallinclude,but

notlimitedto,_____________.

4.6Buyer'sCreditforB'ssharing__________%oftheProjectCost

shallbeprovidedbytheChineseside,paymentter
