WHEREAS.ThelesseedesirestoleaseFivebillionEuroSBLCfromtheLessor.（TobeissuedinfirsttranchofXXmillionEuro）LesseeconfirmswithfullcorporateandlegalresponsibilitythatfundsareavailabletofulfilltherequirementsfortheleaseofthisinstrumentandisreadyandlesseefurtherconfirmtocooperatewiththeLessor.

鉴于承租方希望向出租人租赁50亿欧元的银行保函（首批XXX欧元）。

承租方以充分的的企业和法律责任确认，支付租借票据的资金已准备就序。

承租方确认与开证方合作。

WHEREAS.TheLessordesirestolease,transferandassignallrightstitleandinterestoftheSBLCavailabletoittothelessee.Lessorrepresentsandwarrantsthatithastheabilityandresourcetoarrangethroughassociates,contractsandsources,withfullcorporateresponsibility,financialinstrumentinthetermofassignmentstobeprovidedtoLessee.LessorherebydeclaresunderpenaltyofperjurythattheSBLCwillbebackedbyfundsthataregood,clean,clear,andfreeofnoncriminalorigin,theSBLCwillbefreeandclearofallliens,encumbrancesandthirdpartyinterests.

鉴于：

出租人欲将有效备用信用证的所有权利和利益租赁、转让和分配给承租人。

出租人表示并保证其有能力和资源，通过联营公司、合同和资源将所提供的关于分配的金融票据安排给承租人，并承担所有公司责任。

出租人依法做出声明支持备用信用证的基金都是良好的、洁净的和合法所得的。

备用信用证是自由，没有任何留置，没有产权负担和没有第三方权益的。

我，，作为首席执行官和授权签字人，特此以充分合法的个人和企业责任和权力，在伪证处罚法下，不可撤销地、无条件地确认，我们有准备有愿意有能力，按照下述的条款及条件，使用良好、清洁、干净、无犯罪来源、无任何留置或产权负担的资金，租赁下面的的银行票据。

NOWTHEREFORE,TheLesseehasagreedtoleasetheBG/SBLCat17%+2%percentofFaceValueoftheinstrumentrequestedandLessorhasagreedtoleasetheBG/SBLCtoLesseeandbothPartiesherebyagreetothefollowingtermsstatedbelow:

因此承租方同意按以所要求的票据面值的6%+2%租借这备用信用证.出租方同意出租这保函给承租方。

因此，双方特此同意下文所述的条款：

TransactionProcedure:

交易程序

1.LesseeissuesafullintakepackageinEnglishoftheLOI/DOAdulycompletedinallrespectsandsignedwithLessee’sfullbankingco-ordinatestoinclude:

承租方完成和签发这英文的具有充分银行坐标的全套包装的意向书/协议（LOI/DOA）其中包括如下：

1.1ClientInformationSheet（CIS）客户资料表

1.2CorporateResolution（CR） 公司决议

1.3Non-SolicitationStatement（NSS）非恳求声明

1.4Non-CircumventionandNon-DisclosureAgreement（NCND）不跨越不泄密协议

1.5IrrevocableMasterFeeProtectionAgreement（IMFPA）不可撤销的佣金保护协议

1.6Lessee’sSignatory’sColorCopyofPassport承租方签字人的彩色护照

1.7Lessee’sCertificateofIncorporation（COI）承租方的公司证书

1.8POF/BankStatementwithin5bankingdayscurrentfor17%offacevalue资金证明/5个银行日内的银行结单，面值17%

1.9ATVLettertoverifybankPOF ATV信件核实资金证明

2.LessorcompleteDueDiligencewithin72hours,Lesseeisfurnished‘anofficialproposal”iflesseeacceptsthencountersignsandreturnit.

出租人在72小时内完成尽职调查，同时向承租人提供一份‘官方提案’。

如果承租人接受则签字后返还给出租人。

3.A"lease agreement"togoforwardisissued（whichaddresses arrangeterms,bankingcoordinatestobepaid,timingandverbiagewithlessee）countersignsandreturned.MakingitaBindingContract.BothpartiesshalllodgetheContractwiththeirhandlingbanksforrecord.

发布租赁协议（其中说明安排期限，银行付款坐标，）并签订返还。

该协议应有约束力。

4.WithinThree（3）internationalbankingdayafterLesseereceiveLessor’ssignedandsealedagreement/contract,Lessoer’sissuingBankCoordinatecuttinghousecutinstrumentfromLessor’sportfolio,assignSBLCinBeneficiary’snameandprogramaCreditLineReservation（CashBacked）tosendswiftMT799/MT760.

在收到出租方签字盖章的协议/合同、出租方银行坐标3个国际工作日后。

5.WithinThree（3）internationalbankingdaysLessor’sBankwilltransmitSWIFTMT799pre-advice.LesseeshallissueaPaymentUndertakingafterverificationofMT799pre-advice,Lessor’sissuingbankwillsendswiftMT760totheBeneficiary’sreceivingbankaccordingtotheLessee’sbankapprovedverbiage.

3个国际银行工作日内，开证方将发出SWIFTMT799预通知书。

承租方确认SWIFTMT799预通知书后付款。

开证方银行将开出swiftMT760给受益人受理银行。

6.WithinFive（5）internationalbankingdaysuponsuccessfulverificationandauthenticationofSwiftMT760,Beneficiary’sBankwillwiretransferleasingprice（17+2%）totheLessor’sreceivingbank.SimlutaneouslyLesseedistributesconsultantfee（total:

2%）totheallintermediariesasperFPA（2%）.

在成功验证、核实MT760后的5个国际银行工作日内，承租方银行将电汇17+2%的费用至出租方的接收银行，并同时按照佣金保护协议支付所有中间人佣金（一共2%）。

7.HardcopyoftheinstrumentwillbedeliveredtoLesseebankbytheBondedCourierwithin7bankingdaysafterreceiptoffullpaymentincludingcommission.

在收到包括佣金在内的所有款项的7个银行工作日内，将正本用银行快递送到接证方银行。

8.Allsubsequenttrancheswillbebasedonthesameproceduresuntilcollateralorfundsbecomeexhausted.

随后个批，交易将按相同的程序进行，直至完成合同金额为止。

备注

1.IfLesseefailsinpaymentontime,Providerwillsendlessee’sbankanotherSwiftmessagetocancelBG/SBLC,Lesseeshouldpaypenalty（2%）toprovider.IfproviderfailstoissueBG（Leasing）,providermustpaypenalty（2%）toLessee.

若承租方未能及时付款，出租方将另开一个银行水单来取消BG/SBLC同时承租方将支付2%的罚金给出租方。

若出租方未能及时开出保函，出租方必须支付2%的罚金给承租方。

2.Anyunauthorizedcallsbyanypartyoritsrepresentativelawyerstoprobesorcommunicationinanimproperwaytootherbank（s）inthistransactionshallbeprohibitedandcontractterminated.

无授权，任何一方包括其律师，均不得打电话或以任何不当方式打探或联系本交易的对方银行。

如有违反，交易和合同立即终止。

3.ExceptasspecificallysetforthinafuturewritingsignedbyLessor,theSBLCisandatalltimesshallremainpersonalpropertyownedbyLessorandnotbyLesseeoranyotherpersonorentity.

除非将来出租方签订相关文书，否则SBLC始终是出租方的个人财产，并不为承租方或任何其他个人或实体所有。

4.NeithertheSBLCnoranyitemoftheSBLCisorshallbecomeencumbered,mortgagedorpledgedorputatanykindoffinancialriskwithouttheauthorizationoftheLESSOR.

未经出租方授权，部分抵押，按揭或质押SBLC或SBLC中的任何条目或让其面临任何金融风险。

5.NeitheranyBanknoranypersonorentityclaimingonbehalfof,orthroughBankshallhave,orclaim,anyright,titleorinterestinanyoftheBankInstrument.

代表银行或通过银行索赔的任何银行、个人或实体不得对银行票据拥有或要求任何权利、所有权或权益。

LESSEE´SOBLIGATIONS:

承租方的义务

TheLessee,withfullcorporateandlegalresponsibilities,andunderpenaltyofperjury,confirmsthatheisfullyawarethecourierofhisfinancialabilityandfacilitieswithhisbankwhensigningthisLOIand/orotheragreementsanddocumentswiththeLESSOR.

承租方以充分法人和法律责任，在出伪证受罚下确认，在他和出租方签这意向书和其他协议和文件时，他完全知道他的财务能力和他的银行信贷额度。

TheLESSEEfurtherconfirmsthattheLESSEEisauthorizedtoverifythefundsofeachtrancheoftheContractwithhisbank,ifnecessary.Intheeventofunsatisfactoryverification,thetransactionwillbesuspendedimmediatelyandtheLesseeisinbreachoftheContractandliableforlegalconsequences.

承租方还确认，如有必要，承租方已授权和他的银行验证合同的每一批资金。

万一验证欠佳的情况下，该交易将被立即暂停。

出租方违反本合同，将承担法律后果。

LESSOR´SOBLIGATIONS:

出租的的义务

TheLESSORwithfullcorporateandlegalresponsibilities,andunderpenaltyofperjury,confirmsthatLESSORisfullyawareofthecommitmentoftheInstrumentswhencountersigningthisLOI.

承租方以充分法人和法律责任，在出伪证受罚下确认，在他加签这意向书，他完全知道他对这些银行票据的承诺。

TheLESSORfurtherconfirmstodelivertheinstruments,tonegotiateandmakeproperarrangementwiththeprovidertocontinuouslysupplytheinstrumentsuntilthewholecontractedvolumeisexhausted.Withoutexpressedwrittenpermission,neitherpartyshallcontactthebankoftheotherparty.Bothpartiesmaychangebankingcoordinateswithwrittennoticetotheotherparty.

出租方进一步确认，他要交付这些票据，他要和开证方进行谈判和作出适当的安排，不断提供这些票据，直到完成整个合同数量。

没有明确的书面允许，任何一方都不得联系对方的银行。

双方都可改变银他的银行坐标，但要以书面通知对方。

PENALTYCLAUSEFORNON-PERFORMANCE不履约罚金条款

ShouldanyofthesignatoryPartieshereinfailtoperformaccordingtothetermsandasrequiredbythiscontract,oncesigned,then,thefailingPartyshallindemnifytheaggrievedPartyforanamountof2%ofthesaidtrancheintransaction.Thedistributionofthe2%penaltyshallbe1%totheaggrievedsignatoryPartyofthecontractand1%toalloftheConsultantsdesignatedintheIrrevocableMasterFeeProtectionAgreement.Said1%willbedividedaccordingtothepercentagedelineateddis
