Introduction简介

Allemployees,officersanddirectorsmustreadandusethiscodeofconducttoensurethateachbusinessdecisionfollowsourcommitmenttothehighestethicalstandardsandthelaw.ThiscodeofconductappliestotheoperationsofOcularHoldings,Inc.（the“ParentCompany”）andeachofitssubsidiaries,directandindirect,collectively“ourcompany,”asusedherein.Adherencetothiscodeandtoourotherofficialpoliciesisessentialtomaintainingandfurtheringourreputationforfairandethicalpracticesamongourcustomers,stockholders,employeesandcommunities.

所有员工、管理人员及董事必须阅读及使用这个行为守则，确保每一个商业决策符合我们对最高道德标准及法律的承诺。

本守则适用于Ocular控股公司（“母公司”）及其直接和间接分公司，以下统称“我们公司”。

恪守本守则及其它正式政策是在我们客户、股东、员工及社区中维护和提高我们公平及道德声誉的基本要求。

Itistheresponsibilityofeveryoneofustocomplywithallapplicablelawsandregulationsandallprovisionsofthiscodeandtherelatedpoliciesandprocedures.Eachofusmustreportanyviolationsofthelaworthiscode.Failuretoreportsuchviolations,andfailuretofollowtheprovisionsofthiscodemayhaveseriouslegalconsequencesandwillbedisciplinedbythecompany.Disciplinemayincludeterminationofyouremployment.

按照相关法律和本守则中的规则做事是我们每个人的职责。

每个人必须报告对法律及本守则的违规事件。

不报告此类违规事件或不遵守本守则的规定可能会面临严重法律后果并且会受到公司纪律处分，纪律处分包括解聘。

Thiscodesummarizescertainlawsandtheethicalpoliciesthatapplytoallofouremployees,officersanddirectors.Severalprovisionsinthiscodemayattimesreferencemoredetailedpoliciesthateither

（1）concernmorecomplexcompanypoliciesorlegalprovisionsor

（2）applytoselectgroupsofindividualswithinourcompany.Ifthesedetailedpoliciesareapplicabletoyou,itisimportantthatyouread,understand,andbeabletocomplywiththem.Ifyouhavequestionsastowhetheranydetailedpoliciesapplytoyou,contactyourimmediatesupervisor.

Situationsthatinvolveethics,valuesandviolationsofcertainlawsareoftenverycomplex.Nosinglecodeofconductcancovereverybusinesssituationthatyouwillencounter.Consequently,wehaveimplementedthecomplianceproceduresoutlinedinthesectionsofthiscodeentitled“AdministrationoftheCode”and“AskingforHelpandReportingConcerns.”Thethrustofourproceduresiswhenindoubt,ask.Ifyoudonotunderstandaprovisionofthiscode,areconfusedastowhatactionsyoushouldtakeinagivensituation,orwishtoreportaviolationofthelaworthiscode,youshouldfollowthosecomplianceprocedures.Thoseprocedureswillgenerallydirectyoutotalktoyourimmediatesupervisor.Therearefewsituationsthatcannotberesolvedifyoudiscussthemwithyourimmediatesupervisorinanopenandhonestmanner.

牵涉的道德、评价及违法的情形通常是非常复杂的。

没有任何一个行为守则可以涵盖我们所遇到的每一个商业情形。

因此，我们执行了在“守则的管理”和“求助及报告所关注的事件”中列明的程序。

∙Beabletorecognizesituationsthatpresentlegalorethicaldilemmas.

∙Beabletodealeffectivelywithquestionablesituationsinconformitywiththiscode.

Inordertobeabletoaccomplishthesegoals,werecommendthatyoutakethefollowingsteps:

∙Readtheentirecodeofconductthoroughly.

∙Iftherearereferencestomoredetailedpoliciesthatarenotcontainedinthiscode,obtainandreadthosepoliciesiftheyapplytoyou.

∙Thinkabouthowtheprovisionsofthiscodeapplytoyourjob,andconsiderhowyoumighthandlesituationstoavoidillegal,improper,orunethicalactions.

∙Ifyouhavequestions,askyourimmediatesupervisor.

Whenyouarefacedwithasituationandyouarenotclearastowhatactionyoushouldtake,askyourselfthefollowingquestions:

∙Doestheactioncomplywiththiscode?

∙Howwillyourdecisionaffectothers,includingourcustomers,stockholders,employeesandthecommunity?

∙Howwillyourdecisionlooktoothers?

Ifyouractionislegalbutcanresultintheappearanceofwrongdoing,considertakingalternativesteps.

∙Howwouldyoufeelifyourdecisionweremadepublic?

Couldthedecisionbehonestlyexplainedanddefended?

∙Haveyoucontactedyourimmediatesupervisorregardingtheaction?

如果你遇到问题而不知道该采取何种行动时，就下面的问题自问：

●这个行动合法吗？

●这个行动符合本守则吗？

●你的决定将如何影响其他人，包括我们的客户、股东、员工和社区？

●你的决定别人会怎么看？

如果你的行动是合法的，但可能产生错误的表象，请采用其它措施。

●如果你的决定公之于众你会感觉怎样？

这个决定能得以诚实地解释和捍卫吗？

Toreiterate,whenindoubt,ask.

Pleasenotethatthiscodeisnotanemploymentcontractanddoesnotmodifytheemploymentrelationshipbetweenusandyou.Wedonotcreateanycontractualorlegalrightsorguaranteesbyissuingthesepolicies,andwereservetherighttoamend,alterandterminatepoliciesatanytimeandforanyreason.

CompliancewithLaws遵守的相关法律

Firstandforemost,ourpolicyistobehaveinanethicalmannerandcomplywithalllaws,rulesandgovernmentregulationsthatapplytoourbusiness.Althoughweaddressseveralimportantlegaltopicsinthiscode,wecannotanticipateeverypossiblesituationorcovereverytopicindetail.Itisyourresponsibilitytoknowandfollowthelawandconductyourselfinanethicalmanner.Itisalsoyourresponsibilitytoreportanyviolationsofthelaworthiscode.Youmayreportsuchviolationsbyfollowingthecomplianceprocedurescontainedinthesectionofthecodeentitled“AskingforHelpandReportingConcerns.”

首先，我们的政策是行为讲究道德并且遵守各项法规以及适用于我们行业的各项政府规定。

尽管我们在本守则中写了一些重要的法律条目，但我们不能预测到每一个可能的情形或详细地涵盖每一个条目。

AntitrustLaws反托拉斯法

Antitrustlawsaredesignedtoensureafairandcompetitivemarketplacebyprohibitingvarioustypesofanticompetitivebehavior.Someofthemostseriousantitrustoffensesoccurbetweencompetitors,suchasagreementstofixpricesortodividecustomers,territoriesormarkets.Accordingly,itisimportanttoavoiddiscussionswithourcompetitorsregardingpricing,termsandconditions,costs,marketingplans,customersandanyotherproprietaryorconfidentialinformation.Foreigncountriesoftenhavetheirownbodyofantitrustlaws,soourinternationaloperationsmayalsobesubjecttoantitrustlawsofotherforeigncountries.

一些最严重的违反反托拉斯事件发生在竞争对手之间，如：

协议制定价格，分割客户、地域或市场。

外国通常有他们自己的反托拉斯组织，因此我们的国际运营可能也会面临其它外国反托拉斯法的考验。

Unlawfulagreementsneednotbewritten.Theycanbebasedoninformaldiscussionsorthemereexchangeofinformationwithacompetitor.Ifyoubelievethataconversationwithacompetitorentersaninappropriatearea,endtheconversationatonce.MembershipintradeassociationsispermissibleonlyifapprovedinadvancebytheboardofdirectorsofParentCompany.

非法的协议不要拟定。

这些协议可能基于与竞争对手非正式的交谈或仅仅是信息的交换。

如果你认为与竞争对手的交谈进入了一个不恰当的领域，立即结束这个交谈。

加入商会只有经母公司董事会的事先同意才可以。

Wheneveranyquestionarisesastoapplicationofantitrustlaws,youshouldconsultwithlegalcounsel,andanyagreementswithpossibleantitrustimplicationsshouldbemadeonlywiththepriorapprovaloflegalcounsel.

当有关于反托拉斯法应用的问题时，你应咨询法律顾问，任何含有反托拉斯意味的协议都要事先征得法律顾问的同意。

AnticorruptionLaws反腐败法

Conductingbusinesswithgovernmentsisnotthesameasconductingbusinesswithprivateparties.Whatmaybeconsideredanacceptablepracticeintheprivatebusinesssectormaybeimproperorillegalwhendealingwithgovernmentofficials.Improperorillegalpaymentstogovernmentofficialsareprohibited.“Governmentofficials”includesemployeesofanygovernmentanywhereintheworld,evenlow-rankingemployeesoremployeesofgovernment-controlledentities,aswellaspoliticalpartiesandcandidatesforpoliticaloffice.Ifyoudealwithsuchpersonsorentities,youshouldconsultwiththeboardofdirectorsofParentCompanytobesurethatyouunderstandtheselawsbeforeprovidinganythingofvaluetoagovernmentofficial.

与政府做生意不同于与私人团体做生意。

那些在私人企业中可能被接受的东西在与政府官员打交道时可能是不合适的或非法的。

给予政府官员不适当的或非法的报酬是不允许的。

“政府官员”包括世界上任何政府的雇员，甚至低级别的雇员，或政府控制的实体的雇员，还有政治团体和政治职位的候选人。

如果你与这类人物或实体打交道时，你应与母公司的董事会商谈，确保你在提供任何有价值的物品给一个政府官员之前了解这些法律。

Ifyouareinvolvedintransactionswithforeigngovernmentofficials,youmustcomplynotonlywiththelawsofthecountrywithwhichyouareinvolvedbutalsowiththeU.S.ForeignCorruptPracticesAct.Thisactmakesitillegaltopay,orpromisetopay,moneyoranythingofvaluetoanynon-U.S.governmentofficialforthepurposeofdirectlyorindirectlyobtainingorretainingbusiness.Thisbanonillegalpaymentsandbribesalsoappliestoagentsorintermediarieswhousefundsfo
