ThisDistributionAgreement（this“Agreement”）ismadethis___dayof_________,_____byandbetweenthefollowingparties（hereinafterreferredtocollectivelyasthe“Parties”andindividuallyasa“Party”）:

（1）[NAMEOFOVERSEASSUPPLIER],registeredin[NameofCountry]（“PartyA”）,and

（2）SHANGHAICITYFURNITURECO.,LTD.,registeredinShanghai,China（“PartyB”）.

Article1ProductsandAppointment

1.1PartyAherebyappointsPartyBandPartyBherebyacceptsappointmentasPartyA’s[exclusive/non-exclusive]distributorintheterritoriesstatedinExhibit1（“Territory”）inconnectionwiththedistributionoffurnitureproductsmanufacturedandsuppliedbyPartyAbearingthetrademarksof[]（“Products”）.

1.2SubjecttotheprovisionsofthisAgreement,PartyAagreestosupplytheProductstoPartyBwhichconformtothequalitystandardsandrequirementsunderExhibit2.

1.3PartyAwillsatisfyPartyB’sdemandsonsupplyofProductsunderPurchaseOrdersissuedbyPartyBfromtimetotimeduringthetermofthisAgreement.IntheeventthatPartyAisunabletosatisfyPartyB’sdemands,PartyAwillinatimelymannerinformPartyBinwritingofthereasonthereofanddiscusswithPartyBingoodfaithinanattempttoworkoutasolution.

1.4PartyBwillnotsolicitcustomersoutoftheTerritoryfortheProducts.IntheeventthatPartyBdesirestocarryoutanycommercialorpromotionalactivitiesoutsidetheTerritory,suchasadvertisingtheProductsorestablishingawarehouseforthepurposeofdistributingtheProductsintheTerritory,PartyBwillobtainapriorwrittenconsentfromPartyA,whichconsentshallnotbeunreasonablywithheldordelayed.

Article2Purchase,PackagingandDelivery

2.1DuringthetermofthisAgreement,PartyBwill,fromtimetotime,issueaPurchaseOrdertoPartyAinwrittenform（suchasletter,faxoremail）specifyingsuchmattersasspecifications,quality,quantity,price,dateofdeliveryfromfactory,[shipmentdate],[shipmentport]and[destinationport].

2.2PartyAwill,assoonaspracticablenolaterthan2workingdaysofreceiptofaPurchaseOrder,acknowledgethePurchaseOrderbysigningonit.IncaseofarejectionbyPartyA,PartyAshall,assoonaspracticablenolaterthan2workingdays,notifyPartyBinwritingstatingthereasonforrejectionandcounter-proposal.AllPurchaseOrderssignedbyrepresentativesofthePartiesshallbebindinguponbothParties.

2.3ThePartiesmayenterintoaPurchaseContractinrespectofpurchaseofProductsfromPartyAduringaparticularperiod.

NomatterwhetherthisAgreementisreferredtointhePurchaseOrderorPurchaseContract,thetermsandconditionsofthisAgreementshallappliedtopurchasesmadeunderthePurchaseOrderorPurchaseContract.Incaseofanydiscrepancy,thevalidityofpriorityinordershallbe:

PurchaseOrder,PurchaseContractandthisAgreement.

AnyPurchaseOrderorPurchaseContractsignedbythePartiesbeforethedatehereofshallbedeemedasbeingenteredintounderthisAgreement,andthetermsandconditionsofthisAgreementshallapplytosuchPurchaseOrderorPurchaseContract.

2.4TheperiodfromsigningofaPurchaseOrderto[thedateofshipmentatshipmentport（forC&ForCIForFOB）]/[dateofdeliveryfromPartyA’sfactory（forEx-works）]shallbenolongerthan4weeks.PartyAshallinformPartyBinwritingofestimateddatedeliveryoftheProductsfromitsfactoryatleast[15]daysinadvance.

2.5PackageofProducts

（1）PackageoftheProductsshallconformtoapplicablestandardsandrequirementsoninspection,quarantine,safetyandhealth.Bywayofillustrationwithoutlimitation,PartyAshallprovideafumigationcertificateforwoodencase（s）/frame（s）.TheProductsshallbepackedinstrongwoodencase（s）/frame（s）,suitabletobeloadingintostandarddrycontainerforlongdistanceseafreighttransportationandtochangeofclimate,wellprotectedagainstmoistureandshocks.Glasswareandotherpartsshallbepackagedwithsuitableinner-package.PartyAshall,uponsigningofthePurchaseOrder,providePartyBwithapackingplaninwritingacceptabletoPartyB.

（2）EachpackageshallbemarkedbyfadelesspaintwiththefollowinginformationunlessotherwiserequestedbyPartyBinwriting:

PurchaseOrdernumber,consigneename,manufacturer,origin,grossweight,netweightandmeasurementsandthewordsKEEPAWAYFROMMOISTURE,HANDLEWITHCARE,THISSIDEUPandetc.ThepackagelabelingshallbeincompliancewiththelawsofthePRC.

（3）PartyAshallbearallcostsandexpensesrelatingtopackageoftheProducts.

（4）PartyAshallbeliableforanyandalldamagetotheProductsandanyexpensesincurredonaccountofinadequateorimproperpackingand/orwronglabeling.

2.6AlldocumentsconcerningtheProducts（includingthewholepackageofdocumentssuchasfactoryinspectionreport,qualitycertificateorexemptioncertificateoftheProductsandthematerialsthereofissuedbyapplicableauthorities,usermanual,servicemanual,repairandmaintenancemanual,etc.）.TheforegoingdocumentsshallbewritteninEnglish.

2.7[UponloadingoftheProductsintothevesselattheshipmentport,PartyAshallimmediatelysendawrittennoticetoPartyBviafaxoremail.TheforegoingnoticeshallcontainsuchinformationasthePurchaseOrdernumber,Productname,quantity,gross/netweight,invoicevalue,B/Lnumber,shipmentdate,estimateddateofarrivalatthedestinationportandthenameofthevesselfromwhichtheProductswillbeloadedatthedestinationport,etc..]

2.8IncaseofdelayofdeliveryoftheProductsforanyreasonotherthanaforcemajeureeventoraneventcausedonthepartofPartyB,foreachdayofdelay,PartyAshallpayPartyBasumofliquidateddamagesamountingto0.5%（cappedat20%）ofthevalueofthedelayedProducts.Onandaftertheliquidateddamagesfordeliverydelayexceedingtheforegoingcappedamount,PartyBshallbeentitledtoterminatetherelevantPurchaseOrdersand/orthisAgreementandinsuchsituationPartyAshallcompensatePartyBforalllossesresultingtherefrom.

Article3PriceandPayment

3.1ThepriceoftheProductsshallcomplywiththeprovisionsunderExhibit3.AlltaxesandchargesimposedbythegovernmentofthecountrywherePartyAdwellsrelatingtotheProductsshallbebornebyPartyA.PartyAshallendeavortoofferthepriceoftheProductstoallowahabitualmarginattheindustrysoastokeeptheProductscompetitiveinthePRCmarket.PartyAundertakestoPartyBthat,duringthetermofthisAgreement,thepricesoftheProductsofferedbyittoPartyBshallnotbehigherthanthatofferedbyittodistributorsinanyothercountryorterritoryotherdistributorsinthePRC（ifany）.TheretailpriceoftheProductswillbedeterminedbyPartyBatitsdiscretion.

3.2ThepriceoftheProductsshallbestatedinthePurchaseOrder.ThepriceshallbeexpressedandsettledinEuros.

3.3IntheeventthattheProductsshallbedeliveredCIFShanghaiport,PartyAshallpurchaseaninsurancefor100%oftheinvoicevalueagainstallrisks（includingTheft,PilferageandNon-Delivery（N.P.N.D.）,breakage,Leakage,shortagerisk）andspecialadditionalinsurance（includingwarrisk）.

3.4PartyAshallpresentthefollowingdocumentstotherelevantbankundertheletterofcredit（suchas,whereapplicable,notifyingbank,confirmingbankorcollectingbank）:

（1）[fullsetofcleanonboardbillsoflading];

（2）commercialinvoicein5originalcopies,indicatingPurchaseOrderNumberandshippingmark;

（3）[certificateofinsurance];

（4）factoryinspectionreport,qualitycertificateorexemptioncertificateoftheProductsissuedbyrelevantauthoritiesoftheEuropeanUnionorthecountrywherePartyAdwells（ifapplicable）,andqualitycertificateorexemptioncertificateofthematerialsoftheProductsissuedbyrelevantauthoritiesoftheEuropeanUnionorthecountrywherePartyAdwells,eachintwooriginalcopies;

（5）certificate（s）oforiginin2originalcopies;

（6）[packinglistin2originalcopiesindicatinggross/netweights,measurementsandquantityofeachitempacked];

（7）[atruecopyofnoticeviafaxoremailtoadvisePartyBofshipmentaftertheProductsareloadedintothevessel];and

（8）[].

Article4InspectionofProducts

4.1In-PlantInspection.InordertoensurethematerialsandpackagesoftheProductstocomplywithapplicablestandardsandrequirements,PartyAshall,intheprocessofmanufactureoftheProducts,inspectthematerialsandpackagesandensurethattheapplicablequalitycertificateorexemptioncertificat
