3.2Priceadjustment

价格调整

（A）IfXXXisbeloworabove1.45%,basedattheloadingport,thebasepriceshallbedeductedorincreasedbyUSD1/wmtforeachdecreaseorincreaseofXXX0.01%,fractionprorata.

若装货港XXX含量低于或高于1.45%，每0.01%的XXX的降低或增加应在基准价格相应扣除或增加1美元，不足1%的按比例计算。

（B）IfloadingSSSmoistureabove35.0%,theactualweightshouldbedeductedasbelowformula:

6.1Weight重量

TheweightasdeterminedintheCertificateofWeightbySSSTestingServicesPhilippinesshallbethefinalweightforpayment.

菲律宾SSS签发的重量报告中的重量将作为双方接受的最终重量。

7.TermsofPayment付款条件

Payment:

TheBuyershallissueanirrevocableletterofcreditpayableat90daysafterB/LdateinfavoroftheSellerwithin10daysaftersigningofthecontract,negotiableatanybankagainstfollowingdocuments:

付款方式：

合同签订后10日内，买方应开立以卖方为受益人的不可撤销的90天远期信用证，根据以下单证进行议付：

（1）FullsetofCleanonboardbilloflading,madeouttoorderandblankendorsed,markedfreightpayableaspercharterparty.

全套清洁提单，提单显示toorder,空白背书，运费支付按照租船合同。

（2）CommercialinvoicesignedbySellerinoneoriginal.

卖方签署的商业发票正本一份。

（3）CertificateofQualityissuedbySSSTestingServicesPhilippines,faxorphotocopyacceptable.

菲律宾SSS出具的品质报告一份，传真或扫描件可接受。

（4）CertificateofWeightissuedbySSSTestingServicesPhilippinesinonecopy,faxorphotocopyacceptable.

菲律宾SSS出具的重量报告一份，传真或扫描件可接受。

8.Shipment:

9.Samplingassay品质检验

TheinspectionresultatloadingportaccordingtotheCertificateofQualityandCertificateofWeightissuedbySSSTestingServicesPhilippineswillbefinal.

菲律宾SSS签发的质量报告和重量报告会是货物品质的决定。

10. Delivery交付

（1）SellershallinformBuyeroftheshipmentofthecargobywritingforBuyer

卖方必须于发货后书面形式通知买方。

（2）Laytimefordischargingshallcommence12hoursaftertheNORistendered.

卸船时间从递交NOR后12小时开始计算。

（3）Unloadingrateis12,000mtperWeatherWorkingDay（includingholidays）.DEMURRAGERATEUSD9500PDPR.DISPATCHHALFDEMURRAGEWTSANDPRO-RATA.FOREACHSHIPMENT,DEMURRAGE/DESPATCHIFANYTOBESETTLEDW/I10BANKINGDAYSAFTERCOMPLETIONOFDISCHARGING.DEM/DESSHALLBECALCULATED/SETTLEDAGAINSTALLRELEVANTSUPPORTINGDOCUMENTSSUCHASNOTICEOFREADINESS/TIMESHEET/STATEMENTOFFACT.

卸率为12，000吨/晴天（含节假日）；滞期费率为每天9500美元，速遣费率为滞期费率的一半，不足一天按比例计算。

滞期速遣将于卸货完成后10个工作日结算。

11.Non-deliveryordeferreddelivery不交货或者迟延交货

Intheeventoffailuretoaffectdelivery,duetoacauseforwhichsellerorbuyerisresponsible,thecostandexpenditurethereofshouldbeundertakenbyresponsibleparty.

因为卖方或者买方原因导致不能交货，产生的相关费用和损失由责任方承担。

12.ForceMajeure不可抗力

ForceMajeure：

TheSellershallnotbeheldliableforfailuredelaydeliveryoftheentirelotoraportionofthecommodityunderthisContractinconsequenceofanyforcemajeureincidents.

不可抗力：

本合同内所述全部或部分货物，如因不可抗力的原因，以致不能履约或不得不延期交货，卖方概不负责。

13.Arbitration  仲裁

Arbitration：

AnyoralldisputesarisingfromorinconnectionwiththeperformanceoftheContractshallbesettledthroughnegotiationbybothparties，failingwhichtheyshallbesubmittedforarbitration，ThearbitrationshalltakeplaceinChinaandshallbeconductedbyChinaInternationalEconomicandTradeArbitrationCommissioninaccordancewiththerulesofproceduresofthesaidcommission.ThearbitrationawardshallbefinalandbindinguponbothBuyerandseller.Unlessotherwiseawardedbythesaidarbitrationcommission，thearbitrationfeesshallbebornebytheLosingparty.

仲裁：

在执行本合同中所发生的或者与合同有关的一切争执，由双方协商解决。

如果协商后仍不能解决时，得提请仲裁。

仲裁在中国进行，由中国国际经济贸易仲裁委员会，根据该委员会的仲裁程序规则进行仲裁。

仲裁裁决为最终决定，买卖双方都应服从。

除仲裁委员会另有决定外，仲裁费用由败诉一方负担。

14.AmendmentsandWaivers修改和弃权

Noamendments,variation,additionorsubstitutiontoorforthisagreementshallbe ofanyforceoreffectunlesssuchamendments,variation,additionorsubstitutionisinwriting.Anywaivermustbemadeinwriting.

除非有双方书面认可的修改或弃权，否则所有修改或弃权均无约束力。

任何弃权均需书面确认。

15.Confidentiality 保密条款

Thepartiesacknowledgeandagreethatthetermsandconditionsheretoareconfidentialandneitherpartymaydiscloseanyofsuchinformationwithoutthepriorwrittenconsentoftheotherparty.

买卖双方认可并同意对本合同内的规定及条款保密，任何一方未经过对方书面许可，不得泄露给他人。

16.Notice通知

Allnotices,requests,consents,demandsandotherdocumentsandcommunicationsrequiredorpermittedbythisagreementshallbein writtenEnglishorChineselanguageand maybe deliveredpersonallyorbesentbytelex,facsimile,emailorprepaidregisteredmailaddressingtotheotherparty.

本合同所有涉及的通知，请求，同意，要求和其他文件以及必要或许可的沟通，将用中文或英文书写，可以采取送达。

电报，传真，邮件，挂号信等方式送达对方。

17.ThecontractiswritteninbothEnglishandChinese.Incaseofconflictsofinterpretationbetweentwolanguages,Chineseversionprecedes.

当中英文条款有异议，以中文条款为准。

17人力不可抗拒因素：

由于水灾、火灾、地震、干旱、战争或协议一方无法预见、控制、避免和克服的其他事件导致不能或暂时不能全部或部分履行本协议，该方不负责任。

但是，受不可抗力事件影响的一方须尽快将发生的事件通知另一方，并在不可抗力事件发生15天内将有关机构出具的不可抗力事件的证明寄交对方。

ForceMajeure：

Eitherpartyshallnotbeheldresponsibleforfailureordelaytoperformalloranypartofthisagreementduetoflood,fire,earthquake,draught,waroranyothereventswhichcouldnotbepredicted,controlled,avoidedorovercomebytherelativeparty.However,thepartyaffectedbytheeventofForceMajeureshallinformtheotherpartyofitsoccurrenceinwritingassoonaspossibleandthereaftersendacertificateoftheeventissuedbytherelevantauthoritiestotheotherpartywithin15daysafteritsoccurrence.

18仲裁：

在履行协议过程中，如产生争议，双方应友好协商解决。

若通过友好协商未能达成协议，则提交中国国际贸易促进委员会对外贸易仲裁委员会，根据该会仲裁程序暂行规定进行仲裁。

该委员会决定是终局的，对双方均有约束力。

仲裁费用，除另有规定外，由败诉一方负担。

Arbitration

Alldisputesarisingfromtheexecutionofthisagreementshallbesettledthroughfriendlyconsultations.Incasenosettlementcanbereached,thecaseindisputeshallthenbesubmittedtotheForeignTradArbitrationCommissionoftheChinaCouncilforthePromotionofInternationalTradeforArbitrationinaccordancewithitsProvisionalRulesofProcedure.Thedecesionmadebythiscommissionshallberegardedasfinalandbindinguponbothparties.Arbitrationfeesshallbebornebythelosingparty,unlessotherwiseawarded.
