Accordingtorelevantlawsandregulations,basedonmutualnegotiations,PartyAandPartyBmakeagreementinthefollowingarticles:

Article1CollateralofPartyB

PartyBusesthepropertyintheListofCollateral（appendix）formortgage.PartyBguaranteesitsownershiporrightofdisposalaccordingtolaws.

Article2MethodofMortgageGuarantee

1.Whenthedebtstipulatedinthemaincontractisdue,theguaranteeresponsibilityoftheloanprovidedbyPartyAtoPartyByetnotrepaidbyPartyBisascertainedaccordingtothescopeofmortgageguaranteeinArticle3ofthiscontract;beforethedebtstipulatedinthemaincontractisdue,ifPartyAconductsrecourseontheborrowerinadvanceaccordingtothemaincontract,PartyBshallalsotaketheguaranteeresponsibilitywiththecollateral.

2.IfPartyAandPartyB（orborrower）makewrittenagreementofextendingdurationonthedebtduration,interestrate,amountandetc.stipulatedinthemaincontract,orPartyAmakesanadjustmentintheinterestrateaccordingtothemaincontractduringthedebtdurationstipulatedinthemaincontract,itisnotnecessarytogetconsentfromPartyBortoinformPartyBandPartyBagreestoall,thenthemortgageguaranteeresponsibilityundertakenbyPartyBshallnotbeaffected.

Article3ScopeofMortgageGuarantee

Thescopeofmortgageguaranteeincludestheentireprincipalstipulatedinthemaincontract,interest,overdueinterest,penaltyinterest,compoundinterest,defaultfine,compensationforloss,allchargestoenforcethemortgagerightandrealizethecreditor’srights（includingbutnotlimitedtolegalcosts,arbitrationfees,costsofpreservation,announcementfees,assessmentfees,appraisalcharges,auctioncosts,travelexpenses,communicationexpenses,counselfeesandetc.）andallotherpayableexpensesofthedebtorinthemaincontract.

Article4CustodyofOwnershipCertificateandRegistrationoftheCollateral

PartyBshalldeliverownershipcertificateofthecollateraltoPartyAonthedateofcontractsigning,andbothpartiesagreethatwithin2daysafterthecontractissigned,PartyBshallunconditionallyassistPartyBwithrelevantmortgageregistrationprocedures.OwnershipcertificateofthecollateralshallbeinthecustodyofPartyAduringmortgageperiod.

Article5Whenthereareothermortgageguarantee,pledgeguaranteeorguaranteesinthecreditor’srightsofPartyA,ifPartyAgivesuporremovesothermortgageguaranteeandpledgeguaranteeordismissesguaranteeresponsibilityofguarantees,PartyBshallstilltakemortgageguaranteeresponsibilityregardingPartyAaccordingtoarticlesstipulatedinthismortgagecontract.

IfPartyAsuspendsgrantingtheloanthathasnotbeengrantedorcollectsgrantedloaninadvancebasedonthearticlesinthemaincontract,theguaranteeresponsibilityundertakenbyPartyBaccordingtothiscontractshallnotbeaffected.

Article6CostBearing

Relevantcostsstipulatedinthiscontractsuchasassessmentfees,insurancepremium,appraisalcharges,registrationfees,custodychargesandetc.

Article7CustodyoftheCollateral

1.Duringthemortgageperiod,thecollateralshallbeincustodyofPartyBortheentrustedagentofPartyB;PartyBandtheentrustedagentofPartyBshallmaintainpropercustodyofthecollateralandhavetheobligationofrepair,maintenanceandkeepingitintactandshallaccepttheinspectionofPartyAatanytime.

Themortgageperiodreferstotheperiodfromthedaythiscontractcomesintoeffecttotheexpirationdayofstatuteoflimitationsofcreditor’srightsstipulatedintheLoanContract.

2.Duringthemortgageperiod,PartyBshallnottakeanyactionsthatwillreducethevalueofthecollateral;ifsuchactionsoccur,PartyAhastherighttodemandPartyBtostopandrecoverthevalueofthecollateral,ortoprovidenewcollateralacceptedbyPartyAwithin2daysafterPartyAinformsPartyB.CostsresultedfromtherecoveryofthecollateralofprovidingnewcollateralshallbeundertakenbyPartyB.

3.PartyBshallpurchasepropertyinsuranceforthecollateralduringthemortgageperiod,andthefirstbeneficiaryofthepropertyinsuranceshallbePartyA.InsurancedocumentsshallbeincustodyofPartyA.Duringthemortgageperiod,iflosseswithintheinsurancescopeofthecollateraloccurorthevalueofthecollateralisreducedbecauseoftheactionsofthethirdparty,insurancecompensationorcompensationforlossesshallbeusedtoliquidatethedebtstipulatedinthemaincontractinadvanceorshallbedepositedbyPartyBintheaccountappointedbyPartyA,andPartyBshallnotuseduringthemortgageperiod.

Article8Duringthemortgageperiod,ifthecollateralcausesenvironmentalpollutionorotherdamages,PartyAaloneshalltaketheresponsibility.

Article9Duringthemortgageperiod,withoutwrittenconsentfromPartyA,PartyBshallnotgiveaway,remove,rent,transfer,remortgageordisposeinotherwaysthecollateralstipulatedinthiscontract.

Article10Duringthemortgageperiod,withwrittenconsentfromPartyA,paymentreceivedfromthetransferofthecollateralbyPartyBshallbeusedtoliquidatethemortgagedcreditor’srightsofPartyAinadvance.

Article11Intheexpirationofthetimelimitofthemaincontract,iftheborrowercannotliquidatethedebt,PartyBhastherighttodiscountthecollateralortakepriorityincompensationwiththepaymentfromtheauctionorsellingoffofthecollateral.

Article12PartyAhastherighttorealizethemortgagerightthroughdisposalofthecollateralinadvance,suspendthegrantofloanstipulatedinthemaincontractorcollecttheprincipalandinterestofthegrantedloanstipulatedinthemaincontractinadvancewhenoneofthefollowingcircumstancesoccur:

1.Therearedefaultsofthearticlesoragreementstipulatedinthemaincontractmadebytheborrower;

2.ThereareviolationsofintheagreedresponsibilitystipulatedinArticle4,Article7,Article8,Article9andArticle10ofthiscontractorotheractionsofdefault;orPartyBfailstofulfillresposibilitiesstipulatedinthiscontract.

3.WhenPartyBisalegalpersonorotherorganizations,situationsthatwillaffectitsabilitytoliquidatedebtsorlackofgoodfaithindebtliquidationoccursuchassuspensionofbusiness,suspensionorannulmentofbusinesslicense,applicationorbeingappliedforbankruptcy,dissolutionandetc.

4.WhenPartyBisanaturalperson,deathwithoutheirsordeviseesoccurs;

5.WhenPartyBisanaturalperson,heirsordeviseesofPartyBgiveuptheinheritanceorbequestandrefusetofulfilltheobligationofrepayingloanprincipalandinterest;

6.Othereventsthatwillendangertherealizationofcreditor’srightsofPartyAstipulatedinthemaincontract.

Article13ResponsibilityforBreachofContract

1.IfPartyBviolatesArticle7ofthecontractthroughreductioninthevalueofthecollateralresultingfromthecarelessnessintherepairandmanagementofthecollateral,oractionsofPartyBdirectlyendangerthecollateralandresultinthereductioninthevalueofthecollateral,PartyAhastherighttodemandPartBtoimmediatelystoptheviolatingactionstowardsthemortgagerightofPartyA,todemandPartyBtoprovideothercollateralacceptedbyPartyA,andtodisposethecollateralinadvance.

2.IfPartyBviolatesArticle9ofthecontractandarbitrarilydisposesthecollateral,theactionisnotvalid;PartyAhastherighttodemandPartBtoimmediatelystoptheviolatingactionstowardsthemortgagerightofPartyA,todemandPartyBtoprovideothercollateralacceptedbyPartyA;

3.IfPartyBconcealsthefactthatthecollateralisinvolvedinco-ownership,disputes,seal-up,impoundment,rent,existingmortgage,legalpriorityrightwithlowermortgageright（includingbutnotlimitedtopriorityrightofconstructionprojectpayment）ornoownershipordisposalrightofPartyBandetc.,PartyAhastherighttodemandPartyBtoprovideothercollateral/pledgepropertyacceptedbyPartyA;

4.Whenanyoftheabovecircumstancesviolatingthecontractoccurs,ifPartyBfailstoprovideothercollateralaccordingtotherequirementsofPartyA,PartyBshallpayPartyBadefaultfineamountingto20%oftheloanprincipalstipulatedinthemaincontract.IfeconomiclossesarecausedtoPartyA,PartyBshallcompensatePartyAforalltheeconomiclosses.

Article14PaymentfromExerciseoftheMortgageRightbyPartyAShallbeAssignedinPriorityoftheFollowingOrder:

1.Paymentofchargesrelatedtotheexerciseofthemortgageright;

2.LiquidationofinterestpayablebytheborrowertoPartyA;

3.Liquidationofloanprincipal,defaultfine（includingpenaltyinterest）,compensationandetc.payab
