1.  RoutineMaintenance   常规保养

AccordingtothelocalregulationPreventativeMaintenanceSchedule，PartyBwillattendthejobsitetodothemaintenanceregularly。

根据当地法规规定并遵照预防性保养计划表，乙方会定期到现场执行保养工作。

1  Comprisingallmaintainableequipmentandappurtenancesincludingbothelectricaland mechanicalcomponentsandwiringwiththeexceptionofthosepartsspecifiedasexclusionsinClause7hereof，hereinafterreferredtoasthe”Equipment”。

  保养内容包括所有可保养的电梯、扶梯设备，包括电气和机械部件和配线，但本合同条款7中所述之设备除外。

以下简称为“设备”.

2 PartyBshallprovide  trainedemployeestoserviceandmaintaintheequipmentina  safe  condition。

  乙方应指派受过专业培训的技术人员在安全的环境下进行设备保养和服务。

3 PartyBwillsystematicallyadjustlift_  timesayear，lubricateasrequired，andifconditionswarrantasaresultofordinarywearandtear，repairwithnoadditionalcharge。

Elevator;fullreplacementortractionmachine,motorandropes;Escalator:

handrails）

 乙方会每月2次系统地进行电梯调整，润滑,并在条件需要的情况下免费对正常损坏和磨损进行修理和替换。

1.4 Tocheckguidesliderorguiderollersreguallytoensuresmoothandquietoperationand，exceptwhereguiderollersareused,tokeepguiderailsproperlylubricated.

 定期检查导靴滑块或导靴滚轮以确保设备平稳运行。

除导靴滚轮以外，应保持导轨适度润滑。

1.5 Tocheckallwireropesasoftenasnecessarytomaintainanadequatefactorofsafety,toequalisethetensiononallhoistingropes。

  必要时经常检查所有的钢丝绳，以确保设备足够安全和所有曳引钢丝绳张力保持平衡。

1.6 PartyBwillgreaseandlubricatetheequipmentandlubricationoilinfreeorcharge.

 乙方将对设备进行润滑和加油并免费提供维护保养润滑用油。

7  Toexamineonceayearallsafetydevicesaccordwith  countryrelativesafetystandard.

 配合甲方参与当地政府质检部门每年进行一次检查，以符合国家相关安全标准。

8 Aftereachmaintenance，PartyBwillsubmitthemaintenancereporttoPartyA。

PartyAshouldmakeanimmediatelycheckandsignthereportifitacceptable.Incaseofanyquestion，PartyAcanrequirePartyBtorecheckandreadjusttheequipment.

   每次保养之后，乙方要向甲方提交保养报告。

甲方应立即进行检查，确认后签字。

若甲方有疑问，可要求乙方对设备存在的问题复查和再调试.

2.  24hourscalloutservice

    24小时急修服务

2.1 PartyBwillprovidea24-houremergencyserviceintheeventthattheequipmentbreakdown.      Wewillarriveonsitewithin45minutesforacallback，and30minutesintheeventofatrapping

    乙方为电梯故障提供24小时紧急服务。

我们将在收到急修电话的45分钟内赶到现场，在30分钟内赶到现场解决困人问题。

2 WhenthereportednatureofamalfunctionisnotdetrimentaltothesafetyofpersonsnorofsignificanteffectontheserviceprovidedbytheEquipment,thenattendancetothesameshallbecarriedoutduringPartyBnextvisittothePremisespursuantto（routinemaintenance）。

   当通报的故障对人身安全没有危害，对设备运行也无显著影响，则维修将在乙方下次常规保养时执行。

1 ThiscontractexpensivewillbeRMB，atfirstyeal,anyexpensiveofincreasedequipmentorpartswastingandfaultincreaseshallbeadjustedeachsubsequentyearby__%fromsecondyeartill__year

 本合同第一年度维保费用总金额为RMB,，第二年度至第___年度，因设备运营年限增长,导致电梯部件损耗及故障机率提高,各年度维保合同金额将以___%每年的增长幅度予以调整。

  CommencementDateandDurationofAgreement

   合同起始日期和合同期限

  ThisAgreementwillcommenceonthe      ，overonthe  /  /  andcontinueforatermof［XX］yearsandthenbeautomaticallyrenewedforanequivalentperiodunlessninety（90）daysbeforetheendofthecurrenttermeitherpartynotifiestheotherthattheAgreementisnotbeingrenewed。

除非在当前合同到期前90天一方告知另一方不再续签合同,否则合同自动更新为相等年限的新合同。

5.  MaintenanceInstallments     付款方式

   如甲方未能按付款期限向乙方支付维修保养费用，每超过合同所规定的付款期限二周，甲方除付清应付维修保养费外，还应向乙方支付当期应付维修保养费总额的2％。

6.  AdditionalMaintenanceRequestedbyPartyA

    甲方要求的额外维保

  PartyBshallnot，unlessspecificallyrequestedinwritingby，andattheexpenseof,PartyA:

乙方将根据甲方书面要求并支付费用的情况下执行以下维保：

6.1 Carryoutanystatutorysafetytests（otherthanasspecifiedinClauseifhereof），increasenewattachments，carryoutstructuralorotheralterations，ormakeanyreplacementswithpartsofadifferentdesignwhich,afterthecommencementofthisAgreement，becomenecessaryasaresultofdirectionsfromstatutoryauthoritiesorPartyA’sinsurersorastheresultofneworamendinglegislation；

    自合同生效日起，法定权威机构，或甲方保险公司，或新的或修改过的法律提出，应执行的法定安全检测（除了此合同条款中明确注明），增装新配件，修改结构或进行任何变动;

6.2 Carryoutrepairs,renewalsorreplacementsnecessarybyanycausebeyondthecontrolofPartyB  exceptordinarywearandtear；

  除了正常磨损和损坏，执行超出乙方控制范围所致的磨损和损坏的修理，更新或替换；

3 Providedthat，wherePartyArequestsworkcoveredbythisAgreementtobecarriedoutoutside*normalworkinghours，（withtheexceptionofadditionalagreement）accordingtothelocalrelatedregulation，PartyBshalldifferentiatebetweenordinaryandovertimeratesandfurtherprovidedthat,wherePartyArequestsPartyBtoundertakeanyworkwhichisexcludedfromthisAgreement,PartyBshallnotcommenceworkuntilthepartiesheretomutuallyagreetothecostofsuchworkandthetimeandmethodofpayment。

  如果甲方要求此合同中规定的保养工作在非*正常工作时完成（另有约定除外），乙方按当地相关法规规定对非正常工作时的工作收取不同费用.而且如果甲方要求的工作不属于本合同范围，则乙方只有在双方确定工作成本，工作时间和费用支付方式后执行工作.

4  Anyequipmentdamagedbyreasonsofnaturedisasterorforcemajeure.

   因自然灾害或不可抗力而造成的设备的损坏.

7. AssociatedEquipmentnotCoveredbyContract

 合同中不涉及的有关设备

   PartyBshallnotberesponsibleforthemaintenanceof：

  乙方不负责以下设备保养工作：

7.1  Non—elevatorpartsandequipment，including:

powermainsthatofferedbycustomer,circuit   breaker,structuralofliftwell,machineroomventilationequipment，waterorsumppumpequipmentforliftpits

    非电梯本身的零部件及设备,包括业主提供的主电源开关,断路器，井道的土建结构,机房通风设备，用于地坑的抽水设备或油回收泵

2 Liftequipmentsurfacematerials  ,carlighting，operatingpanel，callbox,indicatorpanelandtelephone,communication，audio,securityequipmentthatofferedbyotherprovider.

  电梯设备表面装饰材料、轿内照明以及其他供应商提供的电话、通讯设备、录音和保安设备

  Escalatorproductsarenotincluding:

balustrades,lightingfixture,skirtings，insideandoutside coverplateandentrancetreadcleanness。

    对于扶梯产品不包括扶梯扶手及照明灯具、裙板、内外盖板和扶梯入口踏板的清洁。

 Hydraulicliftisnotincluding：

Caissons,cylindersandburiedpipingchange.

  对于液压电梯也不包括：

液压梯沉箱，油缸和预埋管的更换.

 8。

   PartyAnottoRepairEquipment    甲方不得修理设备

  WithoutPartyBconsent,suchconsentnottobeunreasonablywithheld,partyAshallnotdirectorpermitanythirdpartytorepair,alteration，replacementoranyinterferencewithanyoftheequipment,  .

 除非乙方违约，甲方不得指挥或允许任何第三方修理，改造，更换或任何影响设备的行为。

   WithoutPartyB’spermission，PartyB’ssparepartsarenotabletobetransferredorresoldtoathirdPartybyPartyA。

   未经乙方允许，甲方不得将乙方的备件转交或转卖给第三方.

9。

 AccesstoPremisesandEquipment     工地和设备的通勤

   PartyAshallpermitPartyB，itsemployeesandcontractorsaccesstotheequipmentandthelandings,lobbiesandmotorroomsassociatedtherewithforthefulfillmentofPartyBobligationshereunder,providedthatpersonsenteringthePremisespursuanttothisClauseforthepurposesofthisAgreementshallcomplywithanyreasonabledirectionsofPartyAoranyauthorisedofficerofPartyArelatingtoaccesstothePremises，ortoanypartthereof。

PartyAshallunderadutytoprotecttheequipmentandthenecessaryfacilities,andnotallowanyotherpersontoenterthemachineroomsandshaft.    

  甲方应允许乙方人员为完成合同中应尽的义务进出设备，楼层,大厅和机房。

遵守此条款以执行此合同为目的的进出工地者,应遵守甲方或甲方授权机关制定的合理的进出条例。

甲方有责任保护设备和必要的设施，不允许无关人士进入机房和井道。

10.  NotificationofAccidents    事故通报

  BothPartyAandPartyBhaveresponsibilitytonotifytheotherpartywheneitherpartyisawareofthedeathorinjurytoanypersonordamagetopropertyarisingfromtheuseoftheequipment。

   甲方和乙方双方中任何一方如意识到使用电梯可能引起人员伤亡和财产损失，则双方都有责任将情况告知对方.

11。

  LiabilityofdefaultbyPartyB     乙方违约责任

11.1   IfPartyBisindefaultunderanyoftheprovisionsofthisAgreement,PartyAmaygivenoticeinwritingtoPartyBattheaddresshereinbeforestatedspecifyingthenatureofthedefaultonthepartofPartyB.    

   如果乙方没有按照此合同的约定履行相关义务，甲方可以按照此合同约定的地址发出书面通知，告知乙方其违约情况。

   IfPartyBfailstorectifythedefaultwithinninety（90）daysofreceiptofsuchnotice，thenParty  AmayterminatethisAgreementforthwith.

     如果乙方未能在收到书面通知之日起90天内更正其违约行为,则甲方可随即终止此合同。

11。

2 PartyBwillberesponsibleforanybreachoforfailureaccordwithrelativeruleoflaw，exceptforcemajeure

  乙方将按国家有关的法律或法规就其违约承担责任，不可抗力事故除外.

11.3 PartyBwillnotberesponsibleforanydamnifybringedbyequipmentthatnotbelongto。

   乙方维保范围外的设备而引起的任何损失以及非乙方原因而引起的任何损失，乙方不承担责任。

12. TerminationThroughDefaultofPartyA   甲方违约而导致的合同终止

1 PaymenttoPartyBshallbemadeinaccordancewiththeconditionsnotedonthecontractsummary。
