EmployeeWelfareBenefitTrust雇员福利受益信托协议-

Section10.1.InalienabilityofBenefits.Exceptasmayotherwisebeprovidedherein,therightofanyParticipant,Dependent,BeneficiaryorotherpersonorentitytoanybenefitorpaymentfromtheTrustshallnotbesubjecttovoluntaryorinvoluntarytransfer,alienation,pledge,assignmentorotherdispositionandshallnotbesubjecttoattachment,execution,garnishment,sequestrationorotherlegalorequitableprocess.Anyattempttotransfer,alienate,pledge,assignorotherwisedisposeofsuchrightoranyattempttosubjectsuchrighttoattachment,execution,garnishment,sequestrationorotherlegalorequitableprocessshallbenullandvoid.

Section10.2.NoImpliedRights.NeithertheestablishmentoftheTrustnoranymodificationthereof,northecreationofanyfund,trustoraccountthereunder,shallbeconstruedasgivinganyParticipant,Employee,Retiree,Dependent,BeneficiaryorotherpersonorentityanylegalorequitablerightunlesssuchrightshallbespecificallyprovidedforinthePlanandtheTrustorconferredbyaffirmativeactionoftheEmployerinaccordancewiththeexpresswrittentermsandprovisionsofthePlanandtheTrust.

Section10.3.StatusofEmploymentRelations.TheadoptionandmaintenanceoftheTrustshallnotbedeemedtoconstituteacontractbetweentheEmployeranditsEmployeesoranyrepresentativethereofortobeconsiderationfor,oraninducementorconditionof,theemploymentofanyperson.Nothingcontainedhereinshallbedeemedto:

（a）givetoanyEmployeetherighttoberetainedintheemployoftheEmployer;

（b）affecttherightoftheEmployertodisciplineordischargeanyEmployeeatanytime;or

（c）affectanyEmployee’srighttoterminatehisemploymentatanytime.

Section10.4.NoGuarantee.NothingcontainedintheTrustshallconstituteaguaranteebytheEmployer,theSponsor,theBoard,theAdministrativeCommitteeortheTrusteethattheassetsoftheTrustFundwillbesufficienttopayanybenefittoanypersonormakeanyotherpayment;paymentstobepaidfromtheTrustarelimitedtotheassetsremainingintheTrustatthetimepaymentismade.PriortothetimethatdistributionsaremadeinconformitywiththePlanandtheTrust,theParticipants,Employees,Retirees,Dependents,Beneficiariesorotherpersonsshallnotreceiveanydistributionofcashorotherthingofcurrentorexchangeablevalue,eitherfromtheEmployer,theSponsor,theBoard,theAdministrativeCommitteeortheTrusteeonaccountof,orasaresultoftheTrustFundcreatedhereunder.

Section10.5.ServiceinMorethanOneCapacity.ApersonorgroupsofpersonsmayserveinmorethanonefiduciarycapacitywithrespecttotheTrust.

Section10.6.AdoptionbyOthers.AnycorporationorotherbusinessentitywhichissufficientlyaffiliatedwiththeSponsorforpurposesofSection501（c）（9）oftheCodemayadopttheTrustinanymanneracceptabletotheAdministrativeCommitteeprovidedthereiswrittenevidenceofsuchadoption.IfaSuccessorCompanytotheEmployeroranyotherpersonorentitytowhomtheEmployerassignsitsrightselectstocontinuetheTrust,suchSuccessorCompanyorpurchasershallbesubstitutedfortheEmployerunderthisAgreement.EachEmployer,otherthantheSponsor,whichisorshallbecomeapartytothisAgreement,herebyirrevocablygivesandgrantstotheSponsorandtheAdministrativeCommitteefullandexclusivepowerandauthoritytoexerciseallofthepowersconferreduponitbythetermsofthisAgreementandtotakeorrefrainfromtakinganyandallactionwhichsuchEmployermightotherwisetakeorrefrainfromtakingwithrespecttothisAgreement,includingthesoleandexclusivepowertoexercise,enforceorwaiveanyrightswhatsoeverwhichsuchEmployermightotherwisehavewithrespecttotheTrustFund,andeachsuchEmployer,bybecomingapartytothisAgreement,irrevocablyappointstheSponsoritsagentforsuchpurposes.TheTrusteeshallhavenoobligationtoaccounttoanysuchEmployerortofollowtheinstructionsoforotherwisedealwithanysuchEmployer,theintentionbeingthattheTrusteeshalldealsolelywiththeSponsorandtheAdministrativeCommitteeasiftheTrusteeandSponsorweretheonlypartiesinthisAgreement.

Section10.7.WithdrawalbyParticipatingAffiliates.EachindividualEmployerwhichhasadoptedthisTrustmay,byresolutionoftheboardofdirectorsorexecutiveormanagementcommitteesofsuchEmployer,oritsdelegates,andsubjecttotheapprovaloftheSponsorandthesatisfactionofsuchconditions,ifany,asmaybeimposedbytheSponsorortheAdministrativeCommittee,terminateitsadoptionoftheTrust.SuchwithdrawalwillbeeffectiveuponreceiptofwrittennoticeofsuchwithdrawalbytheSponsorandTrustee,unlesssuchnoticeiswaived.

Section10.8.ActionsbySponsor.AllactionsbytheSponsorunderthisTrustshallbebyresolutionoftheAdministrativeCommittee,orbyapersonorpersonsorcommitteedesignatedbytheAdministrativeCommittee.

Section10.9.BindingEffect.TheprovisionsoftheTrustshallbebindingontheEmployer,theTrustee,theSponsor,theBoard,theAdministrativeCommitteeandtheirsuccessorsandonallpersonsentitledtobenefitsunderthePlanandtheirrespectiveheirs,legalrepresentativesandsuccessorsininterest.

Section10.10.GoverningLaws.TheTrustshallbeconstruedandadministeredaccordingtothelawsoftheStateofNewYork,totheextentthatsuchlawsarenotpreemptedbythelawsoftheUnitedStatesofAmerica.

Section10.11.Counterparts.TheTrustmaybeexecutedinanynumberofcounterparts,eachofwhichshallbedeemedanoriginal,andtheAgreementmaybesufficientlyevidencedbyanyonecounterpart.

Section10.12.NumberandGender.Whereverappropriate,wordsusedinthisTrustinthesingularmaymeantheplural,thepluralmaymeanthesingular,andthemasculinemaymeanthefeminineorneuter.

Section10.13.Courts.Exceptasotherwiserequiredbylaw,incaseofanycourtproceedingsinvolvingtheTrustee,theEmployer,theSponsor,theBoard,theAdministrativeCommitteeortheTrustFund,onlytheEmployer,theSponsor,theBoard,theAdministrativeCommitteeandtheTrusteeshallbenecessarypartiestotheproceedings,andnootherpersonshallbeentitledtonoticeofprocess.ExceptwhereotherwisespecificallyrequiredbytheAct,theUnitedStatesDistrictCourtfortheSouthernDistrictofNewYorkshallhavethesoleandexclusivejurisdictionoveranylawsuitorotherjudicialproceedingrelatingtoorarisingfromthisAgreement.Ifthatcourtlacksfederalsubjectmatterjurisdiction,theSupremeCourtoftheStateofNewYork,NewYorkCountyshallhavesoleandexclusivejurisdiction.Eitherofthesecourtsshallhavepropervenueforanysuchlawsuitorjudicialproceeding,andthepartieswaiveanyobjectiontovenueortheirconvenienceasaforum.Thepartiesagreetosubmittothejurisdictionofanyofthecourtsspecifiedandtoacceptserviceofprocesstovestpersonaljurisdictionovertheminanyofthesecourts.Afinalandunappealedjudgmententeredinanysuchproceedingshallbeconclusive.Thepartiesfurtherherebyknowingly,voluntarilyandintentionallywaive,tothefullestextentpermittedbyApplicableLaw,anyrighttoatrialbyjurywithrespecttoanysuchlawsuitorjudicialproceedingarisingorrelatingtothisAgreementorthetransactionscontemplatedhereby.

Section10.14.Notices.WheneveranynoticemaybeorisrequiredtobegivenbytheTrustee,theSponsor,theBoardortheAdministrativeCommitteetoanyperson,suchnoticemaybegivenbyUnitedStatesmail,mailedtosuchpersonathislastaddressappearingintherecordsoftheSponsor;provided,however,intheeventnoticeistobegiventotheSponsor,suchnoticeshallbedirectedtothePresidentoftheSponsor.

Section10.15.PersonsDealingwithTrustee.NopersonorentitycontractingorinanywaydealingwiththeTrusteeshallbeunderanyobligationtoascertainorinquire（a）intoanypowersoftheTrustee,（b）whethersuchpowershavebeenproperlyexercised,or（c）thesourceorapplicationofanyfundsreceivedfromorpaidtotheTrustee,andsuchpersonmayrelyontheTrustee’sexerciseofanypowerorauthorityasconclusiveevidencethathepossessessuchpowerandauthority.ThisSectionshallnotapplytoanypersonwhoisafiduciarywithrespecttotheTrust.

Section10.16.Titles.AlltitlesusedinthisAgreementareforpurposesofidentificationonlyandshallhavenobearingonthemeaning,constructionorinterpretationoftheArticlesorSectionstowhichtheyrefer.

Section10.17.TaxExemption.ThePlanandtheTrustareintendedtoconstituteanorganizationdescribedinSection501（c）（9）oftheCodeandtosatisfyanyapplicablerequirementsoftheAct,andthisAgreementshallbeinterpretedandtheTrustshallbeadministeredconsistentwithsuchintention.

Section10.18.Misrepresentations.TheAdministrativeCommitteemay（butshallnotberequiredto）relyuponanycertificate,statementorotherrepresentationmadetoitbyanEmployee,Participant,Dependent,BeneficiaryorotherrecipientwithrespecttoanyfactwithregardtoanyoftheprovisionsofthePlanandtheTrustortheoperationofeither.Anysuchcertificate,statementorotherrepresentationshallbeconclusivelybindinguponsuchEmployee,Participant,Dependent,Beneficiaryorotherrecipientorhispersonalrepresentative,heir,orassignee（butnotupontheAdministrativeCommittee）,andanysuchpersonorrecipientshallthereafterbeestoppedfromdisputingthetruthofanysuchcertificate,statemento
