甲乙双方在平等协商基础上，就乙方应甲方要求安排技术服务人员（以下或简称为“乙方人员”）到甲方所在地或甲方指定地点现场提供技术服务一事，达成如下协议并承诺共同遵守：

Onthebasisofequalnegotiation,thefollowingagreementhasbeenenteredintobyPartyAandPartyBformutualbindingregardingPartyB'sarrangementoftechnicalservicepersonnel（hereinafterreferredtoas"PartyB’sPersonnel"）attherequestofPartyA,aimingtoprovidetechnicalservicesatthelocationofPartyAorthesitedesignatedbyPartyA:

一、合作内容

I.ContentofCooperation

1、双方约定，利用各自的资源优势，在XUNFA-SRAL饼干流水线项目中建立长期的合作关系。

甲方委托乙方负责提供技术服务，乙方接受甲方委托，为甲方提供上述技术支持，并提供安装机器人员6名，双方以资源共享、优势互补为手段，建立全方位的战略合作伙伴关系，实现双方共同发展、“双赢”的目的。

1.Bothpartiesagreetoestablishalong-termcooperativerelationshipinXunfa-SRalCookieAssemblyLineProjectwiththeirrespectiveresourceadvantages.PartyAshallentrustPartyBtoprovidetechnicalservicesandentrustedbyPartyA,PartyBshallprovidePartyAwiththeabovetechnicalsupportandsixmachineinstallationpersonnel.Byfollowingtheprincipleofresourcesharingandcomplementaryadvantages,bothpartiesshallestablishacomprehensivestrategiccooperativepartnership,aimingtoachievecommondevelopmentand“win-win”purpose.

2、合作期间，乙方人员到甲方指定地点非洲马里提供技术服务，具体服务项目以双方可以通过邮件、电话、QQ等方式联络工作事宜，联络记录均为本合同附件和本合同具有同等法律效力。

2.Duringthecooperationperiod,PartyB'spersonnelshallprovidetechnicalservicesattheplacedesignatedbyPartyAinMali,Africa.Forspecificserviceitems,bothpartiesmaycontactwitheachotherregardingwork-relatedmattersthroughemail,telephone,QQandothermeans,andthecontactrecordsbetweenthetwopartiesshallberegardedasappendixestothiscontractandshallhavethesamelegaleffectasthiscontract.

3、合作期间，乙方保证合规履行服务项目等相关职责，承担相关责任及义务，甲乙双方应及时共享各自的服务信息、动态、用户需求等经营信息，并保持长期稳定战略合作关系。

3.Duringthecooperationperiod,PartyBshallwarrantthecomplianceperformanceofserviceitemsandotherrelevantdutiesandassumetherelevantresponsibilitiesandobligations.PartyAandPartyBshallsharetheirrespectiveserviceinformation,trends,userneedsandotherbusinessinformationinatimelymanner,andmaintainalong-termandstablestrategiccooperativepartnership.

4、双方必须共同遵守国家法律法规，对所提供的信息负责，不得利用双方从事危害国家安全、泄露国家机密等违法犯罪活动。

双方紧密配合，齐心协力，维护双方共同利益。

4.Bothpartiesshallabidebynationallawsandregulations,beresponsiblefortheinformationprovidedrespectively,andnotusetheotherpartytoengageinanyillegalandcriminalactivitiesendangeringstatesecurityordisclosingstatesecrets.Bothpartiesshallcooperatewitheachotherinaclosemannerandmakeconcertedeffortstosafeguardcommoninterestsofbothparties.

二、具体项目实施

II.SpecificImplementation

1、乙方应甲方要求，在本协议期限内，安排相应的技术服务人员到甲方所在地或指定服务地点从事技术服务工作。

1.Duringthetermofthisagreement,PartyBshallarrangecorrespondingtechnicalservicepersonneltoperformtechnicalserviceatthelocationofPartyAortheservicesitedesignatedbyPartyAattherequestofPartyA.

2、对于上述乙方所安排的工作团队（或人员），甲方亦可指定甲方所在地之外的其他服务场所，但应在签订本合同时以附件形式将该服务场所以及时进行确定。

协议期限内，甲方更换服务地点的，应当向乙方支付乙方人员更换服务地点所发生的差旅费用，其他费用见合同其他部分约定。

2.Fortheaboveworkingteam（orpersonnel）arrangedbyPartyB,otherservicesitesotherthanPartyA'slocationmayalsobedesignatedbyPartyA,which,however,shallbedeterminedatthetimeofsigningthiscontractintheformofappendix.Duringthetermofthisagreement,ifPartyAchangestheservicesite,PartyAshallpayPartyBthetravelexpensesincurredbypartyB'spersonnelattributabletothechangetheservicesite,andotherexpensesshallbesetforthinotherpartsofthiscontract.

3、本协议为技术服务合同，甲乙双方不构成劳务派遣关系，甲方与乙方人员间不存在劳动关系。

3.Thisagreementbelongstoatechnicalservicecontract.NeitherthelabordispatchrelationshipbetweenPartyAandPartyBnorthelaborrelationshipbetweenPartyAandPartyB’spersonnelshallbeformed.

三、本协议服务期限

III.ServiceTermofThisAgreement

双方商定合作期限为6个月，即从2020年3月15日起至2020年9月14日止。

除本协议提前解除外，任意一方均可在有效期届满前1个月向对方提出延长协议合作的书面请求，经双方一致同意后，另签订协议，同等条件下，甲方享有优先续约权。

Thetermofcooperationisagreedbybothpartiesassixmonths,namely,startingfromMarch15,2020andendingonSeptember14,2020.Exceptforearlyterminationofthisagreement,eitherpartymaymakeawrittenrequesttotheotherpartytoextendthecooperationagreementonemonthpriortotheexpirationofthetermofvalidity,andaseparateagreementuponmutualconsentofbothpartiesshallbesigned.PartyAshallhavetheprioritytorenewthecontractunderthesameconditions.

四、服务费、超时服务费、其他费用及支付
