Employment,ConfidentialInformation,

andInventionAssignmentAgreement

Asaconditionofmyemploymentwith________________________________________________[NameofCompany],itssubsidiaries,affiliates,successorsorassigns（togetherthe"Company"）,andinconsiderationofmyfurtheremploymentwiththeCompanyandmyreceiptofthecompensationnowandhereafterpaidtomebyCompanyandtheCompany’sagreementinSection2（a）（i）,IagreetothefollowingtermsandconditionsofthisEmployment,ConfidentialInformationandInventionAssignmentAgreement（the"Agreement"）:

1.                   At-WillEmployment. IUNDERSTANDANDACKNOWLEDGETHATMYEMPLOYMENTWITHTHECOMPANYISFORANUNSPECIFIEDDURATIONANDCONSTITUTES"AT-WILL"EMPLOYMENT. IALSOUNDERSTANDTHATANYREPRESENTATIONTOTHECONTRARYISUNAUTHORIZEDANDNOTVALIDUNLESSOBTAINEDINWRITINGANDSIGNEDBYANAUTHORIZEDREPRESENTATIVEOFTHECOMPANY. IACKNOWLEDGETHATTHISEMPLOYMENTRELATIONSHIPMAYBETERMINATEDATANYTIME,WITHORWITHOUTGOODCAUSEORFORANYORNOCAUSE,ATTHEOPTIONEITHEROFTHECOMPANYORMYSELF,WITHORWITHOUTNOTICE.

2.                   ConfidentialInformation.

（a）                CompanyInformation.

                                                                        （i）                 TheCompanyagreesthatuponthecommencementofmyemployment,itwillmakeavailabletomethatConfidentialInformationoftheCompanythatwillenablemetooptimizetheperformanceofmydutiestotheCompany. Inexchange,IagreetousesuchConfidentialInformationsolelyfortheCompany’sbenefit. Notwithstandingtheprecedingsentence,IagreethatupontheterminationofmyemploymentinaccordancewithSection1,theCompanyshallhavenoobligationtoprovideorotherwisemakeavailabletomeanyofitsConfidentialInformation. Iunderstandthat"ConfidentialInformation"meansanyCompanyproprietaryinformation,technicaldata,tradesecretsorknow-how,including,butnotlimitedto,research,productplans,products,services,customerlistsandcustomers（including,butnotlimitedto,customersoftheCompanyonwhomIcalledorwithwhomIbecameacquaintedduringthetermofmyemployment）,markets,software,developments,inventions,processes,formulas,technology,designs,drawings,engineering,hardwareconfigurationinformation,marketing,financesorotherbusinessinformationdisclosedtomebytheCompanyeitherdirectlyorindirectlyinwriting,orallyorbydrawingsorobservationofpartsorequipment. IfurtherunderstandthatConfidentialInformationdoesnotincludeanyoftheforegoingitemswhichhasbecomepubliclyknownandmadegenerallyavailablethroughnowrongfulactoromissionofmineorofotherswhowereunderconfidentialityobligationsastotheitemoritemsinvolvedorimprovementsornewversionsthereof.

                                                                      （ii）                 Iagreeatalltimesduringthetermofmyemploymentandthereafter,toholdinstrictestconfidence,andnottouse,exceptfortheexclusivebenefitoftheCompany,ortodisclosetoanyperson,firmorcorporationwithoutwrittenauthorizationoftheBoardofDirectorsoftheCompany,anyConfidentialInformationoftheCompany.

（b）                FormerEmployerInformation. IagreethatIwillnot,duringmyemploymentwiththeCompany,improperlyuseordiscloseanyproprietaryinformationortradesecretsofanyformerorconcurrentemployerorotherpersonorentityandthatIwillnotbringontothepremisesoftheCompanyanyunpublisheddocumentorproprietaryinformationbelongingtoanysuchemployer,personorentityunlessconsentedtoinwritingbysuchemployer,personorentity.

（c）                ThirdPartyInformation. IrecognizethattheCompanyhasreceivedandinthefuturewillreceivefromthirdpartiestheirconfidentialorproprietaryinformationsubjecttoadutyontheCompany’sparttomaintaintheconfidentialityofsuchinformationandtouseitonlyforcertainlimitedpurposes. Iagreetoholdallsuchconfidentialorproprietaryinformationinthestrictestconfidenceandnottodiscloseittoanyperson,firmorcorporationortouseitexceptasnecessaryincarryingoutmyworkfortheCompanyconsistentwiththeCompany’sagreementwithsuchthirdparty.

3.                   Inventions.

（a）                InventionsRetainedandLicensed. Ihaveattachedhereto,asExhibitA,alistdescribingallinventions,originalworksofauthorship,developments,improvements,andtradesecretswhichweremadebymepriortomyemploymentwiththeCompany（collectivelyreferredtoas"PriorInventions"）,whichbelongtome,whichrelatetotheCompany’sproposedbusiness,productsorresearchanddevelopment,andwhicharenotassignedtotheCompanyhereunder;or,ifnosuchlistisattached,IrepresentthattherearenosuchPriorInventions. IagreethatIwillnotincorporate,orpermittobeincorporated,anyPriorInventionownedbymeorinwhichIhaveaninterestintoaCompanyproduct,processormachinewithouttheCompany’spriorwrittenconsent. Notwithstandingtheforegoingsentence,if,inthecourseofmyemploymentwiththeCompany,IincorporateintoaCompanyproduct,processormachineaPriorInventionownedbymeorinwhichIhaveaninterest,theCompanyisherebygrantedandshallhaveanonexclusive,royalty-free,irrevocable,perpetual,worldwidelicensetomake,havemade,modify,useandsellsuchPriorInventionaspartoforinconnectionwithsuchproduct,processormachine.

（b）                AssignmentofInventions. IagreethatIwillpromptlymakefullwrittendisclosuretotheCompany,willholdintrustforthesolerightandbenefitoftheCompany,andherebyassigntotheCompany,oritsdesignee,allmyright,title,andinterestinandtoanyandallinventions,originalworksofauthorship,developments,concepts,improvements,designs,discoveries,ideas,trademarksortradesecrets,whetherornotpatentableorregistrableundercopyrightorsimilarlaws,whichImaysolelyorjointlyconceiveordeveloporreducetopractice,orcausetobeconceivedordevelopedorreducedtopractice,duringtheperiodoftimeIamintheemployoftheCompany（collectivelyreferredtoas"Inventions"）,exceptasprovidedinSection3（f）below. Ifurtheracknowledgethatalloriginalworksofauthorshipwhicharemadebyme（solelyorjointlywithothers）withinthescopeofandduringtheperiodofmyemploymentwiththeCompanyandwhichareprotectiblebycopyrightare"worksmadeforhire,"asthattermisdefinedintheUnitedStatesCopyrightAct. IunderstandandagreethatthedecisionwhetherornottocommercializeormarketanyInventiondevelopedbymesolelyorjointlywithothersiswithintheCompany’ssolediscretionandfortheCompany’ssolebenefitandthatnoroyaltywillbeduetomeasaresultoftheCompany’seffortstocommercializeormarketanysuchInvention.

（c）                InventionsAssignedtotheUnitedStates. IagreetoassigntotheUnitedStatesgovernmentallmyright,title,andinterestinandtoanyandallInventionswheneversuchfulltitleisrequiredtobeintheUnitedStatesbyacontractbetweentheCompanyandtheUnitedStatesoranyofitsagencies.

（d）                MaintenanceofRecords. IagreetokeepandmaintainadequateandcurrentwrittenrecordsofallInventionsmadebyme（solelyorjointlywithothers）duringthetermofmyemploymentwiththeCompany. Therecordswillbeintheformofnotes,sketches,drawings,andanyotherformatthatmaybespecifiedbytheCompany. TherecordswillbeavailabletoandremainthesolepropertyoftheCompanyatalltimes.

（e）                PatentandCopyrightRegistrations. IagreetoassisttheCompany,oritsdesignee,attheCompany’sexpense,ineveryproperwaytosecuretheCompany’srightsintheInventionsandanycopyrights,patents,maskworkrightsorotherintellectualpropertyrightsrelatingtheretoinanyandallcountries,including,butnotlimitedto,thedisclosuretotheCompanyofallpertinentinformationanddatawithrespectthereto,theexecutionofallapplications,specifications,oaths,assignmentsandallotherinstrumentswhichtheCompanyshalldeemnecessaryinordertoapplyforandobtainsuchrightsandinordertoassignandconveytotheCompany,itssuccessors,assigns,andnomineesthesoleandexclusiverights,titleandinterestinandtosuchInventions,andanycopyrights,patents,maskworkrightsorotherintellectualpropertyrightsrelatingthereto. Ifurtheragreethatmyobligationtoexecuteorcausetobeexecuted,whenitisinmypowertodoso,anysuchinstrumentorpapersshallcontinueaftertheterminationofthisAgreement. IftheCompanyisunablebecauseofmymentalorphysicalincapacityorforanyotherreasontosecuremysignaturetoapplyforortopursueanyapplicationforanyUnitedStatesorforeignpatentsorcopyrightregistrationscoveringInventionsororiginalworksofauthorshipassignedtotheCompanyasabove,thenIherebyirrevocablydesignateandappointtheCompanyanditsdulyauthorizedofficersandagentsasmyagentandattorneyinfact,toactforandinmybehalfandsteadtoexecuteandfileanysuchapplicationsandtodoallotherlawfullypermittedactstofurthertheprosecutionandissuanceofletterspatentorcopyrightregistrationsthereonwiththesamelegalforceandeffectasifexecutedbyme.

（f）                 ExceptiontoAssignments. IunderstandthattheprovisionsofthisAgreementrequiringassignmentofInventionstotheCompanyshallnotapplytoanyinventionthatIhavedevelopedentirelyonmyowntimewithoutusingtheCompa
