C. 2、TERM.

The“Term”ofthisLeaseshallbeforthree(3)years, commencingon March1,2020(the"CommencementDate")andterminatingonFebruary28,2023(the“TerminationDate”). IftheleaseTermisextended,allprovisionsofthisLeaseshallapplytoanysuchextensionsexceptasthepartiesagreetoamendthetermsthereof. IfLandlordisunableto givepossessionof theDemisedPremisesontheCommencementDatebecauseofthe holding-over orretentionofpossessionbyanytenant,undertenantoroccupant,Landlordshallnotbe subjecttoanyliability forfailuretogivepossession,thevalidityofthisLeaseshallnotbeimpairedundersuchcircumstances,andtheTermshallnotbeextended,buttheRentshallbeabatedifTenantisnotresponsiblefortheinabilitytoobtainpossession.

3、RENTAL.

A. TenantagreestopayLandlordannualrental assetforth inExhibit“A”annexedheretoandmadeaparthereof,(“FixedRent”)payableinequalmonthlyinstallmentsinadvanceonthefirst(1st)dayofeachmonthforthetermofthisLease,hereinabovesetforth.

B. RentalpaymentsshallcommenceonMarch1,2020,withthefirst(1st)month'srentalongwitha$50.00creditverificationfeedueandpayableuponexecutionofthisLease. However,TenantshallbegivenpossessionoftheDemisedPremiseswithin48businesshoursoffullexecutionofthisLeasebyallpartiesinwhicheventTenantshallimmediatelytransferthegasandelectricservicetotheirnamepriortotakingsuchpossessionandprovidedallobligationsunderthisLeasehavebeenfulfilledandinaccordancethereto. AllFixedRentandAdditionalRentshallbepaidbyTenanttoLandlordattheaddresssetforthabove(orsuchotherpartyandaddressasLandlordmaydesignatebynoticetoTenant)withoutnoticeordemandandwithoutabatement, counterclaim, offsetordeductionofanyamountwhatsoever. FixedRentandAdditionalRentforapartofamonthshallbeproratedonadailybasis. AllFixedRentandAdditionalRentshallbepayablewithoutnoticethereofinsuchcoinorcurrencyoftheUnitedStatesofAmericaasatthetimeofpaymentshallbelegaltenderforthepaymentofpublicandprivatedebts.InadditiontothefixedannualrentandadditionalrentasprovidedforinthisLease,alltaxes(excise,salesoruse)otherthanincometaxes,whichmaybeleviedorassessedupontheFixedrentoradditionalrentprovidedforunderthisLeaseanduponanyotherpaymentsbyTenanttooronbehalfofLandlordinaccordancewiththisLease,shallbepaidbyTenanttoLandlordandifsopaid,Landlordshalltransmitsuchtaxpaymentstotheproperauthorities.

CommonAreasshallmeanallareas,spacesandimprovementsintheBuildingandontheLandwhichLandlordmakesavailable fromtimetotime forthecommonuseandbenefitofthetenants,tenant’semployees,licensees,invitees,contractors,subcontractorsandoccupantsoftheBuildingandwhicharenotexclusivelyavailableforusebyasingletenantoroccupant, including,withoutlimitation, parkingareas,roads,walkways,sidewalks,landscapedandplantedareas,communityrooms,ifany,themanagingagent’soffice,ifany,andpublicrestrooms,ifany.

C. Tenantanditssubtenantsandconcessionaires,andtheirrespectiveofficers,employees,agents,customersandinvitees,shallhavethenon-exclusiveright,incommonwithLandlordandallotherstowhomLandlordhasgrantedormayhereaftergrantsuchright,butsubjecttotheRulesandRegulations,tousetheCommonAreas. NotwithstandinganythinginthisLeasetothecontrary,Landlordreservestheright,atanytimeandfromtimetotime,toclosetemporarilyalloranyportionsoftheCommonAreaswheninLandlord’sjudgmentanysuchclosingisnecessaryordesirable(a)tomakerepairsorchangesortoeffectconstruction,(b)topreventtheacquisitionofpublicrightsinsuchareas,(c)todiscourageunauthorizedparking,or(d)toprotectorpreservenaturalpersonsorproperty. LandlordmaydosuchotheractsinandtotheCommonAreasasinitsjudgmentmaybedesirabletoimproveormaintainsame.
D. Tenantagreesthatit,any subtenant,inviteeorlicenseeandtheirrespectiveofficers,employees,contractorsandagentswillparktheirautomobilesandothervehiclesonlywhereandaspermittedbyLandlord. Tenantwill,ifandwhensorequestedbyLandlord,furnishLandlordwiththelicensenumbersofanyvehiclesofTenant,anysubtenantorlicensee,inviteeandtheirrespectiveofficers,employeesandagents.

Landlordreservestheright,atanytimeandfromtimetotime,toincrease,reduceorchangethenumber,type,size,location,elevation,natureanduseofanyoftheCommonAreasandtheBuildingandanyotherbuildingsandotherimprovementsintheDemisedPremises,including,withoutlimitation,therighttomoveand/orremovesame,providedsameshallnotunreasonablyblockorinterferewithTenant’smeansofingressoregresstoandfromtheDemisedPremisesforanextendedperiodoftime.
F. Tenantagreesthatit,anysubtenantorlicenseewillutilizetheCommonAreas,includingloadingdocks,ifany,inacooperativemannerwithothertenants,subtenantsorlicensees.TheuseoftheCommonAreasshallbedefinedandgovernedbytheLandlord’sRulesandRegulations. Anydisputesamongtenantsregardingsuchusesha
