PHARMACYSERVICESAGREEMENT

ThisPHARMACYSERVICESAGREEMENTbyandbetweenRxAMERICAL.L.C.（"RxAMERICA"）andDSPHARMACY,INC.（"DS"）iseffectiveasofFebruary8,1999（"EffectiveDate"）.

RECITALS

WHEREASRxAMERICAdispensesprescriptiondrugsthroughthemail;andWHEREASDSisalicensedpharmacythatdesirestoprovidecertainprescriptiondrugservicesviatheInternet;andWHEREASDSdesiresRxAMERICAtodispenseprescriptiondrugsthroughthemailforcertaincustomersofDS.THEREFORE,RxAMERICAandDSagreeasfollows:

ARTICLE1DEFINITIONS（定义）

1.1"ThisAgreement"meansandincludesthisPharmacyServicesAgreement,ImplementationDocuments,andallexhibits,addenda,andattachments.

1.2"AverageWholesalePrice"or"AWP"meansthecurrentaveragewholesalepricefortheactualpackagesizeusedofaprescriptiondrugaspublishedbyMedispan,Inc.oranothernationallyrecognizedpricesourceselectedbyRxAMERICAandreasonablyacceptabletoDS.

1.3"BrandNameDrug"meansanFDAapproveddrug,whichismanufacturedanddistributedbyaninnovatordrugcompany,oritslicensee,whichhasundergonetestingforsafetyandefficacyfortheFDAunderanInvestigationalNewDrugApplicationsponsoredbytheinnovatordrugcompany,andwhichhasaproprietarynameassignedtoitbythemanufacturerordistributor,oranFDAapproveddrugwhichisdefinedby

Medispan,Inc.,oranothernationallyrecognizedsourceselectedby

RxAMERICA,asabrandnamedrug.

1.4"Co-payment"meansadollaramountorpercentageofcostthatanEligible

Person,whoiscoveredforprescriptiondrugbenefitsbyThirdParty

Insurance,isresponsibleforpayingforprescriptiondrugsandincludes,

withoutlimitation,coinsurance,co-pay,anddeductible.

1.5"CoveredDrugs"means:

（i）pharmaceuticalproductssoldbyDStoEligible

Personsthatarenotcoveredbyathirdpartyprescriptiondruginsurance

program,or（ii）aselectedlistofpharmaceuticalproductsadoptedbya

ThirdPartyPrescriptionDrugInsuranceprogramthatmaybedispensedby

RxAMERICAtoDSforEligiblePersons.

1.6"DeliveryPoint"meansthestagingareaintheRxAMERICAFacilitywhere

packagedandsealedPrescriptions,labeledandreadyforshipment,are

deliveredbyRxAMERICAtoDS.

1.7"EligiblePerson"meansapersonwhohasanarrangementwithDStoobtain

prescriptiondrugsfromDSthroughitsWebSiteorbyothermeans.

1.8"GenericDrug"meansanFDAapproveddrug,whichismanufacturedand

distributedundertheapprovaloftheFDAthroughanAbbreviatedNewDrug

Application,whichisidentifiedbyitschemicalornon-proprietaryname

（asdeterminedbytheUnitedStatesAdoptedNamesCouncil）,andwhichis

listedintheFDA'sApprovedDrugProductswithTherapeuticEquivalence

Evaluationspublication（the"OrangeBook"）astherapeuticallyequivalent

andinterchangeablewithdrugshavinganidenticalamountofthesame

activeingredients,oradrugwhichisdefinedbyMedispan,Inc.,or

anothernationallyrecognizedsourceselectedbyRxAMERICA,asaGeneric

Drug.

1.9"ImplementationDocument"meansthedocumentthatDScompletesandprovides

toRxAMERICAwhenDSdesiresRxAMERICAtoperformPharmacyServicesfor

EligiblePersonscoveredbyThirdPartyInsurance.TheImplementation

DocumentshallverifythatDSisauthorizedtofillprescriptionsfor

EligiblePersonsundertheapplicableThirdPartyInsuranceplanandshall

setforthallinformationthatRxAMERICAdeemsnecessarytoprovide

PharmacyServicespursuanttothearrangementbetweenDSandsuchThird

PartyInsuranceplans.TheImplementationDocumentistobeutilizedand

relieduponbyRxAMERICAinprovidingPharmacyServicesunderthis

Agreement.

1.10"MaximumAllowableCostList"or"HCFAMACList"meansthelistofcertain

drugsgeneratedbytheHealthCareFinancingAdministrationthatstatesthe

amountthatHCFAcompensatespharmaciesfortheingredientcostfor

multisourceGenericDrugs.

1.11"PharmacyServices"meansperformingthephysicalactivitiesinvolvedin

fillingaPrescription,performingqualitycontrolfunctionsforthe

fillingprocess,anddeliveringtheprescriptiondrugtoDSattheDelivery

PointafterDSpersonnelreceivethePrescription,enterthePrescription

intotheRxAmericaprescriptionprocessingcomputersystem,checkthe

Prescriptionforcompliancewithallapplicablelawsandregulations,check

thePrescriptionfortherapeuticproblemsandotherproblems,andtakeall

actionsnecessarytoresolvetherapeuticproblemsandotherproblems.

1.12"PrescribingProvider"meansadoctorofmedicineorotherhealthcare

professionalwhoislegallyauthorizedtoprescribedrugs.

1.13"Prescription"meansalawfulorderforaprescriptiondrugauthorizedbya

PrescribingProviderforanEligiblePersonwhethercommunicatedor

conveyedtoRxAMERICAorDSbythePrescribingProvider,thePrescribing

Provider'sagent,thepersonforwhomtheprescriptionisintended,orthat

person'sagent.Prescriptionincludesanoriginalorrefillorderfora

prescriptiondrug.

1.14"RxAMERICAFacility"meanstheRxAMERICAlicensedpharmacyanddistribution

facilitylocatedat5450NorthRiversideDr.,Ft.Worth,TX76137.

1.15"ShippingServices"meansthereceiptofafilled,packagedPrescription

fromtheDeliveryPointandthedeliveryofthePrescriptiontothe

appropriateEligiblePerson.ShippingServicesmaybeprovidedby

RxAMERICA.

1.16"ThirdPartyPrescriptionDrugInsurance"or"ThirdParryInsurance"means

aninsuranceorotherprogrambywhichaninsurancecompanyorotherentity

compensatesapharmacydirectlyforprescriptionsdispensedtoEligible

Persons.

1.17"WebSite"or"DS'sWebSite"meanstheInternetsitedevelopedand

maintainedbyDSthroughwhichindividualscanorderprescriptiondrugsfor

personaluse.

ARTICLE2RELATIONSHIPOFRXAMERICAANDDS（关系）

2.1TherelationshipbetweenRxAMERICAandDSisthatofindependententitiescontractingforthesolepurposeofcarryingouttheprovisionsofthisAgreement.Nothinghereinorotherwiseshallbeconstruedtocreateanyotherrelationship,includingwithoutlimitation,thatofemployee,agentorrepresentative.ThePartiesfurtheragreethatRxAMERICAshallnotbeaplanfiduciaryandshallnotexercisediscretion,authority,orcontrolregardingadministrationofanyemployeebenefitsplanbyvirtueofitsactivitiesinperformingthisAgreement.

2.2ThisAgreementisbetweenRxAMERICAandDSandisnotintendedtocreateanyrightsorremediesinfavorofanyotherpersonorentity,includingwithoutlimitation,anyEligiblePersonoranyThirdPartyInsuranceplan.

ARTICLE3RESPONSIBILITIESOFDS

3.1DSshallcompensateRxAMERICAaccordingtothetermsinArticle5andinAttachmentA,andassetforthelsewhereinthisAgreement.

3.2DSisresponsibleforfederal,stateandlocalsalestaxliabilityfor

CoveredDrugsdispensedtoorgoodsandservicessuppliedtoanEligible

PersonortoDS.Salestaxisdefinedasanexcisetaxbasedonconsumer

retailsaleswhetherdesignatedasasalestax,grossreceiptstax,retail

occupationtax,valueaddedtaxortaxotherwisetitledorstyled.It

includesanytaxinexistenceorhereaftercreated,whetherornotthe

bearerofthetaxistheretailerorconsumer,butdoesnotincludeanytax

basedontherevenuesorincomeofRxAMERICA.

3.3DSshalllocateattheRxAMERICAFacilityadequatelytrainedandlicensed

personneltoperformcertainfunctionsintheprescriptionapprovaland

authenticationprocessforPrescriptionsforEligiblePersons.DS's

personnelshall:

（i）receivePrescriptionsfromEligiblePersonsorfrom

theirPrescribingProviders;（ii）entersuchPrescriptionsintothe

RxAMERICAprescriptionprocessingcomputersystem;（iii）checkandensure

thatallsuchPrescriptionscomplywithallapplicablelawsand

regulations;（iv）checksuchPrescriptionsfortherapeuticproblemsand

otherproblems;（v）takeallactionsnecessarytoresolveanytherapeutic

problemsandotherproblems;and（vi）handleallotherfunctionsthatoccur

priortothetimeRxAMERICApersonnelperformthefunctionsnecessaryto

physicallyfillthePrescriptions.AllsuchDSpersonnel,unlessotherwise

agreedtobytheparties,willperformthesefunctionsattheRxAMERICA

Facility.

3.4DSshallberesponsiblefortheactionsandfailurestoactofthe

personnelitprovidesunderArticle3.3.DSagreesthatsuchpersonnel

shallbeemployeesorcontractorsofDSandshallnotbeemployeesor

contractorsofRxAMERICA.DRUGSTOREshallberesponsiblefor:

（i）

compensatingsuchpersonnel,includingbutnotlimitedtodirect

compensationandallemployeebenefits;（ii）payrollandothertaxes

associatedwithsuchpersonnel;（iii）allinsuranceassociatedwithsuch

personnel,includingbutnotlimitedtoworkerscompensationandliability

insurance;（iv）complyingwithallstateandfederallawsandregulations

regardingsuchpersonnel,（v）trainingemployeesregardingsexual

harassmentandimple
