Andontheother,TOTALSPINBRASILSERVIÇOSDETELECOMUNICAÇÕESLTDA,registeredattheCNPJ/MFundertheno.008.462.355/0001-04,withitsofficeatRuaBoaVista,186–8thfloor,Centro,SãoPaulo-SP,hereinafterreferredtoasthe“COMPANY”.Theirlegalrepresentatives,undersigned,haveagreedtoenterintothisAgreement,inaccordancewiththefollowingclausesandconditions:

WHEREAS:

VIVOistheprovideroftheMobilePersonalService（MPS）,withitsactivitycoveringtheStatesofRJ,ES,BA,SE,RS,SP,PR,SC,DF,AC,GO,MT,MS,TO,RO,PA,AM,AP,RRandMA;

（ii）

ThePartieswishtooffertheirClients,withintheareaofactivity,Solutionsofintegrationtotheirorthirdparties’instrumentsofaccesstocomputationalsystems,throughmobiledevicesonavailablewirelesstechnologies,besidesanyothervoiceordatacommunicationservicesallowedtomobilephones;

TheCOMPANYownsproductsandserviceswithdifferenttechnicalfeaturesandfunctionalities,classifiedasServicesofAggregatedValueorContent,accordingtothedefinitiongivenbelowinClause1which,givenitsparticularities,needtohavespecificrulesandconditionsforitsimplementation.Forthisreason,thehiringofeachServiceofAggregatedValuewillbedonethroughanindividualinstrument,tobenamedSpecificAgreement,accordingtothedefinitionforeseeninClause1below.TheSpecificAgreementmayalsoincludeanadditionalinstrumentthatwillincludethetermsandconditionsfortheprovisionoftheServicesofAggregatedValue,whichwillbespecificandcomplementarytothosefoundintheSpecificAgreement.

Inwitnessthereof,thePartiessignthisUmbrellaAgreementforProvisionofServicesofAggregatedValue,inaccordancewiththefollowingclausesandconditions:

1.

DEFINITIONS

1.1.

ThedefinitionstobeusedinthisUmbrellaAgreementmaybefoundbelow.ThespecificdefinitionsforeachsystemorservicewillbeindicatedineachSpecificAgreement.

1.1.1

ServicesofAggregatedValueorContent–includestheproducts,servicesand/orcontentsthataddnewutilitiestoatelecommunicationsservicethatgivesitsupportandwithwhichisnotbewildered,relatedtoaccess,storage,presentation,motionorrecoveryofinformation,beingthesecreatedbytheCOMPANYtobemarketed,providedand/ordistributedbyanyVIVOoperatortotheusersoftheServicesofAggregatedValueusingtransmissionofdataorvoice;

1.1.2

SpecificAgreement–comprehendsthedocumentthatwillregulatethedutiesandrightsdemandedtoandexercisedbytheParties,toeachnewservicetobeaddedtothisUmbrellaAgreement,including,amongstothers:

（1） definitionandtechnicalfeaturesoftheServicesofAggregatedValueorContenttobesupplied,itsfunctionalitiesandachronogramofimplementation;

（2） commercialmodelofpayment;（3） responsibilitiesofthePartiesandSLA,guaranteeingthatthenumberofServicesofAggregatedValueprovidedmatchesthenumberofSpecificAgreementsthathavebeensigned.EachandeverynewSpecificAgreementtobeaddedtotheUmbrellaAgreementwillintegrateit,beinginseparablefromthisinstrumentafterbeingsignedbythelegalrepresentativesoftheParties;

1.1.3.

Clients–Legalornaturalpersoninterestedinacquiringand/ormakinguseoftheServicesofAggregatedValueofVIVOand/ortheCOMPANY,governedbythepresentAgreement,itsSpecificAgreementsandotherapplicabledocuments;

1.1.3.1.

Itisnotincluded,underthedefinitionofClients,theworkersofVIVO,remindingthattheywillhaveunlimitedaccesstotheServicesofAggregatedValue,withoutmakinganypaymenttotheCOMPANY;

1.1.4.

SoleWindow–billingdocuments’deliveryplace,foritstaxanalysisandtransferringprocedure.

2.

OBJECT

2.1.

ThepresentUmbrellaAgreementdefinesthebasicandcommonrulesforthedevelopmentoftheprovisionoftheServicesofAggregatedValue,bytheCOMPANYtoVIVO,undertheconditionsandthroughtheinstrumentsspecifiedinthisUmbrellaAgreementandoneachSpecificAgreement.

2.2.

ThroughthisUmbrellaAgreementanditsSpecificAgreements,theCOMPANYgrantsandauthorizestoVIVOtheusagerightsandcommercialexplorationoftheagreedServicesofAggregatedValue.

3.

TERM

3.1TheAgreementwillbevalidfromMarch 20th2007untilMarch 19th2008,beingextendedbythesigningoftheamendmentsbytheParties.

3.2TheSpecificAgreementstobesignedbythePartieswilldefinetheirownterms.Nevertheless,thesetermsmayneverexceedthetermofthisUmbrellaAgreement.

4.

OBLIGATIONSANDRESPONSABILITIESOFTHECOMPANY

4.1.

WithoutprejudiceofthespecificobligationsthatmaybefoundintheSpecificAgreements,theobligationsoftheCOMPANYarethefollowing:

4.1.1.

TocomplywiththetermsdescribedinthepresentUmbrellaAgreementandprovideVIVOwiththeServicesofAggregatedValueintheconditionsagreedintheSpecificAgreements,makinguseofateamofworkfullycapabletoperformitsactivities,aswellastoguaranteeitsquality;

4.1.2.

ToberesponsiblefortheservicesprovidedfortheperformanceofthisUmbrellaAgreementandSpecificAgreements,undertakingtorepair,atitsownexpensesandwithintheagreeddeadlines,allthedefects,errors,defaults,omissionsaswellasanyotherirregularitiesobservedduringitsperformance,withinthelimitsherebyestablished,aswellastocompensateVIVOforallthedamagesandlossesarisingfromit;

4.1.3.

Todevelopandupdate,atitsownexpenses,theServicesofAggregatedValuetobeprovidedtotheClient,keepingthecontentsconstantlyandregularlyupdated;

4.1.4.

Tobefullyliable,withinthelimitsofitsobligations,forpenaltiesappliedbytheMinistryofWorkandSocialSecurityand/orotherfederal,stateormunicipalpublicagencies,forthepurposesofthisAgreementand/oritsperformance;

4.1.5.

Tokeepfor6（six）months,acompletefileconcerningtheservicesprovidedbythisAgreementandalltheServicesofAggregatedValuemadeavailabletotheClients,including,butnotlimitedto,thedateand/orcontentprovidedtotheClientsand/oraccessedbythem,withduecare,securityandconfidentiality,aswelltoprovidereportswhenrequested;

4.1.6.

Toreturn,uponterminationofthisAgreement,allthedocumentsreceivedfromVIVOand/ortheonescontaininginformationobtainedduringtheperformanceofthisinstrument;

4.1.7.

Toapply,duringtheperformanceofthisAgreement,whateverisdeterminedbyFederal,StateandMunicipallaws,concerningtraffic,insurance,labourdutiesandsocialsecurity,accidentsatwork,safetyandoccupationalhealthandalltheremainingapplicablelegislation（providingalsotheequipmentsforindiv
