PurchaseandContributionAgreement购赠协议-

Section5.01.CovenantsofBBB.AtalltimesduringthetermofthisAgreement,unlesstheBuyershallotherwiseconsentinwriting:

（a）NoticeofDefault,EventofDefault,ServicerDefaultorContractTermination.PromptlyuponbecomingawareofanyDefault,EventofDefaultorServicerDefaultandpromptlyuponreceipt（ordelivery）byBBBofawrittennoticeofintenttoterminateanyContractoranoticeofbreachordefaultunderaContract,BBBshallgivetheBuyernoticethereof（and,ifapplicable,acopythereof）,togetherwithawrittenstatementofaResponsibleOfficersettingforththematerialdetailsthereofandanyactionwithrespecttheretotakenorcontemplatedtobetakenbyBBB.

（b）NoticeofMaterialAdverseChange.Promptlyuponbecomingawarethereof,BBBshallgivetheBuyernoticeofanymaterialadversechangeinthebusiness,operations,orfinancialconditionofBBBwhichreasonablycouldaffectadverselyBBB’sabilitytofulfillitsobligationsunderthisAgreementoranyotherFacilityDocumenttowhichitisaparty.

（c）PreservationofCorporateExistence.BBBshallpreserveandmaintainitscorporateexistence,rights,franchisesandprivilegesinthejurisdictionofitsincorporation,andqualifyandremainqualifiedingoodstandingasaforeigncorporationineachjurisdictionwherethefailuretopreserveandmaintainsuchexistence,rights,franchises,privilegesandqualificationwouldmateriallyadverselyaffect（i）theinterestsoftheBuyerhereunderor（ii）theabilityofBBBtoperformitsobligationsunderthisAgreement.

（d）CompliancewithLaws.BBBwillcomplyinallmaterialrespectswithallapplicableLawsexceptwherethefailuretocomplycouldnotreasonablybeexpectedtohaveamaterialadverseeffectontheBuyer’srightsandinterestinandwithrespecttotheReceivablesortheabilityofBBBtoperformitsobligationsunderthisAgreementortheotherFacilityDocumentstowhichitisaparty.

（e）EnforceabilityofObligations.BBBshalltakesuchactionsasarecommerciallyreasonableandwithinitspowertocollecttheunpaidbalanceofeachReceivableandtoensurethattheobligationoftherelatedObligortopaytheunpaidbalanceofsuchReceivableinaccordancewiththetermsthereofremainsalegal,valid,bindingandenforceableobligationofsuchObligor.

（f）SystemsFailure.BBBshallpromptlynotifytheBuyerofanytotalsystemsfailureformorethanoneBusinessDaywithrespecttoitselfandshalladvisetheBuyeroftheestimatedtimerequiredtoremedysuchtotalsystemsfailure.Untilsuchatotalsystemsfailureisremedied,BBB（i）willfurnishtotheBuyersuchperiodicstatusreportsandotherinformationrelatingtosuchtotalsystemsfailureastheBuyermayreasonablyrequestand（ii）willpromptlynotifytheBuyerifBBBbelievesthatsuchtotalsystemsfailurecannotberemediedbytheestimateddate,whichnoticeshallincludeadescriptionofthecircumstanceswhichgaverisetosuchdelayandtheactionproposedtobetakeninresponsethereto.BBBshallpromptlynotifytheBuyerwhensuchatotalsystemsfailurehasbeenremedied.

（g）BooksandRecords.BBBwillkeepproperbooksofrecordandaccountinwhichfull,trueandcorrectentriesshallbemadeofalldealingsandtransactionsinrelationtoitsbusinessandactivities.

（h）FulfillmentofObligations.BBBwilldulyobserveandperformallmaterialobligationsandundertakingsonitsparttobeobservedandperformedunderorinconnectionwiththeReceivables,willdulyobserveandperformallmaterialprovisions,covenantsandotheragreementsrequiredtobeobservedbyitundertheContractstotheextentrelatingtoanyReceivable,willdonothingtoimpairtherights,titleandinterestoftheBuyerinandtotheTransferredAssetsexceptasexpresslypermittedhereunderandwillpaywhendueanytaxes,includingwithoutlimitationanysalestax,excisetaxorothersimilartaxorcharge,payableinconnectionwithsuchReceivablesandtheircreationandsatisfactionorwillproperlycontestthepaymentofanysuchtaxingoodfaithandbeforeacourtoradministrativebodyofappropriatejurisdiction.

（i）NoticeofRelocation.BBBshallgivetheBuyer15days’priorwrittennoticeofanyrelocationofitschiefexecutiveofficeorjurisdictionofincorporation.BBBwillatalltimesmaintainatitschiefexecutiveofficeanofficewherenotices,demandsandpresentationsinrespectofthisAgreementmaybegiventoormadeuponit.

（j）CompliancewithOpinionAssumptionsandLimitedLiabilityCompanyAgreement.BBBshallmaintaininplaceallpoliciesandprocedures,andtakeandcontinuetotakeallactions,describedintheassumptionsastofactssetforthin,andformingthebasisof,thebankruptcyopiniondeliveredtotheBuyerpursuanttoSection4.01（h）hereof,andcausetheBuyertocomplywith,theprovisionsoftheBuyer’slimitedliabilitycompanyagreement,asthesamemay,fromtimetotime,beamended,supplementedorotherwisemodifiedwiththepriorwrittenconsentoftheLender（whichconsentshallnotbeunreasonablywithheldordelayed）.

（k）AdministrativeandOperatingProcedures.BBBshallmaintainandimplementcommerciallyreasonableadministrativeandoperatingproceduresnecessaryforthecollectionofallReceivables（including,withoutlimitation,RecordsadequatetopermittheidentificationofallRelatedSecurityandCollectionsofandadjustmentstoeachReceivable）.

（l）Litigation.Assoonaspossible,andinanyeventwithintenBusinessDaysofBBB’sknowledgethereof,BBBshallgivetheBuyernoticeof（i）anylitigation,investigationorproceedingagainstBBBoranyofitsAffiliateswhichmayexistatanytimewhich,inthereasonablejudgmentofBBB,couldreasonablybeexpectedtoimpairtheabilityofBBBtoperformitsobligationsunderthisAgreementormateriallyadverselyaffectthecollectibilityoftheReceivablesasawholeand（ii）anymaterialadversedevelopmentinanysuchpreviouslydisclosedlitigation.

（m）Fees,TaxesandExpenses.BBBshallpayallfilingfees,stamptaxesandothersimilardocumentaryorexcisetaxesandexpenses,includingthefeesandexpensessetforththisAgreement,ifany,whichmaybeincurredonaccountoforariseoutofthisAgreementandthedocumentsandtransactionsenteredintopursuanttothisAgreement.

（n）ERISAEvents.

（i）PromptlyuponbecomingawareoftheoccurrenceofanyERISAEventwhichtogetherwithallotherERISAEventsoccurringwithintheprior12monthsinvolve,underERISA,apaymentofmoneybyorapotentialaggregateliabilityofBBBoranyERISAAffiliateoranycombinationofsuchentitiesinexcessof$5,000,000,BBBshallgivetheBuyerawrittennoticespecifyingthenaturethereof,whatactionBBBoranyERISAAffiliatehastakenand,whenknown,anyactiontakenorthreatenedbytheInternalRevenueService,theDepartmentofLabororthePBGCwithrespectthereto.

（ii）Promptlyuponreceiptthereof,BBBshallfurnishtotheBuyercopiesof（i）allnoticesreceivedbyBBBoranyERISAAffiliateofthePBGC’sintenttoterminateanyPlanortohaveatrusteeappointedtoadministeranyPlan;（ii）allnoticesreceivedbyBBBoranyERISAAffiliatefromthesponsorofaMultiemployerPlanpursuanttoSection4202ofERISAinvolvingawithdrawalliabilitybeingassessedagainstBBBoranyERISAAffiliateinexcessof$,_________;and（iii）allfundingwaiverrequestsfiledbyBBBoranyERISAAffiliatewiththeInternalRevenueServicewithrespecttoanyPlan,theaccruedbenefitsofwhichexceedthepresentvalueoftheplanassetsasofthedatethewaiverrequestisfiledbymorethan$,_________,andallcommunicationsreceivedbyBBBoranyERISAAffiliatefromtheInternalRevenueServicewithrespecttoanysuchfundingwaiverrequest.

（o）Information.BBBshallfurnishthefollowingtotheBuyer:

（i）promptlyaftersendingorfilingthereof,copiesofallreportswhichBBBsendstoanyofitspublicsecurityholders,andcopiesofallreportsonForm10-K,Form10-QandForm8-K（unlesstheForm8-KisfiledsolelytofileexhibitsunderItem7thereof）whichBBBfileswiththeSECoranynationalsecuritiesexchangeintheUnitedStatesofAmerica;

（ii）assoonasavailableandinanyeventwithin45daysaftertheendofeachofthefirstthreequartersofeachFiscalYearofBBB,aconsolidatedbalancesheetofBBBanditsSubsidiariesasoftheendofsuchquarterandrelatedstatementsofincomeandretainedearningsandofcashflowsofBBBanditsSubsidiariesfortheperiodcommencingattheendofthepreviousFiscalYearandendingwiththeendofsuchquarter,ineachcase,preparedinaccordancewithGAAP,certifiedbythechieffinancialofficerorthechiefaccountingofficeroftheBBB;

（iii）assoonasavailableandinanyeventwithin90daysaftertheendofeachFiscalYearofBBB,aconsolidatedbalancesheetofBBBanditsSubsidiariesasoftheendofsuchFiscalYearandrelatedstatementsofincomeandretainedearningsandcashflowsofBBBanditsSubsidiariesforsuchFiscalYear,auditedbyPricewaterhouseCoopers,LLC,independentaccountants,oranothernationallyrecognizedfirmofindependentaccountants,ineachcase,preparedinaccordancewithGAAP,certifiedbythechieffinancialofficerorthechiefaccountingofficerofBBB;

（iv）suchotherinformation,documents,recordsorreportsrespectingtheReceivablesandtheRelatedSecurityortheconditionoroperations,financialorotherwise,ofBBBastheBuyermayfromtimetotimereasonablyrequest.

（p）ReceivablesSchedules;ObligorList.BBBshallatalltimesmaintainacurren
