INTRODUCTION:

  TheSellerhasagreedtosellandBuyerhasagreedtobuycopperconcentratesatthefollowingtermsandconditions;ITISAGREEDbythepartiesasfollows:

ARTICLE1  DURATION 合同有效期

1．ThisAgreementshallcommencefromsigningdateofthiscontract（the"CommencementDate"）andremainineffectuntil31st,Dec,2020  BuyerandSellershalldiscussingoodfaithtodeterminetheextensionofthisAgreementformutuallyagreeddurationnolaterthan30th,Jun,2020.

本合同有效期至2020/12/31.双方在2020年6月30号之前协商延期事宜。

ARTICLE2  MATERIAL 合同货物

2.1SulfidecopperconcentratesproducedbyOyuTolgoiLLC（hereinafterreferredtoas“Producer"）attheOyuTolgoicopperandgoldmineintheSouthGobiareaofMongolia,withestimatedassayshowninAppendixI.（hereinafterreferredtoas"Material"）.

货物为蒙古国南戈壁省的奥尤套鲁盖铜矿和金矿（以下称厂家）生产的奥尤套鲁盖硫化铜精矿（以下称货物），化学成分见附表1。

2.2AnyMaterialdeliveredbySeller（l）shallconformwithChineseregulationsforcopperconcentratesimportsand（ii）shallnotexceedlimitsimposedbyChinesegovernmentforradioactivitylevel,both（l）and（ii）asagreedbythepartiesattheCommencementDate.BuyershallensureSelleriskeptfullyinformedofanymaterialchangesintherelevantregulationsduringtheTerm.IntheeventachangeintheaboveregulatoryframeworkexcludestheimportoftheMaterialintoChinaascontemplatedbythisAgreement,thenSellershallbefreetodetermineandnotifysuchregulatorychangeasamaterialadversechangeinaccordancewithArticle16.

卖方交付的货物：

（l）应当符合中国法规要求的进口铜精矿。

（ii）不得超出中国政府对放射性等级的规定。

以上两点双方需在有效期达成统。

买方应确保卖方在相关规定发生变化时拥有充分知情权。

如果在以上规定范围内不包括进口到中国的货物的补充协议，那么依据第16条卖方有权决定并通知这样重大的不利改变

2.3IfthespecificationsoftheMaterialarenotasagreedinClause2.1andsuchspecificationsmaynegativelyimpactthesmeltingandrefiningprocessofsmelterofBuyer'sReceivingSmelter,thenBuyerandSellershalldiscussingoodfaiththenegativeimpactandpotentialremedies.Buyerreservetherighttoclaimany/alllosesduetosuchnegativelyimpact.

如果货物的规格与条款2.1所指的不致，而且该规格可能会对买方所接受的冶炼厂的冶炼与精炼过程造成负面影响，则买卖双方需本着友好协商的原则对其负面影响与潜在的补救措施进行讨论。

买方有权对任何以及所有该负面影响造成的损失进行索赔。

ARTICLE3QUANTITY 供货数量

3.1xxxTons/year±10%/吨/年±10%

3.2Thequantityshallbeaddedifbothpartiesagreed.数量可由双方协商增加

ARTICLE4SHIPMENT装运

4.1Shipmentsshallbemadeinparcelsof     DMTuptoDMTwith+I-10%.BuyerandSellershalldiscussingoodfaithtofixtheparcelsize，unlessotherwiseagreed.

每批供货溢短装为+I-10%，除非另有约定，否则买卖双方应本着友好协商的原则协商装运量多少。

ARTICLE5DELIVERY货物交付

5.1EachparcelofMaterialshallbedeliveredtoBuyer,DAPPlaceofUnloadingatGanqimaodou,orerlianChinawhichappointedbybuyer（Incoterms2010）inlinedbagsofapproximately2WMTineachbag.DeliveryofeachparcelofMaterialshallbecompleteuponthelastbagofMaterialformingtheparcelbeingloadedontothebuyer’stransportation.

每批货物交货地为付款交单地中国的甘其毛都或二连口岸（具体由买家指定）（2010年国际贸易术语通则）,并由内衬袋包装，每袋约2吨。

当每批货物的最后袋装入买家的运输工具后视为交付完成。

5.2UponthearrivalatthePlaceofUnloadingofeachtruckdeliveringbagsofMaterialcomprisedinaparcelofMaterial,Sellershallunloadthebagsfromthetruckatitsowncost.

当货物抵达卸货地点,卖方自行负责卸货并承担费用。

5.3Intheevent,BuyerhasopenedafullyworkableL/CacceptabletoSeller,andBuyer`stransportationmechanismfortheparcelofMaterialisreadyinallrespectsandabletoacceptloadingoftheparcelofMaterialatthePlaceofUnloadingwithinthedeliverytimeframenotifiedbySellerunderClause5.4,thenSellershallloadtheparcelofMaterialontoBuyer'stransportation,attheSeller'scost.

如果在条款5.4所规定的时间表内，买方已经开具卖方可接受的全额信用证，且买方的运输已经全方位就绪并可以接收货物，则卖方应该将货物装入买方的运输工具并支付该费用。

5.4OnceSellerhascompleteddeliveryofaparcelofMaterialtothePlaceofUnloading,TheBuyershouldarrangeopeningofL/Cpromptly.TransportationoftheparcelofMaterialshouldbeeffectedbythebuyerwithin21calendardaysfromthenegotiationdateofL/C.TheBuyershallendeavoritsbestefforttoeffectthetransportationasearlyaspossible.Withinsuchdesignatednumberofcalendardays（FreeTime）,thereisnowarehousingcostforBuyer.BuyerwillbearcostofwarehousingaftertheFreeTimeexpires.BuyerandSellershallreviewthelengthofFreeTimeafterthedeliveryofthethirdparcelofMaterialanddiscussingoodfaithwhetherornotsuchFreeTimeshouldbeextendedorshortened.

当卖方将货物完全交付到指定卸货地，买方应该立即地开具信用证。

买方必须在从议付日开始的21天内安排运输，买方应该尽其最大努力尽快安排运输工具。

在上述21天（免费期）内，卖方无需支付仓储费用。

如果超出免费期，买方需要支付仓储费用。

买卖双方应在第三批货物运输后审查免费期的天数，且本着友好协商的原则商讨此免费期是否应该延长或缩短

ARTICLE6PRICE 价格

BuyershallpaySellerforMaterialshippedpursuanttothisAgreementthesumofthepaymentsforcopper,gold,andsilverdeterminedunderClause6.1，6.2,6.3andaddinterest6.6,and6.4minusthetreatmentandrefiningchargesandreferredtoinClause6.5.

买方依据协议的项下条款6.1，6.2，6.3，6.4以及6.6中的规定的铜，金，银的费用总额减去条款6.5的粗炼费及精炼费用来支付给卖方。

6.1CopperPayment铜的支付

ForeachseparateshipmentunderthisAgreement,payforthecoppercontentinaccordancewiththescalebelowattheLMEGradeAsettlementquotationforcopperaveragedovertheQuotationalPeriod.

就协议下每次单独装运的货物，按照以下尺度以铜作价期内的伦敦金融交易所的平均A级铜结算报价的范围内进行支付。

Iflessthan30%,pay96.50%oftheagreedcoppercontentsubjecttoaminimumdeductionof1.00unitto3.00unit.

如果少于30%以下，支付96.5%余量且至少扣减1%-3%。

If30%ormorebutlessthan35%,pay96.70%,如果含量在30%-35%，则支付96.7%

If35%orabove,payfor96.75%如果含量35%以上，则支付96.75%。

IfthecontentofCuislessthan21%,thepriceshouldberenegotiatedorthebuyerhastherighttorejectthematerial.

如果铜含量低于21%，价格将重新商定或者买方有权拒收。

6.2  GoldPayment对含金矿的支付

ForeachseparateshipmentunderthisAgreement,payforthegoldcontentinaccordancewiththefollowingrecoveryscaleattheaverageoftheinitial/finaldailyLondonquotationsforgoldaveragedovertheQuotationalPeriod:

就协议下每次单独装运的货物，按照以下品位金作价期内每日伦敦金属导报公布的金结算价的平均结算报价进行支付

Iflessthan1,0gramperDMTconcentrate,thennopayment低于1克不支付

If1.0gramperDMTconcentrateorgreaterbutlessthan3.0gramsperDMTconcentrate,pay90%;

如果每干吨精矿含量在1.0g-3.0g，则支付90%

If3.0gramperDMTconcentrateorgreaterbutlessthan5.0gramsperDMT  concentrate,pay92.0%;

如果每干吨精矿含量在3.0g-5.0g，则支付92.0%

If5.0gramperDMTconcentrateorgreaterbutlessthan10.0gramsperDMTconcentrate,pay93.0%;

如果每DMT精矿少于5.0g-10.0g，则支付93.0%;

If10.0gramperDMTconcentrateorgreater,pay94.0%;      

如果每DMT精矿含量10.0g以上，则支付94.0%;

6.3SilverPayment

ForeachseparateshipmentunderthisAgreement,payforthesilvercontentinaccordancewiththefollowingrecoveryscaleattheLondonBullionBroker'sSpotquotationforsilverinUSDollarsaveragedoverQuotationalPeriod.

就协议下每批货物，按照以下品位金作价期内每日伦敦金属导报公布的银现货报价的美元平均结算报价进行支付。

6.4QuotationalPeriod（"QP"）报价期

6.4.1TheQuotationalPeriod（QP）forCopper,GoldandSilvershallbeeitherthefirstcalendarmonth（M+1）orthefourthcalendarmonth（M+4）followingthemonthofshipmentoftherelevantparcelofMaterialatthePlaceofUnloadingasevidencedbytheWarehouseReceipt.SuchoptionshallbedeclaredseparatelyforeachelementbySellerbeforethestartofeachquarter.

铜、金、银的作价期定于装船月后的第个日历月（M+1）或者第四个日历月（M+4），M以装运月份为准，随附卸货地的仓单。

此选择应在每季度开始前由卖方对各要点分开进行宣布。

6.4.2TheBuyerhasanoptiontopriceupto90%ofpayablemetalpriortotheQPmentionedabovebutaftertheworkableLetterofCredithasbeenestablished,SuchpricingshallbebasedontheQPdeclared.Iftheoptionhasnotyetbeendeclared,orthespecificQPmonthisnotyetknown,thenthisshallbebasedonanestimatedpricingmonthagreedbybothparties.OncetheactualQPmonthisknown,shouldthepricingmonthdifferfromtheQPmonth,andpricingadjustmentisrequired,thenanycostorbenefitshallbefortheaccountofBuyer.Anypricingoverandabovethequantityalreadypricedcanbeconsideredmutuallyoncetheshipmenthasbeeneffectedandthereisgreatercertaintyontheassays,providedthattheLetterofCreditvaluedulycoversthepriceofthequantityalreadyfixedandtheadditionalquantitystilltobepriced.ThefinalpriceshallbeasperClause6.4.1.

在有效信用证开具之后，上述作价期开始前，买方可以选择点价到最高90%。

此点价需以作价期宣布为基础。

如果具体的选择还没有宣布，或者作价期也还未知，此点价则可在双方协商认可的预定点价月生效。

旦真正的作价期确认，作价期与点价月不同，应进行点价调整，此时任何亏损或利润均由买方承担。

如果信用证的金额充分的支付了合同规定数量的金额，在货物已经装运且化验结果也比较确定的情况下，已经点价部分之外的部分的点价可由双方协商。

最终价格应该依据6.4.1结算。

AfterafullyworkableLetterofCredithasbeenreceivedbySellerforspecificshipmentlot,BuyershallhavetherighttochangethecopperQPtoanymonthfromM+1uptoM+4.Anybenefitorcost,ascalculatedcopperQPtobytheforwardspreadsatthetimeofsuchchange,shallbefortheaccountofBuyer.ShouldtheQPbechangedtoamonthlaterthanwhenfinalweightsandassaysareknown,Sellermayissuea2ndprovisionalinvoicecalculatedbasedonfinalweightsfinalassaysandtheoriginalQP.SellershallpresentSeller's2ndprovisionali
