TheVESSELshallhavetheBUILDERSHullNo.andshallbeconstructed,equippedandcompletedinaccordancewiththefollowingofthiscontract,andtheSpecificationandtheGeneralArrangementPlan（hereincollectivelycalledtheSpecification）assignedbyeachofthepartiesheretoforidentificationandattachedheretoandmakeanintegralparthereof.2.DimensionsandCharacteristicsLength,overallLength,betweenperpendicularsBreadth,mouldedDepth,mouldedDesignedloadeddraft,mouldedGrosstonnagePropellingMachineryDeadweight,guaranteedTrialspeed,guaranteedFuelconsumptionguaranteedThedetailsoftheaboveparticularsaswellasthedefinitionandmethodofmeasurementsandcalculationareasindicatedinthespecifications.3.Classification,rulesandRegulationsTheVESSEL,includingitsmachinery,equipmentandoutfittings,shallbeconstructedinaccordancewiththerules（theeditionandamendmentstheretobeingiforceasofthedateofthisContract）ofandunderspecialsurveyof（船级社名字）（hereincalledtheClassificationSociety），andshallbedistinguishedintheregisterbythesymbolof（船级符号）DecisionsoftheClassificationSocietyastocomplianceornon-compliancewiththeclassificationshallbefinalandbindinguponbothpartieshereto.TheVESSELshallalsocomplywiththerulesareregulationsandrequirementsofotherregulatorybodiesasdescribedintheSpecificationsineffectasofthedateofthisContract.AllfeesandchargesincidentaltoClassificationandwithrespecttocompliancewiththeabovereferredrules,regulationsandrequirementsshallbeforaccountoftheBUILDER.4.SubcontractingTheBUILDERmay,atitssolediscretionandresponsibility,subcontractanyportionoftheconstructionworkoftheVESSEL.5.RegistrationTheVESSELshallberegisteredbytheBUYERatitsowncostandexpenseunderthelawsof.withitshomeportof.atthetimeofitsdeliveryandacceptancehereunder.ARTICLEIIContractpriceandtermsofpayment1.CONTRACTPRICE:

ThepurchasepriceoftheVESSELis（价格金额）,netreceivablebytheBUILDER（hereincalledtheContractPrice）,whichisexclusiveofthecostfortheBuyersSuppliesasprovidedinArticleXVIIhereof,andshallbesubjecttoupwardordownwardadjustment,ifany,ashereinaftersetforthinthisContract.2.CURRENCY:

AnyandallpaymentsbytheBuyertotheBUILDERunderthisContractshallbemadeinnon-residentconvertiblefreeJapaneseYen.3.TERMSOFPAYMENT:

TheContractPriceshallbepaidbytheBuyertotheBUILDERininstallmentsasfollows:

（a）1stInstallment:

Thesumof.shallbepaiduponissuancebytheJapaneseGovernmentoftheExportLicensefortheVESSEL.（b）2ndInstallment:

Thesumof.shallbepaiduponkeel-layingoftheVESSEL.（c）3rdInstallment:

Thesumof.shallbepaiduponlaunchingoftheVESSEL.（d）4thInstallment:

Thesumof.plusanyincreaseorminusanydecreaseduetoadjustmentsoftheContractPricehereunder,shallbepaidupondelivery4.METHODOFPAYMENT（a）1stInstallment:

UponreceiptofacablenoticefromtheBUILDERofissuancebytheJapaneseGovernmentoftheExportLicensefortheVESSEL,heBUYERshallremittheamountofthisInstallmentbytelegraphic（b）2ndInstallment:

UponreceiptofacablenoticefromtheBUILDERofkeel-layingoftheVESSELhavingbeenmade,theBUYERshallremittheamountofthisinstallmentbytelegraphictransferto（船厂银行）fortheaccountoftheBUILDER.（c）3rdInstallment:

UponreceiptofacablenoticefromtheBUILDERoflaunchingoftheVESSELhavingbeenmade,theBUYERshallremittheamountofthisinstallmentbytelegraphictransferto（船厂银行）fortheaccountoftheBUILDER（d）4thInstallment:

TheBuyershall,atleastseven（7）dayspriortothescheduleddeliverydateoftheVESSEL,eithercauseaprimebankacceptabletotheBUILDERtoissueanirrevocableletterofcreditinfavouroftheBUILDERthrough,ormakecashdepositwith（船厂银行），coveringtheamountofthisInstallmentasadjusted,availableorreleasabletotheBUILDERagainstasingedcopyoftheProtocolofdeliveryandacceptanceoftheVESSELassetforthinParagraph3ofArticleVIIhereof.NopaymentunderthisContractshallbedelayedorwithheldbytheBUYERonaccountofanydisputeordisagreementofwhatevernaturearisingbetweenthepartieshereto.5.PREPAYMENT:

PrepaymentofanyinstallmentdueonorbeforedeliveryoftheVESSELshallbesubjecttomutualagreementbetweenthepartiesheretoandsubjecttoapprovaloftheJAPANESEGOVERNMENT.ARTICLEADJUSTMENTOFCONTRACTPRICETheContractPriceshallbesubjecttoadjustmentsashereinaftersetforth.Intheeventofthefollowingcontingencies（ItbeingunderstoodbybothpartiesthatanyreductionoftheContractPriceisbywayofliquidateddamagesandnotbywayofpenalty）.1.DELIVERY（a）Noadjustmentshallbemade,andtheContractPriceshallremainunchangedforthefirstthirty（30）daysofdelayindeliveryoftheVESSELbeyondtheDeliveryDateasdefinedinArticlehereof）asoftwelveoclockmidnightofthethirtieth（30thdayofdelay（b）IfthedeliveryoftheVESSELisdelayedmorethanthirty（30）daysaftertheDeliveryDate,then,insuchevent,beginningattwelveoclockmidnightofthethirtieth（30th）dayaftertheDeliveryDate,thecontractPriceshallbereducedbydeductingtherefromasfollows:

However,thetotalreductionintheContractPriceshallnotbemorethanaswouldbethecaseforadelayofhundredandeighty（180）days,countingfrommidnightofthethirtieth（30th）dayaftertheDeliveryDateattheabovespecifiedrateofreduction.（c）But,IfthedelayinthedeliveryoftheVESSELshouldcontinueforaperiodof180daysfromthe31stdayaftertheDeliveryDate,theninsuchevent,andaftersuchperiodhasexpired,theBUYERmayatitsoptionrescindthisContractinaccordancewiththeprovisionsofArticleXhereof.TheBUILDERmayatanytimeaftertheexpirationoftheaforementioned（180）daysofdelayindelivery,iftheBuyerhasnotservednoticeofrescissionasprovidedinArticleXhereof,demandinwritingthattheBuyershallmakeanelection,inwhichcasetheBuyershall,withinfifteen（15）daysaftersuchdemandisreceivedbytheBuyer,notifytheBUILDERofitsintentioneithertorescindthisContract,orconsenttotheacceptanceoftheVESSELatanagreedfuturedate,itbeingunderstoodbythepartiesheretothat,iftheVESSELisnotdeliveredbysuchfuturedate,theBuyershallhavethesamerightofrescissionuponthesameterms,ashereinaboveprovided.（d）InthebuyerrequestesinwritingthatthedeliveryoftheVESSELbemadeearlierthantheDeliveryDate,andifthedeliveryoftheVESSELismade,inresponsetosuchrequestoftheBUYER,morethan（30）daysearlierthantheDeliveryDate,then,insuchevent,beginningwiththethirty-fist（31st）daypriortotheDeliveryDate,theContractPriceoftheVESSELshallbeincreasedbyaddingthereto.foreachfullday（itbeingunderstoodthattheBUILDERSacceptanceofsuchBUYERSrequestforearlydeliveryshallbeinnowaybeconstruedaschangeoralterationofDeliveryDateunderthisContract）（e）forthepurposeofthisArticlethedeliveryoftheVESSELshallbedeemedtobedelayedwhenandiftheVESSEL,aftertakingintofullaccountallpostponementsoftheDeliveryDatebyreasonofpermissibledelaysasdefinedinArticleVIIIand/orotherreasonsunderthisContract,isnotdeliveredbythedateuponwhichdeliveryisrequiredunderthetermsofthisContract.2.ISPEED（a）TheContractPriceshallnotbeaffectedrchangedbyreasonoftheactualspeedasdeterminedbytheTrialRunbeinglessthanthree-tenths（3/10）ofoneknotinactualspeedbelowtheguaranteedspeedoftheVESSEL.（b）However,commencingwithandincludingsuchdeficiencyofthree-tenth（0.3）ofoneknotinactualspeedbelowtheguaranteedspeedoftheVESSEL,theContractPriceshallbereducedasfollows（butdisregardingfractionsofone-tenth（0.1）ofaknot）:

（c）IfthedeficiencyinactualspeedoftheVESSELupontheTrialRun,ismorethan1.00knotbelowtheguaranteedspeedoftheVESSEL,thentheBuyermayatitsoptionrejecttheVESSELandrescindthisContractinaccordancewithprovisionofArticleXofthisContract,ormayaccepttheVESSELatareductionintheContractPriceasaboveprovided,for1.00fullknotonly,thatisatatotalreductionof.3.FUELCONSUMPTION（a）TheContractPriceshallnotbeaffectedorchangedbyreasonofthefuelconsumptionoftheVESSEL,asdeterminedby.trialaspertheSpecifications,bemorethantheguaranteedfuelconsumptionoftheVESSEL.ifsuchexcessisnotmorethan.percent（%）.Overtheguaranteedfuelconsumption.（b）However,commencingwithandincludinganexcessof.percent（.%）intheactualfuelconsumptioniftheactualfuelconsumptionovertheguaranteedfueloftheVESSEL,theContractPriceshallbereducedbythesumof.foreachfullonepercent（1%）increaseinfuelconsumptionabovesaidpercent（%）（fractionsofonepercenttobeprorated）.uptoamaximumof.percent（.%）overtheguaranteedfuelconsumptionoftheVESSEL.（c）IfsuchaccrualfuelconsumptionEXCEEDS.percent（.%）oftheguaranteedfuelconsumptionoftheVESSEL,theBuyermay,atitsoption,rejecttheVESSELandrescindthisContract,inaccordancewiththepro
