解决国家与他国国民之间投资争端公约英文版解决国家与他国国民之间投资争端公约英文版解决国家与他国国民之间投资争端公约(英文版)1965年解决国家与他国国民之间投资争端公约ConventionontheSettlementofInvestmentDisputesBetweenStatesandNationalsofOtherStatesDoneatWashingtonon18March1965PREAMBLETheContractingStatesConsideringtheneedforinternationalcooperationforeconomicdevelopment,andtheroleofprivateinternationalinvestmenttherein;BearinginmindthepossibilitythatfromtimetotimedisputesmayariseinconnectionwithsuchinvestmentbetweenContractingStatesandnationalsofotherContractingStates;Recognizingthatwhilesuchdisputeswouldusuallybesubjecttonationallegalprocesses,internationalmethodsofsettlementmaybeappropriateincertaincases;AttachingparticularimportancetotheavailabilityoffacilitiesforinternationalconciliationorarbitrationtowhichContractingStatesandnationalsofotherContractingStatesmaysubmitsuchdisputesiftheysodesire;DesiringtoestablishsuchfacilitiesundertheauspicesoftheInternationalBankforReconstructionandDevelopment;Recognizingthatmutualconsentbythepartiestosubmitsuchdisputestoconciliationortoarbitrationthroughsuchfacilitiesconstitutesabindingagreementwhichrequiresinparticularthatdueconsiderationbegiventoanyrecommendationofconciliators,andthatanyarbitralawardbecompliedwith;andDeclaringthatnoContractingStateshallbythemerefactofitsratification,acceptanceorapprovalofthisConventionandwithoutitsconsentbedeemedtobeunderanyobligationtosubmitanyparticulardisputetoconciliationorarbitration,Haveagreedasfollows:
CHAPTERIInternationalCentreforSettlementofInvestmentDisputesSection1EstablishmentandOrganizationArticle1
(1)ThereisherebyestablishedtheInternationalCentreforSettlementofInvestmentDisputes(hereinaftercalledtheCentre).
(2)ThepurposeoftheCentreshallbetoprovidefacilitiesforconciliationandarbitrationofinvestmentdisputesbetweenContractingStatesandnationalsofotherContractingStatesinaccordancewiththeprovisionsofthisConvention.Article2TheseatoftheCentreshallbeattheprincipalofficeoftheInternationalBankforReconstructionandDevelopment(hereinaftercalledtheBank).TheseatmaybemovedtoanotherplacebydecisionoftheAdministrativeCounciladoptedbyamajorityoftwo-thirdsofitsmembers.Article3TheCentreshallhaveanAdministrativeCouncilandaSecretariatandshallmaintainaPanelofConciliatorsandaPanelofArbitrators.Section2TheAdministrativeCouncilArticle4
(1)TheAdministrativeCouncilshallbecomposedofonerepresentativeofeachContractingState.Analternatemayactasrepresentativeincaseofhisprincipalsabsencefromameetingorinabilitytoact.
(2)Intheabsenceofacontrarydesignation,eachgovernorandalternategovernoroftheBankappointedbyaContractingStateshallbeexofficioitsrepresentativeanditsalternaterespectively.Article5ThePresidentoftheBankshallbeexofficioChairmanoftheAdministrativeCouncil(hereinaftercalledtheChairman)butshallhavenovote.DuringhisabsenceorinabilitytoactandduringanyvacancyintheofficeofPresidentoftheBank,thepersonforthetimebeingactingasPresidentshallactasChairmanoftheAdministrativeCouncil.Article6
(1)WithoutprejudicetothepowersandfunctionsvestedinitbyotherprovisionsofthisConvention,theAdministrativeCouncilshall:
(a)adopttheadministrativeandfinancialregulationsoftheCentre;(b)adopttherulesofprocedurefortheinstitutionofconciliationandarbitrationproceedings;(c)adopttherulesofprocedureforconciliationandarbitrationproceedings(hereinaftercalledtheConciliationRulesandtheArbitrationRules);(d)approvearrangementswiththeBankfortheuseoftheBanksadministrativefacilitiesandservices;(e)determinetheconditionsofserviceoftheSecretary-GeneralandofanyDeputySecretary-General;(f)adopttheannualbudgetofrevenuesandexpendituresoftheCentre;(g)approvetheannualreportontheoperationoftheCentre.Thedecisionsreferredtoinsub-paragraphs(a),(b),(c)and(f)aboveshallbeadoptedbyamajorityoftwo-thirdsofthemembersoftheAdministrativeCouncil.
(2)TheAdministrativeCouncilmayappointsuchcommitteesasitconsidersnecessary.(3)TheAdministrativeCouncilshallalsoexercisesuchotherpowersandperformsuchotherfunctionsasitshalldeterminetobenecessaryfortheimplementationoftheprovisionsofthisConvention.Article7
(1)TheAdministrativeCouncilshallholdanannualmeetingandsuchothermeetingsasmaybedeterminedbytheCouncil,orconvenedbytheChairman,orconvenedbytheSecretary-GeneralattherequestofnotlessthanfivemembersoftheCouncil.
(2)EachmemberoftheAdministrativeCouncilshallhaveonevoteand,exceptasotherwisehereinprovided,allmattersbeforetheCouncilshallbedecidedbyamajorityofthevotescast.(3)AquorumforanymeetingoftheAdministrativeCouncilshallbeamajorityofitsmembers.(4)TheAdministrativeCouncilmayestablish,byamajorityoftwo-thirdsofitsmembers,aprocedurewherebytheChairmanmayseekavoteoftheCouncilwithoutconveningameetingoftheCouncil.ThevoteshallbeconsideredvalidonlyifthemajorityofthemembersoftheCouncilcasttheirvoteswithinthetimelimitfixedbythesaidprocedure.Article8MembersoftheAdministrativeCouncilandtheChairmanshallservewithoutremunerationfromtheCentre.Section3TheSecretariatArticle9TheSecretariatshallconsistofaSecretary-General,oneormoreDeputySecretaries-Generalandstaff.Article10
(1)TheSecretary-GeneralandanyDeputySecretary-GeneralshallbeelectedbytheAdministrativeCouncilbyamajorityoftwo-thirdsofitsmembersuponthenominationoftheChairmanforatermofservicenotexceedingsixyearsandshallbeeligibleforre-election.AfterconsultingthemembersoftheAdministrativeCouncil,theChairmanshallproposeoneormorecandidatesforeachsuchoffice.
(2)TheofficesofSecretary-GeneralandDeputySecretary-Generalshallbeincompatiblewiththeexerciseofanypoliticalfunction.NeithertheSecretary-GeneralnoranyDeputySecretary-GeneralmayholdanyotheremploymentorengageinanyotheroccupationexceptwiththeapprovaloftheAdministrativeCouncil.(3)DuringtheSecretary-Generalsabsenceorinabilitytoact,andduringanyvacancyoftheofficeofSecretary-General,theDeputySecretary-GeneralshallactasSecretary-General.IfthereshallbemorethanoneDeputySecretary-General,theAdministrativeCouncilshalldetermineinadvancetheorderinwhichtheyshallactasSecretary-General.Article11TheSecretary-GeneralshallbethelegalrepresentativeandtheprincipalofficeroftheCentreandshallberesponsibleforitsadministration,includingtheappointmentofstaff,inaccordancewiththeprovisionsofthisConventionandtherulesadoptedbytheAdministrativeCouncil.HeshallperformthefunctionofregistrarandshallhavethepowertoauthenticatearbitralawardsrenderedpursuanttothisConvention,andtocertifycopiesthereof.Section4ThePanelsArticle12ThePanelofConciliatorsandthePanelofArbitratorsshalleachconsistofqualifiedpersons,designatedashereinafterprovided,whoarewillingtoservethereon.Article13
(1)EachContractingStatemaydesignatetoeachPanelfourpersonswhomaybutneednotbeitsnationals.
(2)TheChairmanmaydesignatetenpersonstoeachPanel.ThepersonssodesignatedtoaPanelshalleachhaveadifferentnationality.Article14
(1)PersonsdesignatedtoserveonthePanelsshallbepersonsofhighmoralcharacterandrecognizedcompetenceinthefieldsoflaw,commerce;industryorfinance,whomaybereliedupontoexerciseindependentjudgment.CompetenceinthefieldoflawshallbeofparticularimportanceinthecaseofpersonsonthePanelofArbitrators.
(2)TheChairman,indesignatingpersonstoserveonthePanels,shallinadditionpaydueregardtotheimportanceofassuringrepresentationonthePanelsoftheprincipallegalsystemsoftheworldandofthemainformsofeconomicactivity.Article15
(1)Panelmembersshallserveforrenewableperiodsofsixyears.
(2)IncaseofdeathorresignationofamemberofaPanel,theauthoritywhichdesignatedthemembershallhavetherighttodesignateanotherpersontoservefortheremainderofthatmembersterm.(3)Panelmembersshallcontinueinofficeuntiltheirsuccessorshavebeendesignated.Article16
(1)ApersonmayserveonbothPanels.
(2)IfapersonshallhavebeendesignatedtoserveonthesamePanelbymorethanoneContractingState,orbyoneormoreContractingStatesandtheChairman,heshallbedeemedtohavebeendesignatedbytheauthoritywhichfirstdesignatedhimor,ifonesuchauthorityistheStateofwhichheisanational,bythatState.(3)AlldesignationsshallbenotifiedtotheSecretary-Generalandshalltakeeffectfromthedateonwhichthenotificationisreceived.Section5FinancingtheCentreArticle17IftheexpenditureoftheCentrecannotbemetoutofchargesfortheuseofitsfacilities,oroutofotherreceipts,theexcessshallbebornebyContractingStateswhicharemembersoftheBankinproportiontotheirrespectivesubscriptionstothecapitalstockoftheBank,andbyContractingStateswhicharenotmembersoftheBankinaccordancewithrulesadoptedbytheAdministrativeCouncil.Section6Status,ImmunitiesandPrivilegesArticle18TheCentreshallhavefullinternationallegalpersonality.ThelegalcapacityoftheCentreshallincludethecapacity:
(a)tocontract;(b)toacquireanddisposeofmovableandimmovableproperty;(c)toinstitutelegalproceedings.Article19ToenabletheCentretofulfillitsfunctions,itshallenjoyintheterritoriesofeachContractingStatetheimmunitiesan
