1.SaleandPurchase

1.1OnthebasisofthisContract,theSelleragreestosell,andtheBuyeragreestobuy,thegoodssetforthinAppendix1（the“Goods”）.

1.2ThetermsandconditionsofthisContractshallsupersedeallothertermsandconditions,includingbutnotlimitedtotermsandconditionsincludedinoralludedtoinanyquotationororderformissuedbytheBuyerortheSeller.TheBuyerfurtherrepresentstotheSellerandconfirmsthatitisnotsigningthisContractinrelianceuponanyrepresentationoftheSellerortheSeller’srepresentative.

2.Price

2.1ThepricesoftheGoodsaresetforthinAppendix1ofthisContract.

2.2Thepriceshallnotincludevalue-addedtaxorsalestax（ifapplicable）ontheGoods,nordoesitincludeshippingcostsandinsurancepremiums.TheBuyerherebyaffirmsthatitshallbeartheaforementionedcosts.

2.3Unlessexplicitlystipulatedotherwise,thepriceoftheGoodsshallbecalculatedinHongKongDollars.

3.PurchaseProcess

3.1WhentheBuyerpurchasesanyitem（s）,itmustfirstsubmitawrittenorder（referredtobelowas“thePurchaseOrder”）.ThePurchaseOrdermaybedeliveredtotheSellerinperson;oritmaybedeliveredbyprepaidposttotheSeller’saddressassetforthaboveortoanyotheraddressstipulatedbytheSeller;oritmaybesentbyfaxtoanumberstipulatedbytheSeller;oritmaybedeliveredbyanyothermeansthatthePartiesmayagreetofromtimetotime.UnlessanduntiltheSellerreceivesacompleteandclearPurchaseOrder,theSellershallbeundernoobligationtotakeanyparticularaction.ThePurchaseOrdershallclearlylistthenameandquantityofGoods,aswellasanyrelatedtechnicalspecifications.

3.2TheSellermay,attheBuyer’srequest,alsoissueapricequotation（referredtobelowasthe“SellerQuotation”）foranyGood,andtheBuyermayplaceanorderbyacceptingthequotation.Toacceptaquotation,theBuyershallsigntheSellerQuotationandthensubmitittotheSellerinaccordancewiththemethodssetforthinClause3.1ofthisContract.ForthepurposesofthisContract,anySellerQuotationsignedbytheBuyershallbeconsideredaPurchaseOrder.

3.3TheSellershallbeboundbythePurchaseOrderonlyafterithasacceptedthePurchaseOrderinwriting.

3.4TheSellerhastherighttomodifythespecificationsofGoodsatanytimeinordertocomplywithlawsorrequirementsineffectinHongKongorotherjurisdiction;provided,however,thatthealterationshallnotsubstantiallyinfluencethequalityornatureoftheGoods.Intheeventthatsuchanalterationbecomesnecessary,theSellershallnotifytheBuyersimultaneouslywiththeconfirmationoftherespectivePurchaseOrder.

3.5IntheeventthattheBuyerwishestocancelaPurchaseOrder,itmaynotifytheSellerinwritingnolaterthan_____daysafterthePurchaseOrderwasissued.CancellationlaterthantheaforementionedperiodshallrequirewrittenapprovalbySeller.IftheSellersoapproves,theBuyermaycancelthePurchaseOrderontheconditionthatitbearresponsibilityforallcosts,expensesandotherlossesincurredbytheSellerduetothecancellationofthePurchaseOrder.

4.Payment

4.1WheregoodsaredeliveredbytheSeller,theSellershallissuetotheBuyeraninvoicewithin[number]daysofdeliveringtheGoods;wheretheGoodsarecollectedbytheBuyer,theSellershallissuetotheBuyeraninvoicewithin[number]daysofnotifyingtheBuyerthatitmaycollecttheGoods.

4.2TheBuyershallpaythefullpriceoftheGoodswithin[number]daysoftheissueoftheinvoicebytheSeller.Thistimelimitisofutmostimportance.

4.3IftheBuyerfailstomakepaymentwithinthetimeperiodprescribedinArticle4.2,theSellershallhavetherighttotakethemeasuressetforthbelow,andsuchactionshallnotinfluencetheexerciseorusebytheSellerofanyotherrightsorremedialmeasures:

（a）TerminationofthisContract;

（b）SuspendanyfurtherdeliveryofGoodstotheBuyer;or

（c）Basedonanannualinterestrateof[number]percent,claimfromtheBuyeraninterestchargewhichshallbecalculateddailyontheunpaidamountduringtheperiodbetweenthepaymentduedateandthedatepaymentisactuallymade.

5.Delivery

5.1TheBuyershallcollecttheGoodsimmediatelyuponreceiptoftheCargoDeliveryNoticeissuedbytheSeller.Alternatively,thePartiesmayagreethattheSellermaycompletedeliverybytransportingtheGoodstoalocationdesignatedbytheBuyer.

5.2IntheeventthattheBuyerfailstocollecttheGoodsorfailstoprovidetheSellerreasonableinstructionsforthedeliveryoftheGoods,theBuyershallhavetherighttotakethemeasuressetforthbelow,andsuchactionshallnotinfluencetheexerciseorusebytheSellerofanyotherrightsorremedialmeasures:

（a）StoretheGoodsuntiltheyaredeliveredorcollectedand,priortodeliveryorcollection,claimfromtheBuyerallexpensesstemmingfromthestorageandinsuranceoftheGoods;or

（b）SelltheGoodsatthecurrentbestprice;andusetheproceedstoreimbursetheamounttheBuyershouldhavepaidfortheGoods,aswellasstoragecharges,insurancepremiumsandanyothercostsofsale;while,atthesametime,complyingwiththeprovisionssetforthbelow:

（i）Iftheresaleproceedsareinsufficienttopaytheaforementioneditems,theBuyershallpaythedifferencetotheSeller;or

（ii）Iftheresaleproceedsaremorethansufficienttopaytheaforementionedamounts,theSellermayallocatetheexcessfundstotheBuyer.

5.3TheBuyershallpaytheSelleralltransportcostsandinsurancepremiumsincurredindeliveringtheGoods.

6.AllocationofDamage/RiskandTitle

6.1Underthefollowingcircumstances,theriskofdamagetoorlossoftheGoodsshallbetransferredtotheBuyer:

（a）WheretheGoodsarecollectedbytheBuyer,theriskshallbetransferredtotheBuyerwhentheSellernotifiestheBuyerthattheGoodsmaybecollected;or

（b）WheretheGoodsaredeliveredbytheSeller,thentheriskistransferredfromtheSellertotheBuyerwhentheGoodshavebeentransportedtothelocationdesignatedbytheBuyer,regardlessofwhethertheBuyeractuallytakesdeliveryoftheGoods.

6.2TitletotheGoodsshallbetransferredtotheBuyeronlyaftertheSellerhasreceivedfullpaymentfortheGoods.

6.3TheBuyermaynot,byanymeans,mortgagethoseGoodsoverwhichtheSellerstillholdstitle.IntheeventthattheBuyerbreachesthisprovision,theBuyershallimmediatelypayallamountsthatitowestheSeller,regardlessofwhetheracorrespondinginvoicehasbeenissuedorthetimeperiodprescribedunderArticle4.2haspassed,andsuchactionshallnotinfluencetheSeller’srighttotakeotherremedialmeasures.

7.GuaranteeandLiability

7.1TheSellerguaranteesthattheGoodsshallconformtospecificationsupondelivery,andthatnomaterialortechnicaldefectsshallappearintheGoodsforaperiodof______monthsaftercommencementofuse,orforaperiodof______monthsaftertheearlierofcollectionordeliveryoftheGoods.
