RightofFirstOfferAgreement优先权协议-

A.SellerandBuyerarepartiestoanAssetSale,PurchaseandTransferAgreementdated_________,_________,_________（M/D/Y）（thePurchaseAgreement）,pursuanttowhichSellerhasagreedtobuycertaintimberlandandrelatedassetsinthestateof_________（STATE）.

B.AllcapitalizedtermsnototherwisedefinedhereinshallhavethemeaningsgiveninthePurchaseAgreement.

C.BuyerandSellerdesiretoenterintothisAgreementtoprovideSellerwithcertainrightswithrespecttotheTimberlandProperties.

NOW,THEREFORE,itisagreedasfollows:

1.NotwithstandinganythingtothecontraryinthisAgreementforaperiodof25yearsfollowingtheInitialClosing,anysaleorothertransferbyBuyerofitsinterestintheTimberlandProperties,oranyportionthereof,otherthanExemptTransfersasdefinedinSection5shallbesubjecttoSeller’srightoffirstofferasprovidedbelow.

2.SubjecttotheprovisionsofSection1,intheeventBuyerdesirestosellorotherwisetransfer,whetherdirectlyorindirectly,alloranypartoftheTimberlandProperties（theOfferedProperty）,itshallgiveanotice（theFirstOfferNotice）toSeller.TheFirstOfferNoticeshallspecifythepriceandtermsofsaleincluding,withoutlimitation,thedescriptionoftheOfferedProperty,thetypeofdeedtobedelivered,theexceptionstowhichtheOfferedPropertywillbesubject,whetherornottitleinsurancewillbeprovided,andtheallocationofresponsibilityforsalesanddocumentarytaxesandotherclosingcosts.TheFirstOfferNoticeshallconstituteanofferbyBuyertosellitsinterestintheOfferedPropertytoSelleronthepriceandtermsandconditionssetforthinsuchnotice.Seller,ifitdesirestoacceptsuchoffer,shall,within30daysafterthegivingoftheFirstOfferNotice,giveBuyerwrittennoticetosucheffect（theAcceptanceNotice）.IfSellershallfailtogivetheAcceptanceNoticewithinthetimeperiodprovided,SellershallbedeemedtohaveconsentedtotheproposedsaleandBuyermaysellitsinterestintheOfferedPropertyuponthepriceandtermsandconditionssetforthintheFirstOfferNoticeatanytimewithinsixmonthsoftheexpirationofthetimeperiodforthegivingoftheAcceptanceNotice;provided,however,thatBuyermayonly,duringsuchperiod,sellatanypriceequaltoorgreaterthan100percentthepricestatedintheFirstOfferNoticeandontermsnomorefavorabletothepurchaserthanthetermsincludedintheFirstOfferNotice.

3.IntheeventthatSellergivesBuyeranAcceptanceNotice,then,onsuchbusinessdayasSellershallsetforthintheAcceptanceNotice,whichshallbenotlessthan30daysnormorethan90daysafterthegivingoftheAcceptanceNotice,SellershallpurchasetheOfferedPropertyforthepurchasepricestatedintheFirstOfferNoticeandupontheothertermsandconditionsoftheFirstOfferNotice.TheclosingofthesaleshallbeheldintheofficesofTheCampbellGroup,Inc.,inPortland,_________（STATE）,oratsuchotherplaceasthepartiestothesalemaymutuallyagree,onthedateselectedasprovidedabove.Attheclosing,BuyershalldelivertoSelleritsdeedintheformandsubjecttotheexceptionsstatedintheFirstOfferNotice.

4.NotwithstandinganythingtothecontraryinthisAgreement,ifanypartoftheOfferedPropertytobepurchasedbySellerpursuanttothisAgreementdoesnothavelegal,historical,orpracticalaccessrightssufficientfortimberharvestactivityinaccordancewiththencurrentindustrypracticesforNorthwestern_________（STATE）,thensuchpurchaseshallinclude,whetherornotdescribedintheFirstOfferNoticeortheAcceptanceNoticewithrespectthereto,additionallandoreasementsprovidingforsuchrightsofwayforaccessandutilitiesoverreasonableroutesonorappurtenanttosuchOfferedPropertybutoverlandownedbyBuyerorentitiescontrolledbyBuyerasshallbenecessaryforSeller,itssuccessorsandassigns,tohavesuchaccess,inperpetuity,tothepurchasedOfferedProperty.NosucheasementsshallunreasonablyinterferewithBuyer’scurrentorcontemplatedforestryoperations.

5.TheprovisionsofthisAgreementshallnotapplytodiscretionarysalesbyBuyerandentitiescontrolledbyBuyerofnotmorethan_________acresintheaggregate,cuttingcontractsenteredintobyBuyerandentitiescontrolledbyBuyerofnotmorethan_________acresintheaggregate,noneofwhichshallhaveadurationinexcessof36months;transfersorleases（includingtheassignmentofexistingleases）ofmineralrights,includingbutnotlimitedtothetransferorleasingofgeologicalformationsusefulfortheundergroundstorageofnaturalgas,compressedair,andothergaseoussubstances;rightofwayeasementsgrantedintheordinarycourseofbusiness,changesofownershipbetweenBuyerandcontrolledentities,ordistributionsinkindtoownersofacontrolledentity（collectivelyExemptTransfersprovidedthatBuyershallgiveSellerwrittennoticeofeachproposedExemptTransferatleast30dayspriortotheconsummationofthetransferand;providedfurtherthatincaseofchangesofownershipbetweenBuyerandcontrolledentitiesordistributionsinkind,thepropertytransferredshallremainsubjecttotheprovisionsofthisAgreementandBuyershalldelivertoSellerawrittenacknowledgmentofthetransfereethatitisboundbytheprovisionsofthisAgreement.

6.Intheeventofasaletoathirdpartypursuanttoparagraph2oranexempttransfertoanindependentthirdpartypursuanttoparagraph5,Sellershall,attherequestofBuyer,executeandacknowledgeamemorandumforrecordingtoevidencethatthetransferredpropertyisnolongersubjecttoSeller’srightsunderthisAgreement.

7.ThepartiesshallcauseamemorandumofSeller’sRightofFirstOfferintheformofExhibitAattachedhereto,toberecordedintheofficialrecordsofColumbiaCounty,WashingtonCounty,ClatsopCounty,andTillamookCounty,_________（STATE）.

8.Anyquestion,controversy,orclaimarisingunderorrelatingtothisAgreementshallbesettledbyarbitrationinaccordancewiththeprovisionsofSection9.2ofthePurchaseAgreement,exceptthatthearbitrationhearingshallbeheldinPortland,_________（STATE）.

9.AnynoticestobedeliveredpursuanttothisAgreementwillbedeliveredasspecifiedinSection12.5ofthePurchaseAgreement.

10.ThisAgreementshallbebindingoneachbuyerunderthePurchaseAgreementcontrolledbyBuyer.SellermayrequireasaconditionofconveyanceofaportionoftheTimberlandPropertiestoanybuyercontrolledbyBuyerotherthanBuyer,thatsuchbuyerexecuteaninstrumentagreeingtobeboundbythetermsofthisAgreement.

INWITNESSWHEREOF,thepartiesheretohaveexecutedthisAgreementasofthedatefirstabovewritten.

THISAGREEMENTismadeasof_________,_________,_________（M/D/Y）,amongAAA,Inc.,aDelawarecorporation（theCompany）,andtheundersignedholdersofSeriesAPreferredStockoftheCompany（theStockholders）.

WHEREAS,inconnectionwiththeCompany’sSeriesAPreferredStockfinancing,theCompanyhassoldsharesofitsSeriesAPreferredStocktotheStockholders;and

WHEREAS,theStockholdershaveagreedtogranttheCompanyaRightofFirstRefusalwithrespecttoallsharesoftheCompany’sPreferredStockorCommonStockownedbythemorissuedtotheminthefuturewithrespecttosuchsharesinanystockdividend,stocksplit,reclassificationorsimilarevent（theShares）.

THEREFORE,theundersignedagreeasfollows:

1.Shares.UponclosingoftheSeriesAPreferredStockfinancingwiththeCompanypursuanttowhichtheStockholderspurchasesharesoftheCompany’sSeriesAPreferredStock,eachStockholderherebyseverallyrepresentsthatitownsthatnumberofsharesofPreferredStocksetforthoppositeitsnameonExhibitAtotheSeriesAPreferredStockPurchaseAgreementofevendateherewith.

2.Company’sRightofFirstRefusal.BeforeanySharesheldbyaStockholder（aSellingStockholder）oranytransferee（eitherbeingsometimesreferredtohereinastheHolder）maybesoldorotherwisetransferred（includingtransferbygiftoroperationoflaw）,theCompanyoritsassignee（s）shallhavearightoffirstrefusaltopurchasetheSharesonthetermsandconditionssetforthinthisSection（theRightofFirstRefusal）.

（a）NoticeofProposedTransfer.TheSellingStockholdershall（a）delivertotheCompanyawrittennotice（theNotice）stating:

（i）theSellingStockholder’sbonafideintentiontosellorotherwisetransfersuchShares;（ii）thenameofeachproposedpurchaserorothertransferee（ProposedTransferee（iii）thenumberofSharestobetransferredtoeachProposedTransferee;（iv）thebonafidecashpriceorotherconsiderationforwhichtheSellingStockholderproposestotransfertheShares（theOfferedPriceand（v）thematerialtermsandconditionsoftheproposedtransfer（theOfferTerms）and（b）offertheSharesattheOfferedPriceandontheOfferTermstotheCompanyoritsassignee（s）.

（b）ExerciseofRightofFirstRefusal.Atanytimewithin30daysafterreceiptoftheNotice,theCompanyand/oritsassignee（s）may,bygivingwrittennoticetotheSellingStockholder,electtopurchaseall,butnotlessthanall,oftheSharesproposedtobetransferredtoanyoneormoreoftheProposedTransferees,atthepurchasepriceandonthetermsdeterminedinaccordancewithsubsection（c）below.

（c）PurchasePrice.Thepurchaseprice（PurchasePrice）fortheSharespurchasedbytheCompanyoritsassignee（s）underthisSectionshallbe
