Thereadjustmentofregisteredcapitalortotalinvestmentamountshallbesubmittedtotheoriginalexaminationandapprovalauthorityforapprovalandgothroughalterationformalitieswiththeadministrativedepartmentofindustryandcommerce.

Chapter4BusinessManagementOffice

Article15

TheCompanydoesnotsetupaboardofdirectorsandexercisesgeneralmanagerresponsibilitysystem,with___generalmanagersand____deputygeneralmanagerstobeengagedbytheinvestors.Thegeneralmanageranddeputygeneralmanagershaveanofficetermof___years.ThegeneralmanagershallbethelegalrepresentativeoftheCompany.

Article16

ThegeneralmanagerisdirectlyresponsibletotheinvestingpartyandshallcarryoutthevariousdecisionsoftheinvestingpartyandorganizeandguidetheoverallproductionoftheCompany.Thedeputygeneralmanagersshallassistthegeneralmanagerinhis/herwork.

Article17

Severaldepartmentmanagersmaybeappointedbythemanagementofficetoberesponsiblefortheworkinvariousdepartmentsrespectively,handlethemattershandedoverbythegeneralmanageranddeputygeneralmanagersandberesponsibletothem.

Article18

Thegeneralmanager,thedeputygeneralmanagersandalltheothermanagersshallearnestlyperformtheirdutyandshallnotholdconcurrentpostasamanagerorotherformsofemployeeforothercompanies.

Incaseofmalpracticeorseriousderelictionofdutyonthepartofthegeneralmanageranddeputygeneralmanagers,theinvestingpartyshallhavethepowertodismissthematanytime.

Chapter5Taxation,FinanceandForeignExchangeManagement

Article19

TheCompanyshallpayvariousitemsoftaxesinaccordancewithrelevantChineselawsandstipulationsontaxation.

Article20

StaffmembersandworkersoftheCompanyshallpayindividualincometaxaccordingtoIndividualIncomeTaxLawofthePeople'sRepublicofChina.

Article21

TheCompanyshallimplementaccountingsysteminaccordancewithrelevantfinancialmanagementsystemofthePeople'sRepublicofChina.TheCompanyshall,accordingtointernationalpractice,adoptaccrualbasisaccountingsystemanddebit-creditbook-keepingmethod.

Article22

ThefiscalyearoftheCompanyshallbefromJanuary1toDecember31ofeachGregoriancalendaryear.ThefirstfiscalyearshallbefromthedaywhenthebusinesslicenseisissuedtoDecember31ofthesameyear.

Article23

Allvouchers,receipts,statementsandaccountbooksshallbewritteninChineseandshall,ifwritteninforeignlanguages,besupplementedwithChinese.

Article24

TheCompanyshalluseRMBbookkeeping.ConversionofRMBwithothercurrenciesshallbecalculatedonthebasisofthecurrentnumeraireexchangerateofthePeople'sBankofChinaonthedayofarising.

Article25

TheCompanyshall,inaccordancewithapplicableChineselawsandregulations,openaforeigncurrencyaccountandaRMBaccountindomesticbanks.

Article26

Inthefirst3monthsofeachfiscalyear,thegeneralmanagershallpreparethepreviousyear'sbalancesheet,profitandlossstatementandprofitdistributionproposalandsubmitthemtotheinvestorsforexaminationandapproval.

FinancialcheckingandexaminationoftheCompanyshallbeconductedbyanauditorregisteredinChina.

Article27

TheforeignexchangeissuesoftheCompanyshallbehandledinaccordancewiththerelevantlawsandregulationsofChinaconcerningforeignexchangeadministration.

Chapter6DistributionofProfits

Article28

TheCompanyshallsetasideallocationsforreservefundsandwelfarefundsandbonusesforstaffandworkersfromtheafter-income-taxprofits.ThespecificproportionofallocationsshallbeinaccordancewithRulesfortheImplementationoftheLawofthePeople'sRepublicofChinaonForeign-capitalEnterprisesandotherrelevantlawsandregulationsofChina.

Article29

TheremainingprofitsafterpaymentofcompanyincometaxandallocationofvariousfundsinaccordancewiththestipulationsofArticle28shallbedistributedandusedaccordingtothedecisionsofinvestors.

Article30

TheprofitsoftheCompanyshallbedistributedannuallyandnoprofitsshallbedistributedshouldthelossesinthepreviousyearsnotbecovered.Theundistributedprofitsinthepastfiscalyearscanbedistributedtogetherwiththedistributableprofitsinthecurrentfiscalyear.

Chapter7LaborManagement

Article31

SuchissuesoftheCompanyasrecruitment,employment,dismissal,resignation,welfare,laborprotectionandlabordisciplineshallbehandledinaccordancewithrelevantstipulationsofChinaonlaborandsocialinsurance.TheCompanyshallnotemploychildlabor.

Article32

TheCompanyshallenterintolaborcontractwiththeemployeesandshallfilewiththelocallaboradministrationauthority.

Article33

TheCompanyhasthepowertoimposepunishmentsuchasdisciplinarywarning,demeritrecording,wagereductionandevendismissalincaseofgravemisconductonthestaffmembersandworkersviolatingtherules,regulationsandlabordisciplineoftheCompany.Dismissalofstaffmemberorworkershallbefiledwiththelocallaboradministrationauthority.
