Instruction
ThecontractisasampleforTechnologyDevelopmentContractprintedbyMinistryof
ScienceandTechnologyofthePeople'sRepublicofChina.Thetechnical
contractregistryorganscanrecommendthesampletothepartiesconcernedintechnologycontractsforreference.
1.Thecontractisappliedforthetechnologydevelopmentcontractsinwhich
onepartyentruststheotherpartytoresearchanddevelopnewtechnologies,
products,crafts,materialsornewvarietiesandseries.
2.Ifthereareseveralrepresentativesineitherparty,PartyAorPartyB
couldberespectivelylistedascommonentrustingpartyorcommonentrusted
partyinthe“EntrustingParty”or“EntrustedParty”provisions（newpage）
accordingtotheirownrelationsinthecontract.
3.Anyconditionsnotstipulatedherewillbelistedintheappendixin
accordaneewithtotheparties'negotiations.Andtheappendixformsan
indispensablepartofthiscontract.

ThedetailedcontentoftheR&DworkwhichPartyBmaytransferincludes
Article9Asfortheliabilityforrisksinvolvedinafailureorpartialfailureinresearchand
developmentcausedbyinsurmountabletechnicaldifficultiesunderthecurrenttechno
logyandconditionoccurringintheprocessof
performaneeoftheContact,itshallbeundertakenbythetwopartiesinaccordancewiththefollowingstipulations:

2.PartyBsubjectivelycommitsnofaultandthefailureofresearchand
developmentisconsideredbyexpertsasreasonable.
Onceonepartydiscoversthatthesituationislikelytocauseafailureor
partialfailureinresearchanddevelopment,theDiscoverershallinformtheotherpartyofthesituationwithindaysandtakeappropriatemeasuresto
reducelosses.Ifonepartyfailstoinformtheotherpartyinduetimeandtakeappropriatemeasuresandasaresultthelossesareaggravated,theresponsiblePartyshallbearthe
liabilityfortheaggravatedpartofthelosses.
Article10IntheperformanceoftheContract,thetechnologywhichistheobjectofa
researchanddevelopmenthasbeenmadepublicbyothers（includingtheformofpatent）.OnepartyshallnotifytheotherpartytorescindtheContractwithindays.Ifonepartyfailstoinformtheotherpartyinduetimeandasaresulttheotherparty'slossesoccur,theother
partyhasrighttoclaimcompensationforitslosses.Article11Mutuallyconfirmed,thetwo
partiesshallundertakethefollowingobligationsofmaintainingconfidentialitystipulatedintheContract:

relevantintellectualpropertyrightgeneratedfromthe
Contractshallbesettledbythemethod.
