IndemnificationAgreement补偿协议-

ThisIndemnificationAgreementmadeandenteredintothis_________（M,D,Y）（Agreement）,byandbetweenAAACorporation,a_________（PLACENAME）corporation（togetherwithanysuccessororsuccessorsandpredecessorsthereto,theCompany）andBBB（Indemnitee）.WHEREAS,itisessentialtotheCompanythatitbeabletoretainandattractasdirectors,officers,employeesandagentsthemostcapablepersonsavailable:

WHEREAS,increasedcorporatelitigationhassubjecteddirectors,officers,employeesandagentsofcorporationstolitigationrisksandexpensesandthelimitationsontheavailabilityofdirectorsandofficersliabilityinsurancehavemadeitincreasinglydifficultfortheCompanytoattractandretainsuchpersons;WHEREAS,itsby-lawspermittheCompanytoenterintoindemnificationarrangementsandagreements;WHEREAS,theCompanydesirestoprovideIndemniteewithspecificcontractualassuranceofIndemnitee’srightstofullindemnificationagainstlitigationrisksandexpenses（regardless,amongotherthings,ofanyamendmenttoorrevocationoftheCompany’sby-lawsoranychangeintheownershipoftheCompanyorthecompositionofitsBoardofDirectors）whichindemnificationisintendedtobegreaterthanthatwhichisaffordedbytheCompany’scertificateofincorporation,by-lawsand,totheextentinsuranceisavailable,thecoverageofIndemniteeundertheCompany’directorsandofficersliabilityinsurancepolicies;andWHEREAS,IndemniteeisrelyingupontherightsaffordedunderthisAgreementincontinuinginIndemnitee’spositionasanagentoftheCompany.NOW,THEREFORE,inconsiderationofthepremisesandthecovenantscontainedherein,theCompanyandIndemniteedoherebycovenantandagreeasfollows:

1.DEFINITIONS.（a）agentoftheCompanymeansanypersonwhoisorwasadirector,officer,employeeorotheragentoftheCompanyorasubsidiaryoftheCompany;orisorwasservingattherequestof,fortheconvenienceof,ortorepresenttheinterestsoftheCompanyorasubsidiaryoftheCompanyasadirector,officer,employeeoragentofanotherforeignordomesticcorporation,partnership,jointventure,trustorotherenterprise;orwasadirector,officer,employeeoragentofaforeignordomesticcorporationwhichwasapredecessorcorporationoftheCompanyorasubsidiaryoftheCompany,orwasadirector,officer,employeeoragentofanotherenterpriseattherequestof,fortheconvenienceof,ortorepresenttheinterestsofsuchpredecessorcorporation.（b）CorporateStatusdescribesthestatusofapersonwhoisservingorhasserved（i）asanagentoftheCompany,（ii）inanycapacitywithrespecttoanyemployeebenefitplanoftheCompany,or（iii）asadirector,partner,trustee,officer,employee,oragentofanyotherEntityasdefinedbelowattherequestoftheCompany.（c）Entityshallmeananycorporation,partnership,jointventure,trust,foundation,association,organizationorotherlegalentityandanygroupordivisionoftheCompanyoranyofitssubsidiaries.（d）Expensesshallmeanallreasonablefee,costsandexpensesincurredinconnectionwithanyProceeding（asdefinedbelow）,including,withoutlimitation,attorney’sfees,disbursementsandretainers（including,withoutlimitation,anysuchfees,disbursementsandretainersincurredbyIndemniteepursuanttoSection10ofthisAgreement）,feesanddisbursementsofexpertwitnesses,privateinvestigatorsandprofessionaladvisors（including,withoutlimitation,accountantsandinvestmentbankers）,courtcosts,transcriptcosts,feesofexperts,travelexpenses,duplicating,printingandbindingcosts,telephoneandfaxtransmissioncharges,postage,deliveryservices,secretarialservices,andotherdisbursementsandexpenses.（e）IndemnifiableExpenses,IndemnifiableLiabilitiesandIndemnifiableAmountsshallhavethemeaningsascribedtothosetermsinSection3（a）below.（f）Liabilitiesshallmeanjudgments,damages,liabilities,losses,penalties,excisetaxes,finesandamountspaidinsettlement.（g）Proceedingshallmeananythreatened,pendingorcompletedclaim,action,suit,arbitration,alternatedisputeresolutionprocess,investigation,administrativehearing,appeal,oranyotherproceeding,whethercivil,criminal,administrativeorinvestigative,whetherformalorinformal,includingaproceedinginitiatedbyIndemniteepursuanttoSection10ofthisAgreementtoenforceIndemnitee’srightshereunder.2.SERVICESOFINDEMNITEE.InconsiderationoftheCompany’scovenantsandcommitmentshereunder,IndemniteeagreestoserveorcontinuetoserveasanagentoftheCompany.However,thisAgreementshallnotimposeanyobligationonIndemniteeortheCompanytocontinueIndemnitee’sservicetotheCompanybeyondanyperiodotherwiserequiredbylaworbyotheragreementsorcommitmentsoftheparties,ifany.3.AGREEMENTTOINDEMNIFY.TheCompanyagreestoindemnifyIndemniteeasfollows:

（a）SubjecttotheexceptionscontainedinSection4（a）below,ifIndemniteewasorisapartyoristhreatenedtobemadeapartytoanyProceeding（otherthananactionbyorintherightoftheCompany）byreasonofIndemnitee’sCorporateStatus,IndemniteeshallbeindemnifiedbytheCompanyagainstallExpensesandLiabilitiesincurredorpaidbyIndemniteeinconnectionwithsuchProceeding（referredtohereinasIndemnifiableExpensesandIndemnifiableLiabilities,respectively,andcollectivelyasIndemnifiableAmounts）.（b）SubjecttotheexceptionscontainedinSection4（b）below,ifIndemniteewasorisapartyoristhreatenedtobemadeapartytoanyProceedingbyorintherightoftheCompanytoprocureajudgmentinitsfavorbyreasonofIndemnitee’sCorporateStatus,IndemniteeshallbeindemnifiedbytheCompanyagainstallIndemnifiableExpenses.4.EXCEPTIONSTOINDEMNIFICATION.IndemniteeshallbeentitledtoindemnificationunderSection3（a）and3（b）aboveinallcircumstancesotherthanthefollowing:

（a）IfindemnificationisrequestedunderSection3（a）andithasbeenadjudicatedfinallybyacourtofcompetentjurisdictionthat,inconnectionwiththesubjectoftheProceedingoutofwhichtheclaimforindemnificationhasarisen,IndemniteefailedtoactingoodfaithandinamannerIndemniteereasonablybelievedtobeinornotopposedtothebestinterestsoftheCompanyor,withrespecttoanycriminalactionorproceeding,IndemniteehadreasonablecausetobelievethatIndemnitee’sconductwasunlawful,IndemniteeshallnotbeentitledtopaymentofIndemnifiableAmountshereunder.（b）IfindemnificationisrequestedunderSection3（b）and（i）Ithasbeenadjudicatedfinallybyacourtofcompetentjurisdictionthat,inconnectionwiththesubjectoftheProceedingoutofwhichtheclaimforindemnificationhasarisen,IndemniteefailedtoactingoodfaithandinamannerIndemniteereasonablybelievedtobeinornotopposedtothebestinterestsoftheCompany,IndemniteeshallnotbeentitledtopaymentofIndemnifiableExpenseshereunder;or（ii）IthasbeenadjudicatedfinallybyacourtofcompetentjurisdictionthatIndemniteeisliabletotheCompanywithrespecttoanyclaim,issueormatterinvolvedintheProceedingoutofwhichtheclaimforindemnificationhasarisen,including,withoutlimitation,aclaimthatIndemniteereceivedanimproperpersonalbenefit,noIndemnifiableExpensesshallbepaidwithrespecttosuchclaim,issueormatterunlesstheCourtofChanceryoranothercourtinwhichsuchProceedingwasbroughtshalldetermineuponapplicationthat,despitetheadjudicationofliability,butinviewofallthecircumstancesofthecase,IndemniteeisfairlyandreasonableentitledtoindemnityforsuchIndemnifiableExpenseswhichsuchcourtshalldeemproper.（c）TheCompanyshallnotbeobligatedtoindemnifytheIndemniteeforexpensesorliabilitiesofanytypewhatsoever（including,butnotlimitedto,judgments,finesERISAexcisetaxesandpenalties,andamountspaidinsettlement）forwhichpaymentisactuallymadetooronbehalfofIndemniteeunderavalidandcollectibleinsurancepolicyofDOInsuranceorunderavalidandenforceableindemnityclause,by-laworagreement.5.PROCEDUREFORPAYMENTOFINDEMNIFIABLEAMOUNTS.IndemniteeshallsubmittotheCompanyawrittenrequestspecifyingtheIndemnifiableAmountsforwhichIndemniteeseekspaymentunderSection3ofthisAgreementandthebasisfortheclaim.TheCompanyshallpaysuchIndemnifiableAmountstoIndemniteewithintwenty（20）calendardaysofreceiptoftherequest.AttherequestoftheCompany,IndemniteeshallfurnishsuchdocumentationandinformationasarereasonablyavailabletoIndemniteeandnecessarytoestablishthatIndemniteeisentitledtoindemnificationhereunder.6.INDEMNIFICATIONFOREXPENSESOFAPARTYWHOISWHOLLYORPARTLYSUCCESSFUL.NotwithstandinganyotherprovisionofthisAgreement,andwithoutlimitinganysuchprovisiontotheextentthatIndemniteeis,byreasonofIndemnitee’sCorporateStatus,apartytoandissuccessful,onthemeritsorotherwise,inanyProceeding,IndemniteeshallbeindemnifiedagainstallExpensesreasonablyincurredbyIndemniteeoronIndemnitee’sbehalfinconnectiontherewith.IfIndemniteeisnotwhollysuccessfulinsuchProceedingbutissuccessful,onthemeritsorotherwise,astooneormorebutlessthanallclaims,issuesormattersinsuchProceeding,theCompanyshallindemnifyIndemniteeagainstallExpensesreasonablyincurredbyIndemniteeoronIndemnitee’sbehalfinconnectionwitheachsuccessfullyresolvedclaim,issueormatter.ForpurposesofthisAgreement,theterminationofanyclaim,issueormatterinsuchaProceedingbydismissal,withorwithoutprej
