　　whereas,in_____（year）,ccc,inc.,acorporationorganizedandexistingunderthelawsofthestateof_____（placename）（'ccc'）,bbb,andtheothershareholdersofaaa,enteredintothenihonccckkjointventureagreement,whichtheyamendedbythatcertainamendedjointventureagreementdated_____（m,d,y）（thesetwoagreementsandtheirincidentalandrelatedagreementsshallbereferredtocollectivelyhereinasthe'jva'）;

　　whereas,aaaandbbbenteredintothatcertainmasterdistributoragreementdated_____（m,d,y）（thisagreementanditsincidentalandrelatedagreementsshallbereferredtocollectivelyhereinasthe'mda'）;

　　whereas,ccc,aaa,andbbbterminatedtheirbusinessrelationshipsinvolvingccccomputersoftwareandotherproducts（'cccproducts'）arisingoutofthejvaandmdaasof_____（m,d,y）;and

　　whereas,anumberofunresolvedissuesremainfromtheterminationofsaidjvaandmdaandthepartiesdesiretoresolvesaidissuesuponthetermsandconditionsdescribedbelow.

　　now,therefore,itisagreedasfollows:

　　section1.confirmation.cccterminatedsalesofcccproductsthroughdistributorsofaaaorthroughotherdistributorsin_____（placename）asof_____（m,d,y）.thepartieshavediscussed,confirmed,andmutuallyagreeuponthefollowingfacts:

　　1.asaresultofbbbconveyingitssharesinaaatocccon_____（m,d,y）,thejvawasamicablyterminated.

　　3.bbbhasintroducedandwillcontinuetointroduceanycustomersithasdevelopedpursuanttoitsactivitiesunderthemdatoaaaoritsdesigneeandwillassistintheorderlycontinuationofalltransactionsdealingwithcccproducts.however,aaaanditsdesigneeshallnotberesponsiblefororassumeanyofbbb'sliabilities（notonlymonetaryliabilities,butserviceliabilities,andanyandallliabilitiesofanytypeandnature）toanyofbbb'scustomersevenifaaaoritsdesigneereceivedanintroductiontothecustomerfrombbbandenteredintoabusinessrelationshipwithsaidcustomer.

　　4.pursuanttothetermsandconditionsofthisagreement,aaaagreestopaytobbbasumcertaintosettleanyclaimsarisingoutoftheterminationofthejvaandmda,ifany,andforbbb'scustomerlist,goodwill,etc.（hereinafterreferredtocollectivelyas'settlementproceeds'）.theparticularbreakdownofhowthesettlementproceedswillbeallocatedamongthevariousmatterswillbedeterminedupondiscussionsbetweenthepartiesheretoasprovidedinsection4below.uponaaa'spaymentandbbb'sreceiptofthesettlementproceeds,eachparty,representingallofeachparty'srespectivesubsidiaries,affiliatedcompanies,directors,officers,andemployeesthereof,releasesandforeverdischargestheotherparty,representingallofsaidparty'ssubsidiaries,affiliatedcompanies,directors,officers,andemployeesthereof,forallclaimsarisingoutoforresultingfromtheterminationofthejvaandmda.

　　5.todatebbbhaspurchasedfromcccandretainsinitscurrentinventoryacertainquantityofacccproductcalleda'chipbundle'.thepartiesagreethatbbbshallbeentitledtocontinuetosellitscurrentinventoryofsaidchipbundlesin_____（placename）.bbbagreesnottomakeadditionalnewpurchasesofsaidchipbundlesandaaaagreesnottopurchaseandwillnotallowccctopurchaseanychipbundlesfrombbb.

　　6.thepartiesheretoagreethatasbetweenthemtherearenoclaims,debts,obligations,orliabilitiesarisingoutoftheterminationofthejvaandmdaotherthanthosespecificallyidentifiedinthisagreement.

　　section2.customerintroductionassistance.

　　1.bbbhasdisclosedandshalldisclosetoaaaoritsdesigneethefollowinginformationimmediatelyafterthepartiesexecutethisagreement:

　　a.alistofallcustomerswithwhombbbhasorhadbusinesstransactionsunderthemda;

　　b.thecontentsofanycontractsormaintenanceagreementsbetweenbbbandanycustomersidentifiedintheprecedingclause;and

　　c.alistofpotentialcustomersdiscoveredduringbbb'sbusinessactivitiesduringtheperiodfrom_____（m,d,y）to_____（m,d,y）withwhombbbbelievesthataaaoritsdesigneehaveachancetoconcludeanagreementandareportonthestatusofallnegotiationsinprogress.

　　2.bbbagreesthataaaoritsdesigneearefreetoconcludecontractsforcccproductsandotherproductswiththepersonsorentitiesidentifiedbybbbintheprecedingclausesandbbbagreestocooperateinsuchactivitieswithaaaanditsdesignee.

　　3.thepriorclausesnotwithstanding,upontheexpirationoftheone

（1）yeartermofanymaintenanceagreementsidentifiedinclause1.b.ofthissection2above,aaaoritsdesigneeshallsucceedtotherightsofbbbundersaidmaintenanceagreements.however,aaaoritsdesigneemayproposeinadvancewhatevertermsandconditionsitmayrequireinordertosucceedtosaidmaintenanceagreements.inaddition,bbbagreestocooperatewithaaaoritsdesigneeintheorderlysuccessionofsaidmaintenanceagreementswithoutadditionalcompensationunlessthepartiesmutuallydetermineinwritinginadvancethatbbbshouldreceiveandthataaashouldpayadditionalcompensationforanysuchservices.

　　section3.settlementproceeds.

　　1.aaaherebyrecognizesthatithasadutytopaytobbbassettlementproceedsthesumof_____（_____）.saidsettlementproceedsshallbepaidbywiretransfertoanaccountdesignatedbybbbby_____（m,d,y）.

　　2.aaaherebyagreesthatitoritsdesigneeshallmakepaymenttobbbasprovidedintheprecedingclause.moreover,aaaagreesthatitwillbearthecostofthetelegraphictransferhandlingcharges.

　　section4.allocationofsettlementproceeds.basedupondiscussionsbetweenthepartiesregardingthecustomerinformationdisclosedtoaaaoritsdesigneepursuanttosection1.4ofthisagreement,thepartieswilldecideby_____（m,d,y）theparticularbreakdownofhowthesettlementproceedswillbeallocatedamongthevariousmatters（the'finalallocation'）.furthermore,inaccordancewiththefinalallocationasdeterminedhereinabove,aaaoritsdesigneeandbbbby_____（m,d,y）shallprepareandconcludeasettlementagreementrelatingtothesaleofbbb'scustomerlist,goodwill,etc.toaaaoritsdesignee（'customerlistsettlementagreement'）andasettlementagreementrelatingtojvaandmdaterminationclaims,ifany（'terminationsettlementagreement'）.thesettlementproceedspayabletobbbbyaaapursuanttothisagreementshallbeallocatedrespectivelytothecustomerlistsettlementagreementandtheterminationsettlementagreementpursuanttothefinalallocationdeterminedhereinabove.ifthefinalallocationofsettlementproceedsresultsinanincreaseinanygovernmentaltaxes,duties,licenses,fees,excises,ortariffsnoworhereafterimposedonthepaymentofthesettlementproceeds,suchchargesshallbepaidbythepartyobligatedbylawtomakesuchpayment,orinlieuthereof,thepartyobligatedbylawtomakesuchpaymentshallprovideanexemptioncertificateacceptabletotheotherpartyandtheapplicableauthority.ifrevenuestampsarerequiredunder_____（placename）eselawtobeaffixedtothisagreement,thepartiesshallberequiredtobearthecostofsuchstampsforthecopyintheirpossession.eachpartyshallberesponsibleforallcostsandexpensesincurredonitsbehalf,includingbutnotlimitedtoattorneysfees,relatedtothisagreementandthenegotiationsandconsultationsleadinguptotheformationofthisagreement.

　　section5.lawgoverning.thissettlementagreementshallbegovernedbyandconstruedinaccordancewiththelawsof_____（placename）.thepartiesheretoherebyagreethatanysuitsbroughthereundershallbebroughtinthetokyodistrictcourtintokyo,_____（placename）,whichwillhavesoleandexclusivejurisdictionforthefirstinstance.

　　section7.notices.anynoticeunderthisagreementshallbeinwritingandshallbeeffectivewhenactuallydeliveredinperson,orthenextbusinessdayfornoticessentbytelefaxandpromptlyconfirmedinamanuallysignedwriting,orthree（3）daysafterbeingdepositedinthemail,registeredorcertified,postageprepaidandaddressedtothepartyattheaddressstatedinthisagreementorsuchotheraddressasanypartymaydesignatebywrittennoticetotheother.

　　section8.waiver.failureofanypartyatanytimetorequireperformanceofanyprovisionofthisagreementshallnotlimittheparty'srighttoenforcetheprovision,norshallanywaiverofanybreachofanyprovisionbeawaiverofanysucceedingbreachofanyprovisionorawaiveroftheprovisionitselfforanyotherprovision.

　　section9.assignment.exceptasotherwiseprovidedwithinthisagreement,neitherpartyhereto
