Beingthe54thyearifthepresentreign.

     HisMajestyKingBhumibolAdulyadejhasbeenpleasantlypleasedtoproclaimthatitwasexpedienttoimprovethelawgoverningthebusinessoperationofforeigners.

     ThisActhassomeprovisionsrelatingtotherestrictionoftherightsandlibertyofindividualsbutbyimplicationofSection29inconjunctionwithSection35andSection50oftheConstitutionoftheKingdomofThailand,therestrictioncanbeimplementedbyvirtueofthelaw.

     ByandwiththeadviceandconcurrenceoftheParliament,HisMajestytheKinggraciouslyorderedtheenactmentofthisActasfollows:

     Section1.ThisActshallbecalledthe"ForeignBusinessAct1999".

     Section2.ThisActshallcomeintoforceimmediatelyafterthelapseofthe90dayperiodthatcommencesonthedateofitspublicationintheGovernmentGazette.

     Section3.Thefollowingshallberepealed:

（1）AnnouncementNo.281oftheNationalExecutiveCouncildatedNovember24,1972.

（2）TheActof1978amendingAnnouncementNo.281oftheNationalExecutiveCouncildatedNovember24,1972.

     （3）ActNo.2of1992amendingAnnouncementNo.281oftheNationalExecutiveCouncildatedNovember24,1972.

     Section4.InthisAct:

     "Foreigner"means

（1）NaturalpersonnotofThainationality.

（2）JuristicpersonnotregisteredinThailand.

     （3）JuristicpersonregisteredinThailandhavingthefollow-ingcharacteristics:

          （a）Havinghalformoreofthejuristicperson'scapitalsharesheldbypersonsunder

（1）or

（2）orajuristicpersonhavingthepersonsunder

（1）or

（2）investingwithavalueofhalformoreofthetotalcapitalofthejuristicperson.

          （b）Limitedpartnershiporregisteredordinarypartner-shiphavingthepersonunder

（1）asthemanagingpartnerormanager.

     （4）JuristicpersonregisteredinThailandhavinghalformoreofitscapitalsharesheldbythepersonunder

（1）,

（2）or（3）orajuristicpersonhavingthepersonsunder

（1）,

（2）or（3）investingwiththevalueofhalformoreofitstotalcapital.

     Forthepurposeofthedefinitions,thesharesofalimitedcompanyrepresentedbysharecertificatesthatareissuedtobearersshallbedeemedasthesharesofaliensunlessotherwiseprovidedbyministerialregulations.

     "Capital"meanstheregisteredcapitalofalimitedcompanyorpaid-upcapitalofapubliclimitedcompanyorthemoneyinvestedinapartnershiporjuristicpersonbyitspartnersoritsmembers.

     "MinimumCapital"meansthecapitaloftheforeignersinthecasewheretheforeignersarejuristicpersonsregisteredinThailandand,inthecasewheretheforeignersarejuristicpersonsnotregisteredinThailandornaturalpersons,itshallmeantheforeigncurrenciesthattheforeignersbringinanduseatthecommencementofthebusinessoperationinThailand.

     "Business"meansthebusinessoperationinagriculture,industry,handicraft,commerce,serviceorotherdealingsforbusinesspurpose.

     "License"meansabusinessoperationlicense.

     "Licensee"meansaforeignerwhohasobtainedtheLicense.

     "Certificate"meansabusinessoperationcertificate.

     "CertificateGrantee"meansaforeignerwhohasobtainedtheCertificate.

     "Committee"meanstheForeignBusinessCommittee.

     "CompetentOfficial"meansapersonappointedbytheMinistertoundertakeactionsincompliancewiththisAct.

     "Registrar"meansapersonappointedbytheMinisterasaforeignbusinessregistrar.

     "Director-General"meanstheDirector-GeneralofCommercialRegistrationDepartment.

     "Minister"meanstheMinisterinchargeofthisAct.

     Section5.InpermittingtheforeignerstooperatethebusinessesunderthisAct,theadvantagesanddisadvantagestothenation'ssafetyandsecurity,economicandsocialdevelopment,publicorderorgoodmoral,art,cultureandtraditionofthecountry,naturalresourceconservation,energyandenvironment,consumerprotection,sizeoftheenterprises,employment,technologytransfer,andresearchanddevelopmentshallbetakenintoaccount.

     Section6.ThefollowingforeignersshallbeprohibitedfromoperatinganybusinessinThailand:

（1）Foreignersdeportedorpendingdeportation.

（2）ForeignersstayinginThailandwithoutpermissionunderthelawgoverningimmigrantsorotherlaws.

     Section7.ThefollowingforeignersmayoperatebusinessesuponobtainingaLicensefromtheDirector-GeneralandmayoperateonlycertainbusinessesandinthelocalityannouncedwiththeapprovaloftheCabinetbytheMinisterintheGovernmentGazette.TheMinistermayprescribeanyconditiondeemed

Section14.TheminimumcapitalusedatthecommencementofthebusinessoperationshallnotbelessthanthatprescribedbyministerialregulationsandshallinnocasebelessthantwomillionBaht.

     InthecasewherethebusinessesintheprecedingparagraphrequirethelicensundertheListsattachedhereto,theminimumcapitaltobeprescribedintheministerialregulationsforeachofthebusinessesshallinnocasebelessthanthreemillionBaht.

     MinisterialregulationsissuedbyvirtueofthisSectionmayalsoprescribethetimefortheminimumcapitaltobebroughtorremittedintoThailand.

     TheprovisionsofthisSectionshallnotapplyintheeventswheretheforeignersmaketheinvestwiththemoneyorpropertyderivedfromthebusinessoperationthathaspreviouslybeeninoperationinThailandinanotherbusinessorusethemasashareoraninvestmentinotherenterprisesorjuristicpersons.

     Section15.TheforeignersmayoperatethebusinessunderListTwoonlyifThainationalsorjuristicpersonsthatarenotforeignersunderthisActholdthesharesofnotlessthan40%ofthecapitalofthatforeignjuristicpersons.Unlessthereisareasonablecause,theMinisterwiththeapprovaloftheCabinetmayreducetheproportionrequirementbutitshallnotbelessthan25percentandthenumberofThaidirectorsshallnotbelessthantwo-fifthsofthetotalnumberofdirectors.

     Section16.Foreignersapplyingforalicenseshallhavethefollowingqualificationandshallnothavetheprohibitedcharacteristicsbelow:

（1）Beingnotyoungerthan20yearsold.

（2）HavingresidencyorbeingpermittedtotemporarilyenterintoThailandundertheimmigrationlaw.

     （3）Beingneitherincompetentnorquasi-incompetent.

     （4）Notbeingabankrupt.

     （5）NeverhavingbeenpunishedbyacourtjudgementorfinedforanoffenseunderthisActorAnnouncementNo.281oftheNationalExecutiveCouncilNodatedNovember24,1972unlesstheyhavebeenreleasedatleastfiveyearspriortothedateofthelicenseapplication.

     （6）Neverhavingbeenimprisonedforfraudulentacts,debtorcheating,embezzlement,offensesconnectedwithtradeundertheCriminalCodeorforoffensesrelatingtofraudulentloanstothepublicorforoffensesundertheimmigrationlawunlesstheyhavebeenreleasedatleastfiveyearspriortothedateofapplication.

     （7）NeverhavingalicenseissuedunderthisActorunderNotificationNo.281oftheNationalExecutiveCommercialdatedNovember24,1972revokedduringthefive-yearperiodpriortothedateofthelicenseapplication.

     Incaseofthejuristicpersonbeingthelicenseapplicant,theForeigndirectors,managersorthepersonsresponsiblefortheoperationofthejuristicpersonshallalsohavethequalificationsandshallnothavetheprohibitedcharacteristicsreferredtoinparagraphone.

     Section17.Inapplyingforthepermissiontooperatethebusiness,theforeignersshallsubmittheapplicationstotheMinisterorDirector-Generalinaccordancewiththerulesandproceduresprescribedintheministerialregulations.TheCabinet,incaseofthebusinessunderListTwo,ortheDirector-General,incaseofthebusinessunderListThree,shallapproveorgivepermission,asthecasemaybe,within60daysofthedateoftheapplication.InthecasewherethereisacausefortheCabinettobeunabletogivetheapprovalwithintheperiod,itshallbeextendedasnecessarybutshallnotexceed60daysfromthelapseoftheperiod.

     WhentheCabinethasgiventheapprovalorwhentheDirector-Generalhasgiventhepermissionunderparagraphone,theMinisterortheDirector-Generalshallissuethelicensewithin15daysofthedateoftheCabinet'sapprovalorthedateoftheDirector-General'spermission.

     Ingivingtheapproval,theMinistermayprescribetheconditionsasstipulatedbytheCabinetordescribedintheministerialregulationsissuedunderSection18incaseofbusinessesunderListTwoortheDirector-GeneralmayprescribetheconditionsasstipulatedintheministerialregulationsissuedunderSection18forthecaseofbusinessesunderListThree.

     IftheCabinetdoesnotpermittheforeignerstooperatethebusinessesunderListTwo,theMinistershallnotifytheforeignersofthedecisioninwritingwithin30daysandthereasonsforthedisapprovalshallbeclearlyindicated.

     IftheDirector-GeneraldoesnotpermittheforeignerstooperatethebusinessesunderListThree,theDirector-Generalshallnotifytheforeignersofthedecisioninwritingwithin15daysandofthereasonsforthedisapprovalshallbeexpresslyindicated.TheforeignersareentitledtolodgeanappealwiththeMinisterandtheprovisionsofSection20shallapplymutatismutandis.

     Section18.TheMinisterwiththeadviceoftheCommit
